(d\u00e1le jen \u201eShockwave<\/strong>\u201c) spole\u010dnost\u00ed Johnson & Johnson, s.r.o., spole\u010dnost\u00ed zalo\u017eenou a existuj\u00edc\u00ed podle z\u00e1kon\u016f \u010cesk\u00e9 republiky, se s\u00eddlem Walterovo n\u00e1m\u011bst\u00ed 329\/1, Jinonice, 158 00 Praha 5, \u010cesk\u00e1 republika, I\u010c: 41193075, DI\u010c: CZ41193075, zapsanou v obchodn\u00edm rejst\u0159\u00edku veden\u00e9m M\u011bstsk\u00fdm soudem v Praze, odd\u00edl C, vlo\u017eka 4711, (d\u00e1le jen \u201eJNJ<\/strong>\u201c), kter\u00e9 jsou uvedeny v nab\u00eddce nebo na faktu\u0159e spole\u010dnosti JNJ (d\u00e1le jen \u201eProdukty<\/strong>\u201c), osob\u011b, kter\u00e1 Produkty kupuje od spole\u010dnosti JNJ (d\u00e1le jen \u201ekupuj\u00edc\u00ed<\/strong>\u201c), v\u010detn\u011b zad\u00e1n\u00ed objedn\u00e1vky odkazuj\u00edc\u00ed na nab\u00eddku spole\u010dnosti JNJ a\/nebo p\u0159ijet\u00ed faktury (d\u00e1le jen \u201eobjedn\u00e1vka<\/strong>\u201c). Tyto VOP spole\u010dn\u011b s objedn\u00e1vkou tvo\u0159\u00ed smlouvu mezi spole\u010dnost\u00ed JNJ a kupuj\u00edc\u00edm o koupi Produkt\u016f (d\u00e1le jen \u201eSmlouva<\/strong>\u201c).<\/td>\n1.1 These General Terms and Conditions (these \u201cGTC<\/strong>\u201c) govern the sale of products of Shockwave Medical, Inc. (\u201cShockwave<\/strong>\u201c) by Johnson & Johnson, s.r.o., a company organized and existing under the laws of the Czech Republic, having its registered office at Walterovo n\u00e1m\u011bst\u00ed 329\/1, Jinonice, 158 00 Praha 5, Czech Republic, ID No.: 41193075, VAT No.: CZ41193075, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 4711 (\u201eJNJ<\/strong>\u201c) specified in JNJ\u2019s quote or invoice (the \u201cProducts<\/strong>\u201c) to any person who purchases the Products from JNJ (the \u201cBuyer<\/strong>\u201c), including by submitting a purchase order referencing JNJ\u2019s quote and\/or receiving an invoice (\u201cOrder<\/strong>\u201c). Theses GTC together with the Order form a contract between JNJ and the Buyer for the purchase of the Products (\u201cContract<\/strong>\u201c).<\/td>\n<\/tr>\n
1.2 Tyto VOP se vztahuj\u00ed na Smlouvu s vylou\u010den\u00edm jak\u00fdchkoli jin\u00fdch podm\u00ednek, o jejich\u017e zaveden\u00ed nebo za\u010dlen\u011bn\u00ed \u017e\u00e1d\u00e1 kupuj\u00edc\u00ed nebo kter\u00e9 jsou ml\u010dky p\u0159edpokl\u00e1d\u00e1ny podle z\u00e1kona, obchodn\u00edch zvyklost\u00ed, praxe nebo pr\u016fb\u011bhu jedn\u00e1n\u00ed. Odchyln\u00e9, rozporn\u00e9 nebo dopl\u0148uj\u00edc\u00ed smluvn\u00ed podm\u00ednky kupuj\u00edc\u00edho se stanou sou\u010d\u00e1st\u00ed Smlouvy pouze v p\u0159\u00edpad\u011b, \u017ee spole\u010dnost JNJ s jejich platnost\u00ed v\u00fdslovn\u011b souhlasila v objedn\u00e1vce. Tento po\u017eadavek souhlasu plat\u00ed ve v\u0161ech p\u0159\u00edpadech, nap\u0159\u00edklad v\u010detn\u011b p\u0159\u00edpadu, kdy spole\u010dnost JNJ spln\u00ed dod\u00e1vku kupuj\u00edc\u00edmu s v\u011bdom\u00edm smluvn\u00edch podm\u00ednek kupuj\u00edc\u00edho.<\/td>\n1.2 These GTC apply to the Contract to the exclusion of any other terms that the Buyer seeks to impose or incorporate, or which are implied by law, trade custom, practice, or course of dealing. Deviating, conflicting, or supplementary terms and conditions of the Buyer shall only become part of the Contract insofar as JNJ has expressly agreed to their validity in the Order. This requirement for consent applies in all cases, including, for example, if JNJ performs the delivery to the Buyer in the knowledge of any terms and conditions of the Buyer.<\/td>\n<\/tr>\n
1.3 Kupuj\u00edc\u00ed se vzd\u00e1v\u00e1 pr\u00e1va, kter\u00e9 by jinak mohl m\u00edt, nebo podm\u00ednky, o kterou by se mohl op\u00edrat je\u017e je napsan\u00e9 na nebo na rubu dokumentu kupuj\u00edc\u00edho, dodanou s n\u00edm nebo v n\u011bm obsa\u017eenou, kter\u00e1 je neslu\u010diteln\u00e1 s t\u011bmito VOP.<\/td>\n1.3 The Buyer waives any right it might otherwise have to rely on any term endorsed upon, delivered with, or contained in, any document of the Buyer that is inconsistent with these GTC.<\/td>\n<\/tr>\n
1.4 V p\u0159\u00edpad\u011b rozporu mezi podm\u00ednkami uveden\u00fdmi v objedn\u00e1vce a t\u011bmito VOP maj\u00ed p\u0159ednost podm\u00ednky stanoven\u00e9 v objedn\u00e1vce. V p\u0159\u00edpad\u011b rozporu mezi VOP a samostatnou smlouvou o prodeji nebo dod\u00e1vce maj\u00ed p\u0159ednost ustanoven\u00ed samostatn\u00e9 smlouvy o prodeji nebo dod\u00e1vce.<\/td>\n1.4 In the event of conflict between the terms set out in the Order and these GTC, the terms set out in the Order shall prevail. In the event of a discrepancy between the GTC and the separate sales or delivery agreement, the provisions of the separate sales or delivery agreement shall prevail.<\/td>\n<\/tr>\n
2. Uzav\u0159en\u00ed smlouvy<\/strong><\/td>\n2. Conclusion of contract<\/strong><\/td>\n<\/tr>\n
2.1 Nab\u00eddka spole\u010dnosti JNJ na Produkty, vzorky nebo reklama vytvo\u0159en\u00e9 nebo poskytnut\u00e9 spole\u010dnost\u00ed JNJ a popisy nebo ilustrace obsa\u017een\u00e9 v kataloz\u00edch nebo bro\u017eur\u00e1ch spole\u010dnosti JNJ jsou vytvo\u0159eny v\u00fdhradn\u011b za t\u00edm \u00fa\u010delem, aby kupuj\u00edc\u00edmu poskytly p\u0159ibli\u017enou p\u0159edstavu o Produktech, kter\u00e9 jsou v nich zm\u00edn\u011bny. Netvo\u0159\u00ed nab\u00eddku, netvo\u0159\u00ed sou\u010d\u00e1st Smlouvy, nejsou popisem produktu, na jeho\u017e z\u00e1klad\u011b by za\u010dala b\u011b\u017eet z\u00e1ruka nad r\u00e1mec \u010dl\u00e1nku 9, ani nemaj\u00ed \u017e\u00e1dnou smluvn\u00ed platnost, pokud je spole\u010dnost JNJ v\u00fdslovn\u011b neozna\u010d\u00ed za z\u00e1ruku na produkt nebo garanci. Nab\u00eddka spole\u010dnosti JNJ je platn\u00e1 pouze po dobu, kter\u00e1 je v n\u00ed uvedena.<\/td>\n2.1 JNJ\u2019s quote for the Products, any samples or advertising produced or given by JNJ, and any descriptions or illustrations contained in JNJ\u2019s catalogues or brochures, are produced for the sole purpose of giving the Buyer an approximate idea of the Products referred to in them. They shall not constitute an offer, form part of the Contract, be a product description triggering warranty beyond Clause 9, nor have any contractual force, unless explicitly designated by JNJ as a product warranty or guarantee. JNJ\u2019s quote shall only be valid for the period stated therein.<\/td>\n<\/tr>\n
2.2 Objedn\u00e1vka tvo\u0159\u00ed nab\u00eddku kupuj\u00edc\u00edho, \u017ee koup\u00ed Produkty specifikovan\u00e9 v nab\u00eddce v souladu s t\u011bmito VOP. Odpov\u011bdnost za zaji\u0161t\u011bn\u00ed \u00faplnosti a p\u0159esnosti objedn\u00e1vky nese kupuj\u00edc\u00ed.<\/td>\n2.2 The Order constitutes an offer by the Buyer to purchase the Products specified in the quote in accordance with these GTC. The Buyer is responsible for ensuring that the Order is complete and accurate.<\/td>\n<\/tr>\n
2.3 Spole\u010dnost JNJ p\u00edsemn\u011b ozn\u00e1m\u00ed kupuj\u00edc\u00edmu do 15 dn\u016f od obdr\u017een\u00ed objedn\u00e1vky, zda objedn\u00e1vku p\u0159ij\u00edm\u00e1 nebo odm\u00edt\u00e1. Pokud tuto objedn\u00e1vku p\u0159ijme, bude doru\u010den\u00edm tohoto ozn\u00e1men\u00ed mezi stranami uzav\u0159ena Smlouva. Smlouva bude mezi stranami uzav\u0159ena tak\u00e9 bez v\u00fdslovn\u00e9ho p\u0159ijet\u00ed objedn\u00e1vky, kdy\u017e spole\u010dnost JNJ kupuj\u00edc\u00edmu dod\u00e1 objednan\u00e9 Produkty. Pokud nenastane \u017e\u00e1dn\u00fd z p\u0159\u00edpad\u016f uveden\u00fdch v prvn\u00ed a druh\u00e9 v\u011bt\u011b tohoto odstavce 2.3, m\u00e1 se za to, \u017ee spole\u010dnost JNJ objedn\u00e1vku odm\u00edtla v pln\u00e9m rozsahu, pokud se strany nedohodnou jinak.<\/td>\n2.3 JNJ shall notify the Buyer in writing within 15 days of receiving the Order whether it accepts or refuses the Order. Should it accepts such Order, the Contract shall be concluded between the parties upon delivery of this notification. The Contract shall also be concluded between the parties without express acceptance of the Order by JNJ delivering the ordered Products to the Buyer. If none of the cases specified in the first and second sentences of this Clause 2.3 occur, JNJ shall be deemed to have rejected the Order in its entirety, unless the parties agree otherwise.<\/td>\n<\/tr>\n
3. Dod\u00e1n\u00ed<\/strong><\/td>\n3. Delivery<\/strong><\/td>\n<\/tr>\n
3.1 Produkty budou kupuj\u00edc\u00edm dod\u00e1ny v obalech vhodn\u00fdch pro p\u0159epravu a skladov\u00e1n\u00ed na adresu kupuj\u00edc\u00edho uvedenou v objedn\u00e1vce, DDP dle Incoterms 2020.<\/td>\n3.1 The Products shall be delivered in containers suitable for transport and storage by the Buyer to the address of the Buyer specified in the Order, Incoterms 2020 DDP.<\/td>\n<\/tr>\n
3.2 Spole\u010dnost JNJ dod\u00e1 Produkty do m\u00edsta stanoven\u00e9ho v objedn\u00e1vce nebo do jin\u00e9ho m\u00edsta, na kter\u00e9m se smluvn\u00ed strany dohodnou (d\u00e1le jen \u201em\u00edsto dod\u00e1n\u00ed<\/strong>\u201c), a to kdykoli pot\u00e9, co spole\u010dnost JNJ ozn\u00e1m\u00ed kupuj\u00edc\u00edmu, \u017ee Produkty jsou p\u0159ipraveny k odesl\u00e1n\u00ed.<\/td>\n3.2 JNJ shall deliver the Products to the location set out in the Order or such other location as the parties may agree (\u201cDelivery Location<\/strong>\u201c) at any time after JNJ notifies the Buyer that the Products are ready for dispatch.<\/td>\n<\/tr>\n
3.3 Kupuj\u00edc\u00ed je povinen uv\u00e9st v objedn\u00e1vce sv\u00e9 DI\u010c a poskytnout spole\u010dnosti JNJ ve\u0161ker\u00e9 dal\u0161\u00ed informace a dokumenty, kter\u00e9 jsou p\u0159im\u011b\u0159en\u011b nezbytn\u00e9 pro p\u0159epravu nebo dod\u00e1n\u00ed Produkt\u016f.<\/td>\n3.3 The Buyer must provide its VAT identification number in the Order and must provide JNJ with all other information and documents reasonably necessary for shipment or delivery of the Products.<\/td>\n<\/tr>\n
3.4 P\u0159i objedn\u00e1v\u00e1n\u00ed je kupuj\u00edc\u00ed povinen uva\u017eovat doby pot\u0159ebn\u00e9 k realizaci dod\u00e1vky, po\u017eadovan\u00e9 spole\u010dnost\u00ed JNJ. Pokud spole\u010dnost JNJ nestanovila nebo nesjednala n\u011bco jin\u00e9ho, v\u0161echny informace t\u00fdkaj\u00edc\u00ed se dodac\u00edch lh\u016ft a dat dod\u00e1n\u00ed poskytnut\u00e9 spole\u010dnost\u00ed JNJ jsou pouze prozat\u00edmn\u00ed a nez\u00e1vazn\u00e9 a \u010das dod\u00e1n\u00ed nen\u00ed podstatn\u00fd. Spole\u010dnost JNJ v\u0161ak vynalo\u017e\u00ed komer\u010dn\u011b p\u0159im\u011b\u0159en\u00e9 \u00fasil\u00ed na dod\u00e1n\u00ed Produkt\u016f v \u010dasech uveden\u00fdch kupuj\u00edc\u00edm v objedn\u00e1vce.<\/td>\n3.4 When ordering, the Buyer must consider JNJ\u2019s required delivery lead times. Unless otherwise specified or agreed by JNJ, all information regarding delivery times and delivery dates provided by JNJ is merely provisional and non-binding, and the time of delivery is not of the essence. However, JNJ will use commercially reasonably endeavors to deliver the Products at the times specified by the Buyer in the Order.<\/td>\n<\/tr>\n
3.5 Spole\u010dnost JNJ m\u016f\u017ee Produkty dodat v \u010d\u00e1ste\u010dn\u00fdch dod\u00e1vk\u00e1ch a v takov\u00e9m p\u0159\u00edpad\u011b upozorn\u00ed kupuj\u00edc\u00edho. Prodlen\u00ed p\u0159i dod\u00e1n\u00ed \u010d\u00e1ste\u010dn\u00e9 dod\u00e1vky nebo kvalita \u010di obsah \u010d\u00e1ste\u010dn\u00e9 dod\u00e1vky neoprav\u0148uj\u00ed kupuj\u00edc\u00edho ke zru\u0161en\u00ed kter\u00e9koli jin\u00e9 \u010d\u00e1ste\u010dn\u00e9 dod\u00e1vky.<\/td>\n3.5 JNJ may deliver the Products in instalments and will notify the Buyer if that is the case. Any delay in delivery of an instalment, or the quality or contents of an instalment shall not entitle the Buyer to cancel any other instalment.<\/td>\n<\/tr>\n
3.6 Spole\u010dnost JNJ nenese odpov\u011bdnost za prodlen\u00ed p\u0159i dod\u00e1n\u00ed Produkt\u016f, kter\u00e9 je zp\u016fsobeno p\u0159\u00edpadem vy\u0161\u0161\u00ed moci (jak je definov\u00e1no v \u010dl\u00e1nku 13) nebo t\u00edm, \u017ee kupuj\u00edc\u00ed neposkytl spole\u010dnosti JNJ odpov\u00eddaj\u00edc\u00ed pokyny k dod\u00e1n\u00ed nebo jak\u00e9koli jin\u00e9 informace, kter\u00e9 jsou relevantn\u00ed pro dod\u00e1n\u00ed Produkt\u016f.<\/td>\n3.6 JNJ shall not be liable for any delay in delivery of the Products that is caused by a Force Majeure Event (as defined in Clause 13) or the Buyer\u2019s failure to provide JNJ with adequate delivery instructions or any other information that is relevant to the supply of the Products.<\/td>\n<\/tr>\n
3.7 Nen\u00ed-li spole\u010dnost JNJ schopna dodat Produkty (nebo jakoukoli \u010d\u00e1st Produkt\u016f), je jej\u00ed odpov\u011bdnost omezena na p\u0159im\u011b\u0159en\u00e9 n\u00e1klady a v\u00fddaje vznikl\u00e9 kupuj\u00edc\u00edmu p\u0159i obstar\u00e1v\u00e1n\u00ed n\u00e1hradn\u00edho zbo\u017e\u00ed s podobn\u00fdm popisem a kvalitou sn\u00ed\u017een\u00e9 o cenu Produkt\u016f, vyjma rozsahu, v jak\u00e9m je toto nepln\u011bn\u00ed zp\u016fsobeno okolnostmi popsan\u00fdmi v odstavci 3.5. Kupuj\u00edc\u00ed je povinen tyto n\u00e1klady a v\u00fddaje omezit.<\/td>\n3.7 If JNJ is unable to deliver the Products (or any part of the Products), its liability shall be limited to the reasonable costs and expenses incurred by the Buyer in obtaining replacement goods of similar description and quality, less the price of the Products, except to the extent such failure is caused by circumstances described in Clause 3.5. The Buyer shall mitigate such costs and expenses.<\/td>\n<\/tr>\n
3.8 Spole\u010dnost JNJ si vyhrazuje pr\u00e1vo pou\u017e\u00edt jako n\u00e1hradu nov\u00fd Produkt ozna\u010den\u00fd jin\u00fdm katalogov\u00fdm \u010d\u00edslem, kter\u00fd m\u00e1 odli\u0161n\u00e9 nebo upraven\u00e9 specifikace nebo slo\u017een\u00ed, za p\u0159edpokladu, \u017ee nebude podstatn\u011b ovlivn\u011bna celkov\u00e1 funk\u010dnost (v\u00fdkonnost) Produktu.<\/td>\n3.8 JNJ reserves the right to substitute a new Product identified by a different catalogue number that has different or modified specifications or composition, provided that the overall performance of the Product is not materially affected.<\/td>\n<\/tr>\n
4. Riziko a vlastnick\u00e9 pr\u00e1vo<\/strong><\/td>\n4. Risk and title<\/strong><\/td>\n<\/tr>\n
4.1 (a) riziko ztr\u00e1ty Produkt\u016f (nebezpe\u010d\u00ed \u0161kody na v\u011bci) a (b) vlastnick\u00e9 pr\u00e1vo k Produkt\u016fm p\u0159ech\u00e1zej\u00ed na kupuj\u00edc\u00edho dokon\u010den\u00edm dod\u00e1n\u00ed.<\/td>\n4.1 The (a) risk of loss of, and (b) title to, the Products shall pass to the Buyer on completion of delivery.<\/td>\n<\/tr>\n
5. Ceny a platebn\u00ed podm\u00ednky<\/strong><\/td>\n5. Prices and payment terms<\/strong><\/td>\n<\/tr>\n
5.1 S v\u00fdhradou odstavce 5.2 je cenou Produkt\u016f cena uveden\u00e1 v objedn\u00e1vce nebo, pokud nen\u00ed uvedena, cena podle standardn\u00edho cen\u00edku spole\u010dnosti JNJ. V\u0161echny ceny uveden\u00e9 v nab\u00eddce spole\u010dnosti JNJ jsou bez DPH a dal\u0161\u00edch p\u0159\u00edslu\u0161n\u00fdch dan\u00ed, kter\u00e9 kupuj\u00edc\u00ed uhrad\u00ed spole\u010dnosti JNJ nav\u00edc ve v\u00fd\u0161i platn\u00e9 sazby pod podm\u00ednkou obdr\u017een\u00ed platn\u00e9 faktury s DPH nebo faktury s dan\u00ed.<\/td>\n5.1 Subject to Clause 5.2, the price of the Products shall be the price set out in the Order or if not specified at JNJ\u2019s standard list price. All prices stated in JNJ\u2019s quote are exclusive of VAT and other applicable taxes which the Buyer shall additionally pay to JNJ at the prevailing rate subject to receipt of valid VAT or tax invoice.<\/td>\n<\/tr>\n
5.2 O zm\u011bn\u00e1ch cen spole\u010dnost JNJ kupuj\u00edc\u00edho informuje p\u00edsemn\u011b p\u0159edem. Zm\u011bny cen se vztahuj\u00ed na v\u0161echny objedn\u00e1vky p\u0159ijat\u00e9 spole\u010dnost\u00ed JNJ pot\u00e9, co zm\u011bna ceny nabyde platnosti.<\/td>\n5.2 JNJ shall notify the Buyer in writing in advance of price changes. Price changes apply to all Orders received by JNJ after the entry into force of the price change.<\/td>\n<\/tr>\n
5.3 Spole\u010dnost JNJ m\u016f\u017ee p\u00edsemn\u00fdm ozn\u00e1men\u00edm kupuj\u00edc\u00edmu kdykoli b\u011bhem sedmi (7) dn\u016f p\u0159ed dod\u00e1n\u00edm zv\u00fd\u0161it cenu Produkt\u016f tak, aby v n\u00ed bylo prom\u00edtnuto zv\u00fd\u0161en\u00ed n\u00e1klad\u016f na Produkty.<\/td>\n5.3 JNJ may, by giving written notice to the Buyer at any time up to seven (7) days before delivery, increase the price of the Products to reflect any increase in the cost of the Products.<\/td>\n<\/tr>\n
5.4 Spole\u010dnost JNJ m\u016f\u017ee Produkty kupuj\u00edc\u00edmu fakturovat po odesl\u00e1n\u00ed objedn\u00e1vky nebo kdykoli pot\u00e9 s adresou uvedenou v objedn\u00e1vce.<\/td>\n5.4 JNJ may invoice the Buyer for the Products upon, or any time after, sending the Order at the address specified in the Order.<\/td>\n<\/tr>\n
5.5 Kupuj\u00edc\u00ed uhrad\u00ed ka\u017edou fakturu p\u0159edlo\u017eenou spole\u010dnost\u00ed JNJ do t\u0159iceti (30) dn\u016f od data vystaven\u00ed faktury v \u010desk\u00fdch korun\u00e1ch (K\u010d), v pln\u00e9 v\u00fd\u0161i a \u0159\u00e1dn\u011b p\u0159ipsan\u00fdch (vyrovnan\u00fdch) prost\u0159edc\u00edch a bez zapo\u010dten\u00ed, odpo\u010dtu nebo sr\u00e1\u017eky (jin\u00fdch ne\u017e odpo\u010det nebo sr\u00e1\u017eka dan\u011b po\u017eadovan\u00e9 pr\u00e1vn\u00edmi p\u0159edpisy) na \u00fa\u010det uveden\u00fd spole\u010dnost\u00ed JNJ v objedn\u00e1vce. Lh\u016fta pro zaplacen\u00ed je podstatnou n\u00e1le\u017eitost\u00ed Smlouvy.<\/td>\n5.5 The Buyer shall pay each invoice submitted by JNJ within thirty (30) days from the invoice date in Czech Crown (CZK), in full and in cleared funds, and without set-off, deduction, or withholding (other than any deduction or withholding of tax as required by law), to the account specified by JNJ in the Order. Time for payment shall be of the essence of the Contract.<\/td>\n<\/tr>\n
5.6 V p\u0159\u00edpad\u011b, \u017ee kupuj\u00edc\u00ed bude v prodlen\u00ed s \u00fahradou kupn\u00ed ceny nebo jej\u00ed \u010d\u00e1sti, zavazuje se zaplatit spole\u010dnosti JNJ smluvn\u00ed pokutu ve v\u00fd\u0161i 0,05 % dlu\u017en\u00e9 \u010d\u00e1stky za ka\u017ed\u00fd den prodlen\u00ed. Smluvn\u00ed pokutou nen\u00ed dot\u010deno pr\u00e1vo po\u017eadovat n\u00e1hradu \u0161kody nebo \u00fajmy ani nebude zapo\u010dtena proti jak\u00e9mukoli n\u00e1roku na n\u00e1hradu \u0161kody nebo \u00fajmy.<\/td>\n5.6 In the event that the Buyer is in default with the payment of the Purchase Price or any part thereof, the Buyer undertakes to pay JNJ a contractual penalty in the amount of 0.05% of the outstanding amount for each day of delay. The contractual penalty shall not affect the right to claim damages, nor shall it be set off against any claim for damages.<\/td>\n<\/tr>\n
6. Du\u0161evn\u00ed vlastnictv\u00ed, bez licence<\/strong><\/td>\n6. Intellectual property, no license<\/strong><\/td>\n<\/tr>\n
6.1 Prodej Produkt\u016f zahrnuje nev\u00fdhradn\u00ed a nep\u0159evoditelnou licenci v\u00fdhradn\u011b (a) ve prosp\u011bch kupuj\u00edc\u00edho a (b) na pr\u00e1va du\u0161evn\u00edho vlastnictv\u00ed v rozsahu nezbytn\u00e9m k tomu, aby kupuj\u00edc\u00ed mohl Produkty pou\u017e\u00edt k jejich ur\u010den\u00e9mu \u00fa\u010delu.<\/td>\n6.1 The sale of Products includes a non-exclusive and non-assignable license solely (a) for the benefit of the Buyer, and (b) of those intellectual property rights to the extent necessary for the Buyer to use the Products for their intended purpose.<\/td>\n<\/tr>\n
6.2 Spole\u010dnost JNJ si vyhrazuje v\u0161echna pr\u00e1va k ve\u0161ker\u00fdm pr\u00e1v\u016fm du\u0161evn\u00edho vlastnictv\u00ed souvisej\u00edc\u00edm s Produkty, v\u010detn\u011b n\u00e1vrh\u016f, v\u00fdrobn\u00edch \u00fadaj\u016f, v\u0161ech technologi\u00ed, na nich\u017e jsou zalo\u017eeny, a informac\u00ed o produktech. Mezi pr\u00e1va spole\u010dnosti JNJ pat\u0159\u00ed mimo jin\u00e9: (i) absolutn\u00ed n\u00e1rok na jakoukoli registraci ud\u011blenou na z\u00e1klad\u011b p\u0159ihl\u00e1\u0161ek k patentu, pr\u016fmyslov\u00e9mu vzoru, ochrann\u00e9 zn\u00e1mce nebo jin\u00e9mu registrovateln\u00e9mu pr\u00e1vu du\u0161evn\u00edho vlastnictv\u00ed; (ii) ve\u0161ker\u00fd goodwill spojen\u00fd s jak\u00fdmikoli ochrann\u00fdmi zn\u00e1mkami a (iii) pr\u00e1vo zah\u00e1jit, podat, napadnout, br\u00e1nit se, odvolat se v \u0159\u00edzen\u00edch, n\u00e1roc\u00edch nebo \u017ealob\u00e1ch a z\u00edskat n\u00e1pravu (a ponechat si jakoukoli p\u0159iznanou n\u00e1hradu \u0161kody) v souvislosti s jak\u00fdmkoli poru\u0161en\u00edm nebo v jak\u00e9koli jin\u00e9 pr\u00e1vn\u00ed v\u011bci vypl\u00fdvaj\u00edc\u00ed z vlastnictv\u00ed Jak\u00e1koli z p\u0159eveden\u00fdch pr\u00e1v du\u0161evn\u00edho vlastnictv\u00ed, jak je uvedeno ve v\u00fd\u0161e uveden\u00e9 \u010d\u00e1sti, a\u0165 u\u017e p\u0159ed, dnem nebo po dni uzav\u0159en\u00ed smlouvy.<\/td>\n6.2 JNJ reserves all rights to any and all intellectual property rights related to the Products, including designs, manufacturing details, all underlying technology, and product information. JNJ\u2019s rights include without limitation: (i) the absolute entitlement to any registration granted pursuant to any applications for any patent, design, trademark or other registrable intellectual property right; (ii) all goodwill attaching to any trademarks; and (iii) the right to bring, make, oppose, defend, appeal proceedings, claims or actions and obtain relief (and to retain any damages recovered) in respect of any infringement, or in any other cause of action relating from ownership of any of the assigned intellectual property rights described in the above section whether occurring before, on or after the date of the Contract.<\/td>\n<\/tr>\n
7. D\u016fv\u011brnost<\/strong><\/td>\n7. Confidentiality<\/strong><\/td>\n<\/tr>\n
7.1 \u201eD\u016fv\u011brn\u00fdmi informacemi<\/strong>\u201d se rozum\u00ed ve\u0161ker\u00e9 d\u016fv\u011brn\u00e9 informace t\u00fdkaj\u00edc\u00ed se podnik\u00e1n\u00ed, z\u00e1le\u017eitost\u00ed, z\u00e1kazn\u00edk\u016f, klient\u016f nebo dodavatel\u016f strany, v\u010detn\u011b zejm\u00e9na stanoven\u00ed cen, z\u00e1kazn\u00edk\u016f a prodejn\u00edch strategi\u00ed spole\u010dnosti JNJ a ve\u0161ker\u00fdch informac\u00ed, kter\u00e9 spole\u010dnost JNJ nebo jej\u00ed zprost\u0159edkovatel\u00e9 ozna\u010d\u00ed za d\u016fv\u011brn\u00e9 vis-\u00e0-vis kupuj\u00edc\u00edmu. D\u016fv\u011brn\u00e9 informace v\u0161ak nezahrnuj\u00ed informace, kter\u00e9 jsou ve\u0159ejn\u011b p\u0159\u00edstupn\u00e9, pokud nebyly nebo nebudou ve\u0159ejnosti zp\u0159\u00edstupn\u011bny poru\u0161en\u00edm tohoto z\u00e1vazku zachov\u00e1n\u00ed d\u016fv\u011brnosti ze strany kupuj\u00edc\u00edho nebo jeho zam\u011bstnanc\u016f nebo z\u00e1stupc\u016f.<\/td>\n7.1 \u201cConfidential information<\/strong>\u201d means all confidential information concerning the business, affairs, customers, clients or suppliers of a party including, in particular, JNJ\u2019s pricing, customers, sales strategies, and all information that JNJ or its intermediaries designate as confidential vis-\u00e0-vis the Buyer. However, Confidential Information does not include information that is publicly accessible, insofar as it has not been or will not be made accessible to the public through a breach of this confidentiality obligation by the Buyer or its employees or agents.<\/td>\n<\/tr>\n
7.2 Kupuj\u00edc\u00ed je povinen zachov\u00e1vat bezpe\u010dnost, zabezpe\u010den\u00ed a p\u0159\u00edsnou d\u016fv\u011brnost d\u016fv\u011brn\u00fdch informac\u00ed spole\u010dnosti JNJ a po dobu p\u011bti (5) let po ukon\u010den\u00ed nebo uplynut\u00ed platnosti smlouvy, s kterou jsou tyto VOP spojeny, je nesd\u011bl\u00ed \u017e\u00e1dn\u00e9 osob\u011b (p\u0159\u00edmo nebo nep\u0159\u00edmo), ani je nepou\u017eije, jinak ne\u017e k uplatn\u011bn\u00ed sv\u00fdch pr\u00e1v a pln\u011bn\u00ed sv\u00fdch povinnost\u00ed podle Smlouvy nebo v souvislosti s n\u00ed, s v\u00fdjimkou rozsahu vy\u017eadovan\u00e9ho platn\u00fdmi pr\u00e1vn\u00edmi p\u0159edpisy, soudn\u00edm p\u0159\u00edkazem nebo rozhodnut\u00edm regula\u010dn\u00edho \u00fa\u0159adu.<\/td>\n7.2 The Buyer shall keep JNJ\u2019s Confidential information safe and secure and strictly confidential and for the period of five (5) years after termination or expiry of any agreement to which these GTC relate shall not disclose it to any person (directly or indirectly), nor use it, otherwise than to exercise its rights and perform its obligations under or in connection with the Contract, except to the extent required by applicable law, court order or a decision of a regulatory authority.<\/td>\n<\/tr>\n
8. Charakteristiky produktu a pou\u017eit\u00ed produktu<\/strong><\/td>\n8. Product characteristics and product use<\/strong><\/td>\n<\/tr>\n
8.1 Vhodnost Produkt\u016f k pou\u017eit\u00ed a jejich shoda se specifikacemi spole\u010dnosti JNJ t\u00fdkaj\u00edc\u00edmi se jejich charakteristik vy\u017eaduj\u00ed dodr\u017eov\u00e1n\u00ed v\u0161ech pokyn\u016f od spole\u010dnosti JNJ t\u00fdkaj\u00edc\u00edch se spr\u00e1vn\u00e9ho skladov\u00e1n\u00ed a pou\u017eit\u00ed a tak\u00e9 ur\u010den\u00e9ho \u00fa\u010delu. Jak\u00e9koli pou\u017eit\u00ed odchyln\u00e9 od toho, co je uvedeno v platn\u00fdch pr\u00e1vn\u00edch p\u0159edpisech a v n\u00e1vodu k pou\u017eit\u00ed poskytnut\u00e9m spole\u010dnost\u00ed JNJ pro p\u0159\u00edslu\u0161n\u00fd produkt, m\u016f\u017ee v\u00e9st k \u00fajm\u011b na zdrav\u00ed a poran\u011bn\u00ed pacient\u016f a je zak\u00e1z\u00e1no.<\/td>\n8.1 The suitability of the Products for use and their conformity with specifications of JNJ regarding their characteristics requires the observance of all instructions from JNJ regarding correct storage and use as well as intended purpose. Any use deviating from that specified in applicable law and the instructions for use provided by JNJ for the relevant product can lead to injury to the health and bodies of patients and is prohibited.<\/td>\n<\/tr>\n
8.2 Produkty sm\u00ed b\u00fdt pou\u017eity pouze podle jejich \u0161t\u00edtk\u016f a n\u00e1vod\u016f k pou\u017eit\u00ed a pouze osobami, kter\u00e9 maj\u00ed odpov\u00eddaj\u00edc\u00ed kvalifikaci, jsou vy\u0161kolen\u00e9 a zku\u0161en\u00e9, jak je podrobn\u011b vysv\u011btleno v dokumentaci k produktu (pokynech k obsluze, n\u00e1vodech k obsluze).<\/td>\n8.2 The Products shall only be used according to their labelling and instructions for use by persons who are appropriately qualified, trained, and experienced, as explained in the product documentation (operating instructions, operating manuals) in detail.<\/td>\n<\/tr>\n
8.3 Kupuj\u00edc\u00ed nesm\u00ed u \u017e\u00e1dn\u00fdch Produkt\u016f prov\u00e9st \u017e\u00e1dn\u00e9 zm\u011bny nebo \u00fapravy, v\u010detn\u011b ozna\u010den\u00ed a balen\u00ed Produktu.<\/td>\n8.3 The Buyer shall not make any changes or modifications to any Products, including Product labelling and packaging.<\/td>\n<\/tr>\n
8.4 Spole\u010dnost JNJ m\u016f\u017ee \u010das od \u010dasu prov\u00e9st n\u00e1hrady a zm\u011bny ve specifikac\u00edch, slo\u017een\u00ed produktu nebo dokumentaci k produktu (pokynech k obsluze, n\u00e1vodech k obsluze) v souladu s platn\u00fdmi pr\u00e1vn\u00edmi p\u0159edpisy.<\/td>\n8.4 JNJ may perform replacements and changes to the specifications, product composition or product documentation (operating instructions, operating manuals), from time to time, in accordance with applicable law.<\/td>\n<\/tr>\n
8.5 Pokud kupuj\u00edc\u00ed usoud\u00ed nebo m\u00e1 d\u016fvod se domn\u00edvat, \u017ee produkty p\u0159edstavuj\u00ed jak\u00e9koli (bezpe\u010dnostn\u00ed nebo jin\u00e9) riziko, je o tom povinen ihned informovat spole\u010dnost JNJ. T\u00edmto odstavcem nen\u00ed dot\u010dena \u017e\u00e1dn\u00e1 jin\u00e1 p\u0159\u00edpadn\u00e1 z\u00e1konn\u00e1 oznamovac\u00ed povinnost kupuj\u00edc\u00edho. Kupuj\u00edc\u00ed souhlas\u00ed s t\u00edm, \u017ee zdokumentuje ve\u0161ker\u00e9 st\u00ed\u017enosti pacient\u016f nebo u\u017eivatel\u016f t\u00fdkaj\u00edc\u00ed se Produkt\u016f a \u017ee tyto st\u00ed\u017enosti poskytne spole\u010dnosti JNJ.<\/td>\n8.5 If the Buyer considers or has reason to believe the Products present any (safety or other) risk, the Buyer shall notify JNJ immediately. This Clause does not affect any other legal reporting obligation the Buyer may have. The Buyer agrees to document and provide to JNJ all patient or user complaints regarding the Products.<\/td>\n<\/tr>\n
8.6 Pokud kupuj\u00edc\u00ed obdr\u017e\u00ed jak\u00e9koli st\u00ed\u017enosti nebo se jinak dozv\u00ed o jak\u00e9mkoli podez\u0159en\u00ed na incident, vadu nebo neshodu Produkt\u016f, mus\u00ed o tom ihned informovat spole\u010dnost JNJ na adrese complaint@shockwavemedical.com<\/a>. P\u0159itom je kupuj\u00edc\u00ed povinen v\u017edy dodr\u017eet platn\u00e9 pr\u00e1vn\u00ed p\u0159edpisy a zejm\u00e9na nesm\u00ed spole\u010dnosti JNJ zp\u0159\u00edstupnit \u017e\u00e1dn\u00e9 osobn\u00ed \u00fadaje bez p\u0159\u00edslu\u0161n\u00e9ho pr\u00e1vn\u00edho z\u00e1kladu pro toto zp\u0159\u00edstupn\u011bn\u00ed (nap\u0159. v\u00fdslovn\u00e9ho souhlasu) a bez vyhov\u011bn\u00ed p\u0159\u00edslu\u0161n\u00fdm z\u00e1konn\u00fdm po\u017eadavk\u016fm (nap\u0159. t\u00fdkaj\u00edc\u00edm se transparentnosti).<\/td>\n8.6 If the Buyer receives any complaints or otherwise becomes aware of any suspected incident, defect or non-conformity of the Products, the Buyer shall notify JNJ immediately at complaint@shockwavemedical.com<\/a>. In doing so, the Buyer shall at all times comply with applicable laws, and in particular, the Buyer shall not disclose any personal data to JNJ without having an appropriate legal basis for such disclosure (e.g., explicit consent) and without complying with relevant legal requirements (e.g., regarding transparency).<\/td>\n<\/tr>\n
8.7 V p\u0159\u00edpad\u011b sta\u017een\u00ed nebo n\u00e1pravn\u00e9ho opat\u0159en\u00ed, bez ohledu na to, zda je vy\u017eadov\u00e1no regula\u010dn\u00edm \u00fa\u0159adem nebo provedeno spole\u010dnost\u00ed JNJ dobrovoln\u011b, je kupuj\u00edc\u00ed povinen spolupracovat na p\u0159im\u011b\u0159en\u00fdch po\u017eadavc\u00edch spole\u010dnosti JNJ, pokud jde o ozn\u00e1men\u00ed koncov\u00fdm u\u017eivatel\u016fm a vyzvednut\u00ed, odesl\u00e1n\u00ed a skladov\u00e1n\u00ed vr\u00e1cen\u00fdch Produkt\u016f. Spole\u010dnost JNJ nahrad\u00ed kupuj\u00edc\u00edmu p\u0159im\u011b\u0159en\u00e9, p\u0159\u00edmo vznikl\u00e9 n\u00e1klady placen\u00e9 v hotovosti a splatn\u00e9 t\u0159et\u00ed stran\u011b v souvislosti s poskytnut\u00edm takov\u00e9 spolupr\u00e1ce.<\/td>\n8.7 In the event of a recall or corrective action, regardless of whether it is required by any regulatory agency or voluntarily undertaken by JNJ, the Buyer shall cooperate with the reasonable requests of JNJ with respect to the notification of end users and the collection, shipment, and storage of any returned Products. JNJ will reimburse Buyer for any reasonable, directly incurred out-of-pocket costs payable to any third party in connection with providing such cooperation.<\/td>\n<\/tr>\n
8.8 Na \u017e\u00e1dost kupuj\u00edc\u00edho vyvine spole\u010dnost JNJ p\u0159im\u011b\u0159en\u00e9 \u00fasil\u00ed na poskytnut\u00ed bezplatn\u00e9 technick\u00e9 podpory nebo slu\u017eeb \u0161kolen\u00ed kupuj\u00edc\u00edmu, pokud jde o Produkty, aby pomohla zajistit jejich bezpe\u010dn\u00e9 a \u00fa\u010dinn\u00e9 pou\u017eit\u00ed (d\u00e1le jen \u201eSlu\u017eby\u201d). Poskytov\u00e1n\u00ed Slu\u017eeb spole\u010dnost\u00ed JNJ nesm\u00ed: (a) zm\u011bnit nebo jinak nep\u0159\u00edzniv\u011b ovlivnit pr\u00e1vn\u00ed, etick\u00e9 nebo profesn\u00ed vztahy mezi kupuj\u00edc\u00edm a jeho pacienty nebo (b) zahrnovat \u010dinnosti, kter\u00e9 by p\u0159edstavovaly prov\u00e1d\u011bn\u00ed profesion\u00e1ln\u00edch l\u00e9ka\u0159sk\u00fdch slu\u017eeb. Odpov\u011bdnost za poskytov\u00e1n\u00ed profesion\u00e1ln\u00edch l\u00e9ka\u0159sk\u00fdch slu\u017eeb nese pouze a v\u00fdhradn\u011b kupuj\u00edc\u00ed.<\/td>\n8.8 Upon the Buyer\u2019s request, JNJ will make reasonable efforts to provide the Buyer with technical support or training services with respect to the Products free of charge so as to help ensure their safe and effective use (\u201cServices\u201d). JNJ\u2019s provision of Services shall not: (a) alter or otherwise affect the legal, ethical, or professional relationships between and among Buyer and its patients; or (b) include any activities that would constitute the practice of professional medical services. The Buyer is solely and exclusively responsible for the provision of professional medical services.<\/td>\n<\/tr>\n
9. Z\u00e1ruka<\/strong><\/td>\n9. Warranty<\/strong><\/td>\n<\/tr>\n
9.1 S v\u00fdhradou platn\u00fdch pr\u00e1vn\u00edch p\u0159edpis\u016f ru\u010d\u00ed spole\u010dnost JNJ za to, \u017ee p\u0159i dod\u00e1n\u00ed a (a) u gener\u00e1tor\u016f po dobu p\u011bti (5) let pot\u00e9 a (b) u katetr\u016f a dal\u0161\u00edho spot\u0159ebn\u00edho materi\u00e1lu pot\u00e9 po dobu (i) dvan\u00e1cti (12) m\u011bs\u00edc\u016f od data dod\u00e1n\u00ed nebo (ii) do data expirace uveden\u00e9ho na obalu t\u011bchto Produkt\u016f, podle toho, co uplyne d\u0159\u00edve, (p\u0159\u00edslu\u0161n\u00e1 \u201ez\u00e1ru\u010dn\u00ed doba<\/strong>\u201c) budou Produkty bez podstatn\u00fdch vad. Zejm\u00e9na mus\u00ed: (a) ve v\u0161ech podstatn\u00fdch ohledech odpov\u00eddat jejich popisu; (b) b\u00fdt bez podstatn\u00fdch vad konstrukce, materi\u00e1lu a zpracov\u00e1n\u00ed a (c) b\u00fdt vhodn\u00e9 pro ka\u017ed\u00fd \u00fa\u010del uveden\u00fd spole\u010dnost\u00ed JNJ v jejich n\u00e1vodu k pou\u017eit\u00ed; za p\u0159edpokladu, \u017ee skladov\u00e1n\u00ed, pou\u017e\u00edv\u00e1n\u00ed a \u00fadr\u017eba Produkt\u016f jsou prov\u00e1d\u011bny v souladu s n\u00e1vodem k pou\u017eit\u00ed.<\/td>\n9.1 Subject to applicable law, JNJ warrants that on delivery and (a) for Generators, a period of five (5) years thereafter and (b) for catheters and other consumables, a period thereafter equal to the lesser of (i) twelve (12) months from the date of delivery or, (ii) if less, the expiration date indicated on the packaging for such Products (as applicable the \u201cWarranty Period<\/strong>\u201c), the Products shall be free from material defects. In particular, they shall: (a) conform in all material respects with their description; (b) be free from material defects in design, material and workmanship; and (c) be fit for any purpose held out by JNJ in their instructions for use; provided the Products are stored, used and maintained in accordance with the instructions for use.<\/td>\n<\/tr>\n
9.2 Kupuj\u00edc\u00ed mus\u00ed Produkty zkontrolovat ihned po dod\u00e1n\u00ed. Zjevn\u00e9 vady mus\u00ed b\u00fdt neprodlen\u011b p\u00edsemn\u011b ozn\u00e1meny spole\u010dnosti JNJ, a to v ka\u017ed\u00e9m p\u0159\u00edpad\u011b do t\u0159\u00ed (3) dn\u016f po dod\u00e1n\u00ed. Skryt\u00e9 vady mus\u00ed b\u00fdt tak\u00e9 neprodlen\u011b p\u00edsemn\u011b ozn\u00e1meny spole\u010dnosti JNJ, a to v ka\u017ed\u00e9m p\u0159\u00edpad\u011b do sedmi (7) dn\u016f od zji\u0161t\u011bn\u00ed vady a p\u0159ed datem expirace p\u0159\u00edslu\u0161n\u00e9ho Produktu. V p\u0159\u00edpad\u011b opomenut\u00ed tohoto ozn\u00e1men\u00ed se m\u00e1 za to, \u017ee Produkty jsou bez vady a p\u0159ijat\u00e9 kupuj\u00edc\u00edm.<\/td>\n9.2 The Buyer must inspect the Products immediately after delivery. Obvious defects must be reported to JNJ in writing without delay, and in any event within three (3) days after delivery. Hidden defects must also be reported to JNJ in writing without delay, and in any event within seven (7) days after discovery of the defect and before the expiry date of the relevant Product. If this report is omitted, the Products shall be deemed to be defect-free and accepted by the Buyer.<\/td>\n<\/tr>\n
9.3 S v\u00fdhradou odstavce 9.2, pokud: (a) kupuj\u00edc\u00ed p\u00edsemn\u011b informuje spole\u010dnost JNJ b\u011bhem z\u00e1ru\u010dn\u00ed doby podle postupu a lh\u016ft v odstavci 9.1 o tom, \u017ee n\u011bkter\u00e9 nebo v\u0161echny Produkty nejsou v souladu se z\u00e1rukou uvedenou v \u010dl\u00e1nku 9; (b) spole\u010dnosti JNJ je poskytnuta p\u0159im\u011b\u0159en\u00e1 mo\u017enost tyto Produkty zkontrolovat a (c) kupuj\u00edc\u00ed (pokud jej o to spole\u010dnost JNJ po\u017e\u00e1d\u00e1) vr\u00e1t\u00ed tyto Produkty do m\u00edsta podnik\u00e1n\u00ed spole\u010dnosti JNJ na n\u00e1klady spole\u010dnosti JNJ, spole\u010dnost JNJ dle sv\u00e9ho uv\u00e1\u017een\u00ed vadn\u00e9 Produkty oprav\u00ed nebo vym\u011bn\u00ed.<\/td>\n9.3 Subject to Clause 9.2, if: (a) the Buyer gives notice in writing to JNJ during the Warranty Period following the procedure and timelines in Clause 9.1 that some or all of the Products do not comply with the warranty set out in Clause 9; (b) JNJ is given a reasonable opportunity of examining such Products; and (c) the Buyer (if asked to do so by JNJ) returns such Products to JNJ\u2019s place of business at JNJ\u2019s cost, JNJ shall, at JNJ\u2019s discretion, repair or replace the defective Products.<\/td>\n<\/tr>\n
9.4 Spole\u010dnost JNJ nenese odpov\u011bdnost za nedodr\u017een\u00ed z\u00e1ruky uveden\u00e9 v \u010dl\u00e1nku 9, pokud: (a) kupuj\u00edc\u00ed po ozn\u00e1men\u00ed v souladu s odstavcem 9.1 takov\u00e9 Produkty jak\u00fdmkoli zp\u016fsobem d\u00e1le pou\u017eije; (b) vada vznikne proto, \u017ee kupuj\u00edc\u00ed nedodr\u017eel \u00fastn\u00ed nebo p\u00edsemn\u00e9 pokyny spole\u010dnosti JNJ ohledn\u011b skladov\u00e1n\u00ed, uveden\u00ed do provozu, instalace, pou\u017e\u00edv\u00e1n\u00ed a \u00fadr\u017eby Produkt\u016f nebo spr\u00e1vn\u00e9 obchodn\u00ed praxe, pokud jde o Produkty; (c) kupuj\u00edc\u00ed tyto Produkty pozm\u011bn\u00ed nebo oprav\u00ed bez p\u00edsemn\u00e9ho souhlasu spole\u010dnosti JNJ; (d) vada vznikne v d\u016fsledku b\u011b\u017en\u00e9ho opot\u0159eben\u00ed, \u00famysln\u00e9ho po\u0161kozen\u00ed, nedbalosti nebo neobvykl\u00fdch skladovac\u00edch nebo pracovn\u00edch podm\u00ednek; (e) Produkty se li\u0161\u00ed od sv\u00e9ho popisu v d\u016fsledku zm\u011bn proveden\u00fdch k zaji\u0161t\u011bn\u00ed jejich souladu s platn\u00fdmi po\u017eadavky pr\u00e1vn\u00edch p\u0159edpis\u016f nebo regula\u010dn\u00edmi po\u017eadavky; (f) kupuj\u00edc\u00ed si je vady v\u011bdom v dob\u011b uzav\u0159en\u00ed Smlouvy nebo (g) kupuj\u00edc\u00ed nedodr\u017e\u00ed po\u017eadavky odstavce 9.2.<\/td>\n9.4 JNJ shall not be liable for the Products\u2019 failure to comply with the warranty set out in Clause 9 if: (a) the Buyer makes any further use of such Products after giving notice in accordance with Clause 9.1; (b) the defect arises because the Buyer failed to follow JNJ\u2019s oral or written instructions as to the storage, commissioning, installation, use and maintenance of the Products or good trade practice regarding the same; (c) the Buyer alters or repairs such Products without the written consent of JNJ; (d) the defect arises as a result of fair wear and tear, willful damage, negligence, or abnormal storage or working conditions; (e) the Products differ from their description as a result of changes made to ensure they comply with applicable statutory or regulatory requirements; (f) the Buyer is aware of the defect at the time of concluding the Contract; or (g) the Buyer fails to comply with the requirements of Clause 9.2.<\/td>\n<\/tr>\n
9.5 V p\u0159\u00edpad\u011b, \u017ee gener\u00e1tor dos\u00e1hne konce \u017eivotnosti nebo se stane zastaral\u00fdm, bude kupuj\u00edc\u00ed kontaktovat spole\u010dnost Shockwave v\u00fdhradn\u011b za \u00fa\u010delem zaji\u0161t\u011bn\u00ed p\u0159epravy gener\u00e1toru na m\u00edsto ur\u010den\u00e9 spole\u010dnost\u00ed Shockwave, kter\u00e1 bude odpov\u011bdn\u00e1 za v\u0161echny souvisej\u00edc\u00ed n\u00e1klady na p\u0159epravu.<\/td>\n9.5 In the event where the generator reaches end-of-life or becomes obsolete, the Buyer shall contact Shockwave exclusively to arrange shipment of the generator to the location designated by Shockwave who will be responsible for all associated shipping costs.<\/td>\n<\/tr>\n
9.6 S v\u00fdjimkou ustanoven\u00ed v tomto \u010dl\u00e1nku 9 nenese spole\u010dnost JNJ v\u016f\u010di kupuj\u00edc\u00edmu \u017e\u00e1dnou odpov\u011bdnost, pokud jde o nesoulad Produkt\u016f se z\u00e1rukou uvedenou v \u010dl\u00e1nku 9. V p\u0159\u00edpadech uveden\u00fdch v odstavci 10.2 z\u016fst\u00e1v\u00e1 pr\u00e1vo kupuj\u00edc\u00edho na n\u00e1hradu \u0161kody nedot\u010deno.<\/td>\n9.6 Except as provided in this Clause 9, JNJ shall have no liability to the Buyer in respect of the Products\u2019 failure to comply with the warranty set out in Clause 9. For the cases referred to in Clause 10.2, the Buyer\u2019s right to claim damages shall remain unaffected.<\/td>\n<\/tr>\n
9.7 Tyto VOP se vztahuj\u00ed na ka\u017ed\u00e9 opraven\u00e9 nebo vym\u011bn\u011bn\u00e9 Produkty dodan\u00e9 spole\u010dnost\u00ed JNJ.<\/td>\n9.7 These GTC shall apply to any repaired or replacement Products supplied by JNJ.<\/td>\n<\/tr>\n
10. Odpov\u011bdnost<\/strong><\/td>\n10. Liability <\/strong><\/td>\n<\/tr>\n
10.1 Omezen\u00ed odpov\u011bdnosti v tomto \u010dl\u00e1nku 10 se vztahuj\u00ed na ka\u017edou odpov\u011bdnost vzniklou na z\u00e1klad\u011b Smlouvy nebo v souvislosti s n\u00ed, v\u010detn\u011b odpov\u011bdnosti ze smlouvy, z ob\u010danskopr\u00e1vn\u00edho deliktu (v\u010detn\u011b nedbalosti), uveden\u00ed v omyl, bezd\u016fvodn\u00e9ho obohacen\u00ed nebo vznikl\u00e9 jinak.<\/td>\n10.1 The restrictions on liability in this Clause 10 apply to every liability arising under or in connection with the Contract including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise.<\/td>\n<\/tr>\n
10.2 Nic ve Smlouv\u011b neomezuje jakoukoli odpov\u011bdnost za: (a) \u00famrt\u00ed nebo poran\u011bn\u00ed nebo \u00fajmu na zdrav\u00ed zp\u016fsoben\u00e9 nedbalost\u00ed; (b) \u00famysl nebo hrubou nedbalost spole\u010dnosti JNJ nebo jej\u00edch z\u00e1stupc\u016f nebo zprost\u0159edkovatel\u016f; (c) podvod nebo podvodn\u00e9 uveden\u00ed v omyl; (d) poru\u0161en\u00ed platn\u00fdch \u010desk\u00fdch pr\u00e1vn\u00edch p\u0159edpis\u016f v oblasti odpov\u011bdnosti za v\u00fdrobek; (e) poru\u0161en\u00ed podstatn\u00fdch smluvn\u00edch z\u00e1vazk\u016f (tj. povinnost\u00ed, kter\u00e9 jsou nezbytn\u00e9 pro \u0159\u00e1dn\u00e9 pln\u011bn\u00ed Smlouvy a jejich\u017e dodr\u017eov\u00e1n\u00ed mohou strany obvykle o\u010dek\u00e1vat). V p\u0159\u00edpad\u011b poru\u0161en\u00ed podstatn\u00fdch smluvn\u00edch z\u00e1vazk\u016f z nedbalosti bude odpov\u011bdnost omezena na n\u00e1hradu za typicky p\u0159edv\u00eddatelnou \u0161kodu.<\/td>\n10.2 Nothing in the Contract limits any liability for: (a) death or damage to body or health caused by negligence; (b) intent or gross negligence of JNJ or its representatives or agents; (c) fraud or fraudulent misrepresentation; (d) breach of the applicable Czech product liability laws; (e) breach of material contractual obligations (i.e. obligations that are essential for the proper performance of the Contract and which the parties may regularly expect to be complied with). In case of negligent breach of material contractual obligations, liability shall be limited to compensation for the typically predictable damage.<\/td>\n<\/tr>\n
10.3 S v\u00fdhradou odstavce 10.1 nep\u0159ekro\u010d\u00ed celkov\u00e1 odpov\u011bdnost spole\u010dnosti JNJ v\u016f\u010di kupuj\u00edc\u00edmu \u010d\u00e1stku 600 000 K\u010d.<\/td>\n10.3 Subject to Clause 10.1, JNJ\u2019s total liability to the Buyer shall not exceed K\u010d 600,000.<\/td>\n<\/tr>\n
10.4 S v\u00fdhradou odstavce 10.1 jsou zcela vylou\u010deny n\u00e1sleduj\u00edc\u00ed typy ztr\u00e1ty: (a) u\u0161l\u00fd zisk; (b) ztr\u00e1ta odbytu nebo podnik\u00e1n\u00ed; (c) ztr\u00e1ta dohod nebo smluv; (d) ztr\u00e1ta o\u010dek\u00e1van\u00fdch \u00faspor; (e) ztr\u00e1ta pou\u017e\u00edv\u00e1n\u00ed nebo po\u0161kozen\u00ed softwaru, dat nebo informac\u00ed; (f) ztr\u00e1ta nebo po\u0161kozen\u00ed goodwillu a (g) nep\u0159\u00edm\u00e1 nebo n\u00e1sledn\u00e1 ztr\u00e1ta.<\/td>\n10.4 Subject to Clause 10.1, the following types of loss are wholly excluded: (a) loss of profits; (b) loss of sales or business; (c) loss of agreements or contracts; (d) loss of anticipated savings; (e) loss of use or corruption of software, data or information; (f) loss of or damage to goodwill; and (g) indirect or consequential loss.<\/td>\n<\/tr>\n
10.5 Tento \u010dl\u00e1nek 10 z\u016fstane v platnosti i po ukon\u010den\u00ed platnosti Smlouvy.<\/td>\n10.5 This Clause 10 shall survive termination of the Contract.<\/td>\n<\/tr>\n
11. Ukon\u010den\u00ed<\/strong><\/td>\n11. Termination<\/strong><\/td>\n<\/tr>\n
11.1 Smlouva je nad\u00e1le v platnosti a \u00fa\u010dinnosti v pln\u00e9m rozsahu a\u017e do: (a) ukon\u010den\u00ed transakc\u00ed mezi spole\u010dnost\u00ed JNJ a kupuj\u00edc\u00edm ve vztahu k Produkt\u016fm, kter\u00fdch se tato Smlouva t\u00fdk\u00e1; v tomto okam\u017eiku automaticky uplyne platnost Smlouvy; nebo (b) jej\u00edho ukon\u010den\u00ed v souladu s t\u00edmto \u010dl\u00e1nkem 11 nebo odstavcem 13.1, podle toho, co nastane d\u0159\u00edve.<\/td>\n11.1 The Contract shall continue in full force and effect until the earlier of: (a) the conclusion of the transactions between JNJ and the Buyer in relation to the Products to which this Contract relates, at which point the Contract shall automatically expire; or (b) its termination in accordance with this Clause 11 or Clause 13.1.<\/td>\n<\/tr>\n
11.2 Spole\u010dnost JNJ m\u016f\u017ee Smlouvu vypov\u011bd\u011bt s okam\u017eitou \u00fa\u010dinnost\u00ed, bez omezen\u00ed jej\u00edch dal\u0161\u00edch pr\u00e1v nebo opravn\u00fdch prost\u0159edk\u016f, p\u00edsemn\u00fdm ozn\u00e1men\u00edm kupuj\u00edc\u00edmu, pokud se kupuj\u00edc\u00ed dopust\u00ed podstatn\u00e9ho poru\u0161en\u00ed n\u011bkter\u00e9 podm\u00ednky Smlouvy a (pokud lze toto poru\u0161en\u00ed napravit) toto poru\u0161en\u00ed nenaprav\u00ed do t\u0159iceti (30) dn\u016f od doby, kdy byl kupuj\u00edc\u00ed p\u00edsemn\u011b upozorn\u011bn, \u017ee tak m\u00e1 u\u010dinit.<\/td>\n11.2 Without limiting its other rights or remedies, JNJ may terminate the Contract with immediate effect by giving written notice to the Buyer if the Buyer commits a material breach of any term of the Contract and (if such a breach is remediable) fails to remedy that breach within thirty (30) days of the Buyer being notified in writing to do so.<\/td>\n<\/tr>\n
11.3 Spole\u010dnost JNJ m\u016f\u017ee Smlouvu s okam\u017eitou platnost\u00ed vypov\u011bd\u011bt nebo pozastavit poskytov\u00e1n\u00ed Produkt\u016f podle Smlouvy nebo kter\u00e9koli jin\u00e9 smlouvy mezi kupuj\u00edc\u00edm a spole\u010dnost\u00ed JNJ bez omezen\u00ed jej\u00edch dal\u0161\u00edch pr\u00e1v nebo opravn\u00fdch prost\u0159edk\u016f, pokud: (a) kupuj\u00edc\u00ed u\u010din\u00ed jak\u00fdkoli krok nebo opat\u0159en\u00ed v souvislosti s ustanoven\u00edm spr\u00e1vy nad kupuj\u00edc\u00edm, ustanoven\u00edm p\u0159edb\u011b\u017en\u00e9ho likvid\u00e1tora nebo uzav\u0159en\u00edm narovn\u00e1n\u00ed nebo ujedn\u00e1n\u00ed se sv\u00fdmi v\u011b\u0159iteli (jin\u00e9ho ne\u017e v souvislosti s restrukturalizac\u00ed solventn\u00ed spole\u010dnosti), z\u00edsk\u00e1n\u00edm moratoria, vstupem do likvidace (a\u0165 u\u017e dobrovoln\u00e9, nebo z p\u0159\u00edkazu soudu, pokud to nen\u00ed za \u00fa\u010delem restrukturalizace solventn\u00ed spole\u010dnosti), jmenov\u00e1n\u00edm spr\u00e1vce n\u011bkter\u00e9ho z jeho aktiv nebo ukon\u010den\u00edm podnik\u00e1n\u00ed; (b) kupuj\u00edc\u00ed pozastav\u00ed, hroz\u00ed, \u017ee pozastav\u00ed, p\u0159estane nebo hroz\u00ed, \u017ee p\u0159estane vykon\u00e1vat ve\u0161kerou svoji podnikatelskou \u010dinnost nebo podstatnou \u010d\u00e1st sv\u00e9 podnikatelsk\u00e9 \u010dinnosti; nebo (c) finan\u010dn\u00ed situace kupuj\u00edc\u00edho se zhor\u0161\u00ed natolik, \u017ee p\u0159im\u011b\u0159en\u011b ospravedl\u0148uje n\u00e1zor, \u017ee je ohro\u017eena jeho schopnost realizovat podm\u00ednky Smlouvy; nebo (d) spole\u010dnost JNJ se d\u016fvodn\u011b domn\u00edv\u00e1, \u017ee kupuj\u00edc\u00ed se m\u00e1 st\u00e1t p\u0159edm\u011btem n\u011bkter\u00e9ho z t\u011bchto bod\u016f, nebo pokud kupuj\u00edc\u00ed nezaplat\u00ed splatnou \u010d\u00e1stku podle t\u00e9to Smlouvy v den splatnosti.<\/td>\n11.3 Without limiting its other rights or remedies, JNJ may either terminate the Contract with immediate effect or suspend provision of the Products under the Contract or any other contract between the Buyer and JNJ if: (a) the Buyer takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), obtaining a moratorium, being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of its assets or ceasing to carry on business; (b) the Buyer suspends, threatens to suspend, ceases or threatens to cease to carry on all or a substantial part of its business; or (c) the Buyer\u2019s financial position deteriorates so far as to reasonably justify the opinion that its ability to give effect to the terms of the Contract is in jeopardy; or (d) JNJ reasonably believes that the Buyer is about to become subject to any of them, or if the Buyer fails to pay any amount due under this Contract on the due date for payment.<\/td>\n<\/tr>\n
11.4 Po ukon\u010den\u00ed sSmlouvy z jak\u00e9hokoli d\u016fvodu kupuj\u00edc\u00ed ihned spole\u010dnosti JNJ uhrad\u00ed v\u0161echny dosud neuhrazen\u00e9 faktury a \u00faroky a na dodan\u00e9 v\u00fdrobky, na kter\u00e9 v\u0161ak nebyla p\u0159edlo\u017eena \u017e\u00e1dn\u00e1 faktura, spole\u010dnost JNJ p\u0159edlo\u017e\u00ed fakturu, kter\u00e1 bude pro kupuj\u00edc\u00edho splatn\u00e1 ihned po p\u0159ijet\u00ed.<\/td>\n11.4 On termination of the Contract for any reason the Buyer shall immediately pay to JNJ all of JNJ\u2019s outstanding unpaid invoices and interest and, in respect of Products supplied but for which no invoice has been submitted, JNJ shall submit an invoice, which shall be payable by the Buyer immediately on receipt.<\/td>\n<\/tr>\n
11.5 Ukon\u010den\u00edm nebo uplynut\u00edm platnosti Smlouvy, bez ohledu na to, jak k n\u011bmu dojde, nebude dot\u010deno \u017e\u00e1dn\u00e9 z pr\u00e1v a opravn\u00fdch prost\u0159edk\u016f stran, kter\u00e9 se naakumulovaly k okam\u017eiku ukon\u010den\u00ed nebo uplynut\u00ed platnosti, v\u010detn\u011b pr\u00e1va na n\u00e1hradu \u0161kody v souvislosti s poru\u0161en\u00edm Smlouvy, kter\u00e9 existovalo v den ukon\u010den\u00ed nebo uplynut\u00ed platnosti nebo p\u0159ed t\u00edmto datem.<\/td>\n11.5 Termination or expiry of the Contract, however arising, shall not affect any of the parties\u2019 rights and remedies that have accrued as at termination or expiry, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination or expiry.<\/td>\n<\/tr>\n
11.6 Ka\u017ed\u00e9 ustanoven\u00ed Smlouvy, kter\u00e9 je v\u00fdslovn\u011b nebo ml\u010dky zam\u00fd\u0161leno tak, \u017ee nabyde platnosti nebo z\u016fstane v platnosti p\u0159i ukon\u010den\u00ed nebo uplynut\u00ed platnosti Smlouvy nebo po jeho datu, z\u016fst\u00e1v\u00e1 v platnosti a \u00fa\u010dinnosti v pln\u00e9m rozsahu.<\/td>\n11.6 Any provision of the Contract that expressly or by implication is intended to come into or continue in force on or after termination or expiry of the Contract shall remain in full force and effect.<\/td>\n<\/tr>\n
12. Ochrana \u00fadaj\u016f<\/strong><\/td>\n12. Data protection<\/strong><\/td>\n<\/tr>\n
12.1 Kupuj\u00edc\u00ed bere na v\u011bdom\u00ed a souhlas\u00ed s t\u00edm, \u017ee spole\u010dnost JNJ m\u016f\u017ee tuto Smlouvu, jako\u017e i ve\u0161ker\u00e9 dokumenty nebo informace z\u00edskan\u00e9 od kupuj\u00edc\u00edho, v\u010detn\u011b d\u016fv\u011brn\u00fdch informac\u00ed, zp\u0159\u00edstupnit propojen\u00fdm osob\u00e1m spole\u010dnosti JNJ, kter\u00e9 odkazuj\u00ed na jakoukoli osobu, kter\u00e1 p\u0159\u00edmo nebo nep\u0159\u00edmo ovl\u00e1d\u00e1 nebo ovl\u00e1d\u00e1 tuto stranu, nebo je p\u0159\u00edmo nebo nep\u0159\u00edmo ovl\u00e1d\u00e1na nebo kontrolov\u00e1na touto stranou, p\u0159\u00edmo nebo nep\u0159\u00edmo, pod spole\u010dnou kontrolou nebo kontrolou s touto stranou.<\/td>\n12.1 Buyer acknowledges and agrees that JNJ may make this Contract, as well as any documents or information obtained from the Buyer, including confidential information, available to the linked persons of JNJ who refers to any person who, directly or indirectly, controls or controls that Party, or is directly or indirectly controlled or controlled by that Party, directly or indirectly, under joint control or control with that Party.<\/td>\n<\/tr>\n
12.2\u00a0Spole\u010dnost JNJ a\/nebo kupuj\u00edc\u00ed se mohou st\u00e1t spr\u00e1vcem ur\u010dit\u00fdch osobn\u00edch \u00fadaj\u016f v souvislosti s touto Smlouvou, nap\u0159\u00edklad p\u0159i transakc\u00edch souvisej\u00edc\u00edch s uzav\u0159en\u00edm, spr\u00e1vou a\/nebo pln\u011bn\u00edm t\u00e9to Smlouvy a\/nebo p\u0159i dod\u00e1vce zbo\u017e\u00ed nebo slu\u017eeb a\/nebo jejich \u00fadr\u017ebou, opravou nebo servisem. Krom\u011b toho m\u016f\u017ee spole\u010dnost J&J p\u016fsobit jako spr\u00e1vce osobn\u00edch \u00fadaj\u016f v rozsahu nezbytn\u00e9m pro pln\u011bn\u00ed sv\u00fdch povinnost\u00ed podle p\u0159\u00edslu\u0161n\u00fdch pr\u00e1vn\u00edch p\u0159edpis\u016f upravuj\u00edc\u00edch oblast zdravotnick\u00fdch prost\u0159edk\u016f, zejm\u00e9na v\u0161ak nikoli v\u00fdlu\u010dn\u011b, p\u0159i vy\u0161et\u0159ov\u00e1n\u00ed ne\u017e\u00e1douc\u00edch ud\u00e1lost\u00ed zdravotnick\u00fdch prost\u0159edk\u016f a p\u0159i p\u0159ed\u00e1v\u00e1n\u00ed informac\u00ed souvisej\u00edc\u00edch s nimi a\/nebo v souvislosti se st\u00ed\u017enostmi na dod\u00e1van\u00e9 zbo\u017e\u00ed nebo slu\u017eby. Smluvn\u00ed strany souhlas\u00ed se zpracov\u00e1n\u00edm t\u011bchto osobn\u00edch \u00fadaj\u016f v souladu s ustanoven\u00edmi p\u0159\u00edslu\u0161n\u00fdch pr\u00e1vn\u00edch p\u0159edpis\u016f upravuj\u00edc\u00edch ochranu osobn\u00edch \u00fadaj\u016f a zavazuj\u00ed se, \u017ee si vz\u00e1jemn\u011b poskytnou p\u0159im\u011b\u0159enou spolupr\u00e1ci p\u0159i zp\u0159\u00edstup\u0148ov\u00e1n\u00ed p\u0159\u00edslu\u0161n\u00fdch pravidel pro zpracov\u00e1n\u00ed osobn\u00edch \u00fadaj\u016f p\u0159\u00edslu\u0161n\u00fdm subjekt\u016fm \u00fadaj\u016f, pokud je to nutn\u00e9 s ohledem na okolnosti.<\/td>\n12.2 JNJ and\/or the Buyer may become the controller of certain personal data in connection with this Contract, for example, in transactions related to the conclusion, administration and\/or performance of this Contract and\/or in the supply of goods or services and\/or their maintenance, repair or service. In addition, J&J may act as a personal data controller to the extent necessary to fulfill its obligations under the relevant legislation governing the field of medical devices, in particular but not exclusively, in the investigation of adverse events of medical devices and in the transmission of information related to them and\/or in connection with complaints about supplied goods or services. The Parties agree to the processing of such personal data in accordance with the provisions of the relevant legislation governing the protection of personal data and undertake to provide each other with reasonable cooperation in making the relevant rules on the processing of personal data available to the relevant data subjects, if necessary in the light of the circumstances.<\/td>\n<\/tr>\n
13. Vy\u0161\u0161\u00ed moc<\/strong><\/td>\n13. Force majeure<\/strong><\/td>\n<\/tr>\n
13.1 \u017d\u00e1dn\u00e1 strana neporu\u0161uje Smlouvu ani nenese odpov\u011bdnost za prodlen\u00ed p\u0159i pln\u011bn\u00ed nebo za nespln\u011bn\u00ed n\u011bkter\u00e9 ze sv\u00fdch povinnost\u00ed podle Smlouvy, pokud je toto prodlen\u00ed nebo nespln\u011bn\u00ed d\u016fsledkem ud\u00e1losti, okolnosti nebo p\u0159\u00ed\u010diny mimo p\u0159im\u011b\u0159enou kontrolu strany (d\u00e1le jen \u201ep\u0159\u00edpad vy\u0161\u0161\u00ed moci\u201d). Za t\u011bchto okolnost\u00ed se lh\u016fta pro spln\u011bn\u00ed prodlu\u017euje o dobu odpov\u00eddaj\u00edc\u00ed dob\u011b, po kterou bylo pln\u011bn\u00ed z\u00e1vazku zpo\u017ed\u011bno nebo nebylo spln\u011bno. Pokud doba prodlen\u00ed nebo nepln\u011bn\u00ed trv\u00e1 t\u0159i (3) m\u011bs\u00edce, m\u016f\u017ee nedot\u010den\u00e1 strana vypov\u011bd\u011bt Smlouvu p\u00edsemnou v\u00fdpov\u011bd\u00ed s v\u00fdpov\u011bdn\u00ed lh\u016ftou v d\u00e9lce t\u0159iceti (30) dn\u016f dot\u010den\u00e9 stran\u011b.<\/td>\n13.1 Neither party shall be in breach of the Contract nor liable for delay in performing, or failure to perform, any of its obligations under the Contract if such delay or failure result from an event, circumstance, or cause beyond a party\u2019s reasonable control (\u201cForce Majeure Event\u201d). In such circumstances the time for performance shall be extended by a period equivalent to the period during which performance of the obligation has been delayed or failed to be performed. If the period of delay or non-performance continues for three (3) months, the party not affected may terminate the Contract by giving thirty (30) days\u2019 written notice to the affected party.<\/td>\n<\/tr>\n
14. Volba pr\u00e1va a jurisdikce<\/strong><\/td>\n14. Choice of law and jurisdiction<\/strong><\/td>\n<\/tr>\n
14.1 Smlouva a jak\u00fdkoli spor nebo n\u00e1rok (v\u010detn\u011b mimosmluvn\u00edch spor\u016f nebo n\u00e1rok\u016f) vypl\u00fdvaj\u00edc\u00ed z n\u00ed nebo v souvislosti s n\u00ed nebo jej\u00edm p\u0159edm\u011btem nebo vznikem se \u0159\u00edd\u00ed a vykl\u00e1d\u00e1 v souladu s pr\u00e1vn\u00edm \u0159\u00e1dem \u010cesk\u00e9 republiky.<\/td>\n14.1 The Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by and construed in accordance with the laws of the Czech Republic.<\/td>\n<\/tr>\n
14.2 Ka\u017ed\u00e1 strana neodvolateln\u011b souhlas\u00ed s t\u00edm, \u017ee v\u00fdlu\u010dnou pravomoc k urovn\u00e1n\u00ed sporu nebo n\u00e1roku (v\u010detn\u011b mimosmluvn\u00edch spor\u016f nebo n\u00e1rok\u016f) vypl\u00fdvaj\u00edc\u00edho ze Smlouvy nebo jej\u00edho p\u0159edm\u011btu nebo vzniku nebo v souvislosti s nimi maj\u00ed soudy v Praze v \u010cesk\u00e9 republice.<\/td>\n14.2 Each party irrevocably agrees that the courts of Prague, Czech Republic, shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Contract or its subject matter or formation.<\/td>\n<\/tr>\n
15. V\u0161eobecn\u00e1 ustanoven\u00ed<\/strong><\/td>\n15. General <\/strong><\/td>\n<\/tr>\n
15.1 V t\u011bchto VOP: (a) jak\u00e1koli slova n\u00e1sleduj\u00edc\u00ed po pojmech \u201ev\u010detn\u011b<\/strong>\u201c, \u201ezahrnuje<\/strong>\u201c, \u201ezejm\u00e9na<\/strong>\u201c, \u201enap\u0159\u00edklad<\/strong>\u201d nebo jak\u00e9mkoli podobn\u00e9m v\u00fdrazu se vykl\u00e1daj\u00ed jako informativn\u00ed a neomezuj\u00ed smysl slov, popisu, definice, fr\u00e1ze nebo pojmu, kter\u00fd t\u011bmto pojm\u016fm p\u0159edch\u00e1z\u00ed; a (b) odkaz na \u201ep\u00edsemn\u011b<\/strong>\u201d nebo \u201ep\u00edsemn\u00fd<\/strong>\u201d zahrnuje e-mail.<\/td>\n15.1 In these GTC: (a) any words following the terms \u201cincluding<\/strong>,\u201d \u201cinclude<\/strong>.\u201d \u201cin particular<\/strong>,\u201d \u201cfor example<\/strong>\u201d or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms; and (b) a reference to \u201cin writing<\/strong>\u201d or \u201cwritten<\/strong>\u201d includes email.<\/td>\n<\/tr>\n
15.2 \u017d\u00e1dn\u00e1 zm\u011bna t\u00e9to Smlouvy nen\u00ed \u00fa\u010dinn\u00e1, pokud nen\u00ed u\u010din\u011bna p\u00edsemn\u011b a podeps\u00e1na opr\u00e1vn\u011bn\u00fdmi z\u00e1stupci obou stran.<\/td>\n15.2 No variation of this Contract shall be effective unless it is in writing and signed by authorized representatives of both parties.<\/td>\n<\/tr>\n
15.3 Spole\u010dnost JNJ m\u016f\u017ee kdykoli postoupit, p\u0159ev\u00e9st, zastavit, zat\u00ed\u017eit, zadat subdodavateli nebo delegovat v\u0161echna sv\u00e1 pr\u00e1va nebo povinnosti podle Smlouvy nebo kter\u00e9koli nebo kteroukoli z nich, pov\u011b\u0159it jimi nebo s nimi jak\u00fdmkoli jin\u00fdm zp\u016fsobem nalo\u017eit. Kupuj\u00edc\u00ed nesm\u00ed postoupit, p\u0159ev\u00e9st, zastavit, zat\u00ed\u017eit, zadat subdodavateli nebo delegovat kter\u00e9koli ze sv\u00fdch pr\u00e1v nebo kteroukoli ze sv\u00fdch povinnost\u00ed nebo v\u0161echna sv\u00e1 pr\u00e1va nebo povinnosti podle Smlouvy, pov\u011b\u0159it jimi nebo s nimi jak\u00fdmkoli jin\u00fdm zp\u016fsobem nalo\u017eit bez p\u0159edchoz\u00edho p\u00edsemn\u00e9ho souhlasu spole\u010dnosti JNJ.<\/td>\n15.3 JNJ may at any time assign, transfer, mortgage, charge, subcontract, delegate, or deal in any other manner with all or any of its rights or obligations under the Contract. The Buyer may not assign, transfer, mortgage, charge, subcontract, delegate, or deal in any other manner with any or all of its rights or obligations under the Contract without the prior written consent of JNJ.<\/td>\n<\/tr>\n
15.4 Neuplatn\u011bn\u00ed kter\u00e9hokoli pr\u00e1va nebo opravn\u00e9ho prost\u0159edku stanoven\u00e9ho podle Smlouvy nebo podle z\u00e1kona stranou nebo prodlen\u00ed strany p\u0159i jejich uplatn\u011bn\u00ed nep\u0159edstavuje z\u0159eknut\u00ed se dan\u00e9ho nebo kter\u00e9hokoli jin\u00e9ho pr\u00e1va nebo opravn\u00e9ho prost\u0159edku ani nebr\u00e1n\u00ed dal\u0161\u00edmu uplatn\u011bn\u00ed dan\u00e9ho nebo kter\u00e9hokoli jin\u00e9ho pr\u00e1va nebo opravn\u00e9ho prost\u0159edku ani toto dal\u0161\u00ed uplatn\u011bn\u00ed neomezuje. \u017d\u00e1dn\u00e9 jednotliv\u00e9 nebo \u010d\u00e1ste\u010dn\u00e9 uplatn\u011bn\u00ed takov\u00e9ho pr\u00e1va nebo opravn\u00e9ho prost\u0159edku nebr\u00e1n\u00ed dal\u0161\u00edmu uplatn\u011bn\u00ed dan\u00e9ho nebo kter\u00e9hokoli jin\u00e9ho pr\u00e1va nebo opravn\u00e9ho prost\u0159edku ani toto dal\u0161\u00ed uplatn\u011bn\u00ed neomezuje.<\/td>\n15.4 No failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.<\/td>\n<\/tr>\n
15.5 Pokud jsou n\u011bkter\u00e1 ustanoven\u00ed nebo \u010d\u00e1st ustanoven\u00ed Smlouvy neplatn\u00e1, nez\u00e1konn\u00e1 nebo nevymahateln\u00e1 nebo se takov\u00fdmi stanou, pova\u017euj\u00ed se za zru\u0161en\u00e1, av\u0161ak platnost a vymahatelnost zb\u00fdvaj\u00edc\u00ed \u010d\u00e1sti Smlouvy t\u00edm nen\u00ed dot\u010dena. Pokud se n\u011bkter\u00e9 ustanoven\u00ed Smlouvy pova\u017euje za zru\u0161en\u00e9 podle tohoto odstavce 15.5, strany vyjednaj\u00ed v dobr\u00e9 v\u00ed\u0159e n\u00e1hradn\u00ed ustanoven\u00ed, kter\u00e9 v maxim\u00e1ln\u00ed mo\u017en\u00e9 m\u00ed\u0159e dosahuje zam\u00fd\u0161len\u00e9ho komer\u010dn\u00edho v\u00fdsledku p\u016fvodn\u00edho ustanoven\u00ed.<\/td>\n15.5 If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of the Contract. If any provision of the Contract is deemed deleted under this Clause 15.5, the parties shall negotiate in good faith to agree a replacement provision that, to the greatest extent possible, achieves the intended commercial result of the original provision.<\/td>\n<\/tr>\n
15.6 Jak\u00e9koli ozn\u00e1men\u00ed dan\u00e9 stran\u011b podle Smlouvy nebo v souvislosti s n\u00ed mus\u00ed b\u00fdt p\u00edsemn\u011b a mus\u00ed b\u00fdt zasl\u00e1no renomovan\u00fdm kur\u00fdrem nebo e-mailem na adresu dan\u00e9 strany uvedenou v objedn\u00e1vce a pova\u017euje se za p\u0159ijat\u00e9, pokud bylo zasl\u00e1no kur\u00fdrem, v okam\u017eiku a dni podpisu (nebo elektronick\u00e9ho ekvivalentu) kur\u00fdra nebo p\u0159\u00edjemce potvrzuj\u00edc\u00edho doru\u010den\u00ed nebo p\u0159ijet\u00ed, a pokud bylo zasl\u00e1no e-mailem, jedn\u00edm potvrzen\u00edm o p\u0159ijet\u00ed od jednoho z p\u0159\u00edjemc\u016f; ozn\u00e1men\u00ed v elektronick\u00e9 podob\u011b m\u016f\u017ee b\u00fdt zasl\u00e1no tak\u00e9 prost\u0159ednictv\u00edm informa\u010dn\u00edho syst\u00e9mu datov\u00fdch schr\u00e1nek, v tomto p\u0159\u00edpad\u011b se ozn\u00e1men\u00ed pova\u017euje za p\u0159ijat\u00e9 doru\u010den\u00edm do datov\u00e9 schr\u00e1nky p\u0159\u00edslu\u0161n\u00e9 strany. S v\u00fdjimkou doru\u010den\u00ed do datov\u00e9 schr\u00e1nky se tento odstavec nevztahuje na doru\u010den\u00ed dokument\u016f v r\u00e1mci \u0159\u00edzen\u00ed nebo jin\u00fdch dokument\u016f v r\u00e1mci pr\u00e1vn\u00edho \u0159\u00edzen\u00ed nebo, v p\u0159\u00edslu\u0161n\u00e9m p\u0159\u00edpad\u011b, rozhod\u010d\u00edho \u0159\u00edzen\u00ed nebo jin\u00e9ho zp\u016fsobu \u0159e\u0161en\u00ed spor\u016f.<\/td>\n15.6 Any notice given to a party under or in connection with the Contract shall be in writing and shall be sent by reputable courier or email to that party\u2019s address specified in the Order and shall be deemed as received if sent by courier, at the time and date of the signature (or electronic equivalent) of the courier or recipient confirming delivery or receipt, and, if sent by email, a single acknowledgement of receipt from one of the recipients; any notice in electronic form can be sent also via the data box information system in which case, the notice shall be deemed as received upon delivery to the data box of the relevant party. Except for delivery to a data box, this Clause does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute resolution.<\/td>\n<\/tr>\n
15.7 Smlouva p\u0159edstavuje \u00faplnou dohodu mezi stranami a nahrazuje a ru\u0161\u00ed v\u0161echny p\u0159edchoz\u00ed smlouvy, dohody, p\u0159\u00edsliby, uji\u0161t\u011bn\u00ed, z\u00e1ruky, vyj\u00e1d\u0159en\u00ed a ujedn\u00e1n\u00ed mezi nimi, a\u0165 ji\u017e p\u00edsemn\u00e9, nebo \u00fastn\u00ed, t\u00fdkaj\u00edc\u00ed se jej\u00edho p\u0159edm\u011btu. Ka\u017ed\u00e1 strana souhlas\u00ed s t\u00edm, \u017ee nebude m\u00edt \u017e\u00e1dn\u00e9 opravn\u00e9 prost\u0159edky, pokud jde o jak\u00e9koli prohl\u00e1\u0161en\u00ed, vyj\u00e1d\u0159en\u00ed, uji\u0161t\u011bn\u00ed nebo z\u00e1ruku (a\u0165 ji\u017e dan\u00e9 nev\u011bdom\u011b, nebo z nedbalosti), kter\u00e9 nejsou uvedeny ve Smlouv\u011b. Ka\u017ed\u00e1 strana souhlas\u00ed s t\u00edm, \u017ee nem\u00e1 \u017e\u00e1dn\u00fd n\u00e1rok za uveden\u00ed v omyl nev\u011bdom\u011b nebo z nedbalosti nebo nespr\u00e1vn\u00e9 prohl\u00e1\u0161en\u00ed z nedbalosti zalo\u017een\u00e9 na kter\u00e9mkoli prohl\u00e1\u0161en\u00ed ve Smlouv\u011b.<\/td>\n15.7 The Contract constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and understandings between them, whether written or oral, relating to its subject matter. Each party agrees that it shall have no remedies in respect of any statement, representation, assurance, or warranty (whether made innocently or negligently) that is not set out in the Contract. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Contract.<\/td>\n<\/tr>\n
15.8 Smluvn\u00ed strany prohla\u0161uj\u00ed, \u017ee se d\u016fkladn\u011b obezn\u00e1mily s povinnostmi vypl\u00fdvaj\u00edc\u00edmi z t\u011bchto VOP a s n\u00e1sledky jejich mo\u017en\u00e9ho nespln\u011bn\u00ed. V t\u00e9to souvislosti strany v\u00fdslovn\u011b vylu\u010duj\u00ed pou\u017eit\u00ed \u00a7 1799 a \u00a7 1800 z\u00e1kona \u010d. 89\/2012 Sb., ob\u010dansk\u00e9ho z\u00e1kon\u00edku, ve zn\u011bn\u00ed pozd\u011bj\u0161\u00edch p\u0159edpis\u016f, kter\u00fdm se \u0159\u00edd\u00ed odkazy na smluvn\u00ed podm\u00ednky ve smlouv\u00e1ch uzav\u00edran\u00fdch adhezn\u00edm zp\u016fsobem a definuj\u00ed nejasn\u00e9 nebo zvl\u00e1\u0161t\u011b nev\u00fdhodn\u00e9 dolo\u017eky a podm\u00ednky jejich platnosti, pro tyto VOP.<\/td>\n15.8 The parties declare that they have thoroughly acquainted themselves with the obligations arising from these GTC and with the consequences of any potential non-fulfilment thereof. In this context, the parties expressly exclude the application of Sections 1799 and 1800 of Act No. 89\/2012 Sb., the Civil Code, as amended, which govern references to terms and conditions in standard form contracts and define unclear or particularly disadvantageous clauses and the conditions for their validity, to these GTC.<\/td>\n<\/tr>\n
16. Registr smluv <\/strong><\/td>\n16. Register of Contracts<\/strong><\/td>\n<\/tr>\n
16.1 Pokud se na Smlouvu vztahuje povinnost uve\u0159ejn\u011bn\u00ed v registru smluv, strany souhlas\u00ed, \u017ee uve\u0159ejn\u011bn\u00ed Smlouvy podle z\u00e1kona \u010d. 340\/2015 Sb., o zvl\u00e1\u0161tn\u00edch podm\u00ednk\u00e1ch \u00fa\u010dinnosti n\u011bkter\u00fdch smluv, uve\u0159ej\u0148ov\u00e1n\u00ed t\u011bchto smluv a o registru smluv (d\u00e1le jen \u201ez\u00e1kon\u201d), zajist\u00ed kupuj\u00edc\u00ed, a to nejpozd\u011bji do 30 dn\u016f od uzav\u0159en\u00ed Smlouvy a v pln\u00e9m souladu s po\u017eadavky z\u00e1kona. Kupuj\u00edc\u00ed uve\u0159ejn\u00ed verzi Smlouvy schv\u00e1lenou k tomuto \u00fa\u010delu spole\u010dnost\u00ed JNJ, a to ve strojov\u011b \u010diteln\u00e9m form\u00e1tu a v elektronick\u00e9 podob\u011b. Kupuj\u00edc\u00ed bere na v\u011bdom\u00ed a souhlas\u00ed s t\u00edm, \u017ee spole\u010dnost JNJ je opr\u00e1vn\u011bna za\u010dernit ty \u010d\u00e1sti Smlouvy, kter\u00e9 jsou vylou\u010deny z uve\u0159ejn\u011bn\u00ed podle z\u00e1kona, tj. (i) osobn\u00ed \u00fadaje zam\u011bstnanc\u016f nebo jin\u00fdch pracovn\u00edk\u016f spole\u010dnosti JNJ a (ii) obchodn\u00ed tajemstv\u00ed spole\u010dnosti JNJ; tot\u00e9\u017e se vztahuje na metadata, jejich\u017e uve\u0159ejn\u011bn\u00ed je vy\u017eadov\u00e1no z\u00e1konem.<\/td>\n16.1 If the Contract is subject to the obligation of publication in the Register of Contracts, the parties agree that the publication of the Contract pursuant to Act No. 340\/2015 Sb., on Special Conditions of Effectiveness of Certain Contracts, Publication of These Contracts and the Register of Contracts (\u201cAct\u201d), shall be ensured by the Buyer, no later than 30 days from the conclusion of the Contract, and in full compliance with the requirements of the Act. The Buyer shall publish the version of the Contract approved for this purpose by JNJ, in a machine-readable format and in electronic form. The Buyer acknowledges and agrees that JNJ is entitled to redact those parts of the Contract that are excluded from publication under the Act, i.e. (i) personal data of JNJ\u2019s employees or other workers, and (ii) JNJ\u2019s trade secrets; the same applies to metadata required to be published by the Act.<\/td>\n<\/tr>\n
16.2 Kupuj\u00edc\u00ed je povinen vyplnit ve formul\u00e1\u0159i pro uve\u0159ejn\u011bn\u00ed Smlouvy v registru smluv adresu datov\u00e9 schr\u00e1nky spole\u010dnosti JNJ tak, aby spr\u00e1vce registru smluv mohl spole\u010dnosti JNJ zaslat potvrzen\u00ed o uve\u0159ejn\u011bn\u00ed podle \u00a7 5(4) z\u00e1kona.<\/td>\n16.2 The Buyer is obliged to fill in JNJ\u2019s data box address in the form for publication of the Contract in the Register of Contracts so that the administrator of the Register of Contracts can send JNJ a confirmation of publication pursuant to Section 5(4) of the Act.<\/td>\n<\/tr>\n
16.3 Pokud kupuj\u00edc\u00ed neuve\u0159ejn\u00ed Smlouvu v registru smluv ve lh\u016ft\u011b sjednan\u00e9 v tomto \u010dl\u00e1nku 16, je spole\u010dnost JNJ opr\u00e1vn\u011bna Smlouvu uve\u0159ejnit v registru smluv sama.<\/td>\n16.3 If the Buyer fails to publish the Contract in the Register of Contracts within the period agreed in this Clause 16, JNJ shall be entitled to publish the Contract in the Register of Contracts itself.<\/td>\n<\/tr>\n
16.4 Ustanoven\u00ed tohoto \u010dl\u00e1nku 16 se vztahuj\u00ed mutatis mutandis<\/em> tak\u00e9 na uve\u0159ejn\u011bn\u00ed objedn\u00e1vek, dodatku ke Smlouv\u011b nebo souvisej\u00edc\u00edch smluv v registru smluv.<\/td>\n16.4 The provisions of this Article 16 shall apply mutatis mutandis<\/em> also to the publication in the Register of Contracts of Orders, any amendment to the Contract, or any related agreements.<\/td>\n<\/tr>\n
17. Dodr\u017eov\u00e1n\u00ed protikorup\u010dn\u00edch pr\u00e1vn\u00edch p\u0159edpis\u016f<\/strong><\/td>\n17. Compliance with Anti-Corruption Laws<\/strong><\/td>\n<\/tr>\n
17.1 \u017d\u00e1dn\u00e1 strana neprovede \u017e\u00e1dn\u00e9 \u00fakony, kter\u00e9 jsou zak\u00e1z\u00e1ny m\u00edstn\u00edmi a jin\u00fdmi protikorup\u010dn\u00edmi pr\u00e1vn\u00edmi p\u0159edpisy (spole\u010dn\u011b d\u00e1le jen \u201eprotikorup\u010dn\u00ed pr\u00e1vn\u00ed p\u0159edpisy<\/strong>\u201c), kter\u00e9 se mohou vztahovat na jednu nebo na ob\u011b strany Smlouvy. Bez omezen\u00ed d\u0159\u00edve zm\u00edn\u011bn\u00e9ho nesm\u00ed \u017e\u00e1dn\u00e1 strana prov\u00e9st jak\u00e9koli platby, nebo nab\u00eddnout nebo p\u0159ev\u00e9st cokoli hodnotn\u00e9ho, vl\u00e1dn\u00edmu \u00fa\u0159edn\u00edkovi nebo st\u00e1tn\u00edmu zam\u011bstnanci, \u00fa\u0159edn\u00edkovi politick\u00e9 strany nebo kandid\u00e1tovi na politickou funkci nebo jak\u00e9koli jin\u00e9 t\u0159et\u00ed stran\u011b spojen\u00e9 s transakc\u00ed zp\u016fsobem, kter\u00fd by poru\u0161oval protikorup\u010dn\u00ed pr\u00e1vn\u00ed p\u0159edpisy.<\/td>\n17.1 Neither party shall perform any actions that are prohibited by local and other anti-corruption laws (collectively \u201cAnti-Corruption Laws<\/strong>\u201c) that may be applicable to one or both parties to the Contract. Without limiting the foregoing, neither party shall make any payments, or offer or transfer anything of value, to any government official or government employee, to any political party official or candidate for political office or to any other third party related to the transaction in a manner that would violate Anti-Corruption Laws.<\/td>\n<\/tr>\n
