Terms and Conditions<\/b>. All sales made by Shockwave Medical, Inc. (\u201cShockwave\u201d) to the customer (\u201cCustomer\u201d) for items listed on the Customer\u2019s purchase order, Order Form or other purchasing document (the \u201cProducts\u201d) are expressly conditioned on Customer\u2019s acceptance of these terms and conditions. Shockwave will not be bound by any terms of Customer\u2019s purchase order or other document that are additional or inconsistent with these terms and conditions, and all such terms shall be excluded.<\/p>\n<p class=\"p2\"><b>2. Delivery, Shipping, and Risk of Loss<\/b>. Shockwave will promptly fulfill Customer\u2019s purchase order and will ship Products by two-day delivery unless Customer requests overnight delivery and pays such costs. Products will be shipped FCA Shockwave\u2019s facility or fulfillment center, at which time risk of loss and title to the Products will pass to Customer. Customer will inspect all shipments of Products promptly upon delivery. If Customer fails to notify Shockwave of its rejection of any Products within three (3) days after receipt, Customer will be deemed to have accepted the Products. For Products delivered by a Shockwave representative in the field to Customer\u2019s facility (\u201cTrunk Stock\u201d), risk of loss and title to Product occurs at the time of delivery by the Shockwave sales representative.<\/p>\n<p class=\"p2\"><b>3. Price<\/b>. Prices for Products shall be Shockwave\u2019s standard list price unless otherwise specified in the applicable quote, if any (\u201c<b>Purchase Price<\/b>\u201d). Shockwave may revise Purchase Prices upon thirty (30) days\u2019 advance written notice to Customer unless otherwise provided in the applicable quote. Price changes will apply to all purchase orders received after the effective date of the price revision.<\/p>\n<p class=\"p2\"><b>4. Disclosure of Discounts<\/b>. In accordance with the discount provisions of the federal anti-kickback statute, 42 U.S.C. \u00a7 1320a- 7b(b) and the discount safe harbor regulations at 42 C.F.R. \u00a7 1001.952(h), Customer shall fully and accurately report all prices paid net of discounts where appropriate, and as appropriate, under any applicable payer reimbursement requirements and provide information upon request to Medicare, Medicaid and other federal health care programs on all discounts and price reductions received from Shockwave.<\/p>\n<p class=\"p2\"><b>5. Payment Terms<\/b>. Payment terms shall be net thirty (30) days after the date of Shockwave\u2019s invoice. Late payments are subject to a service charge equal to the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law. Customer is responsible for payment of all taxes however designated, levied, or based, but exclusive of taxes based on Shockwave\u2019s net income, unless Customer provides Shockwave with a certificate of tax exemption.<\/p>\n<p class=\"p2\"><b>6. Use of Products<\/b>. Only licensed and trained individuals may use the Products. Customer shall not modify the Products, and any modifications to the Products shall become Shockwave\u2019s sole property. Customer agrees to use the Product in accordance with all applicable laws, regulations and Shockwave user manuals and guidelines and solely for their intended applications. Customer agrees to document and provide to Shockwave all patient or user complaints regarding the Products.<\/p>\n<p class=\"p2\"><b>7. Support Services<\/b>. Upon Customer\u2019s request, Shockwave will make reasonable efforts to provide Customer with technical support or training services with respect to the Products free of charge so as to help ensure their safe and effective use (\u201cServices\u201d). Shockwave\u2019s provision of Services shall not: (a) alter or otherwise affect the legal, ethical, or professional relationships between and among Customer and its patients; or (b) include any activities that would constitute the practice of professional medical services. Customer agrees to be solely and exclusively responsible for the provision of professional medical services. Customer further agrees and acknowledges that Shockwave\u2019s provision of Services does not render Shockwave a Business Associate, consistent with 45 CFR \u00a7 164.506(c)(1).<\/p>\n<p class=\"p2\"><b>8. Substitutions<\/b>. Shockwave reserves the right to substitute a new Product identified by a different catalog number that that has different or modified specifications or composition, provided that the overall performance of the Product is not materially affected. IVL Generators may be new, reconditioned or remanufactured, but all IVL Generators will meet the same technical specifications and performance characteristics as new IVL Generators described in the operator\u2019s manuals.<\/p>\n<p class=\"p2\"><b>9. Ownership, No Implied License.\u00a0<\/b>Shockwave retains all proprietary rights in and to all designs, engineering details, and other technology and information pertaining to the Products. The sale of Products ordered hereunder does not grant to, convey or confer upon Customer or Customer\u2019s customers, or upon anyone claiming under Customer, a license, express or implied, under any patent right, copyright, or other intellectual property right of Shockwave covering or relating to any use other than is consistent with the labeling or instructions for use thereof.<\/p>\n<p class=\"p2\"><b>10. Limited Warranty\/Limited Remedy (Catheters and Sterile Sleeves)<\/b>. Shockwave warrants to Customer that the Products are free from defects in workmanship and materials and conform to Shockwave\u2019s published specifications in all material respects for the shelf life set forth on the original packaging. These warranties are contingent upon proper use of the Products in an application and individual for which it is intended and do not apply to any Product that is subjected to unusual physical or electrical stress, misuse, neglect, improper testing or storage, or modification. Shockwave\u2019s entire liability and Customer\u2019s exclusive remedy is limited to replacement of such Products.<\/p>\n<p class=\"p2\"><b>11. Limited Warranty; Limited Remedy (IVL Generators and Connector Cables)<\/b>. Shockwave warrants to Customer that the IVL Generators and Connector Cables will function in accordance with Shockwave\u2019s published specifications for a period of three (3) years from the date of delivery. This warranty does not cover defects caused by unusual physical or electrical stress, misuse, neglect, improper testing or storage, or modification. Shockwave\u2019s entire liability and Customer\u2019s exclusive remedy with respect to IVL Generators and Connector Cables is limited to repair (or, at Shockwave\u2019s option, replacement) of the defective equipment. To be eligible for repair, Customer must notify Shockwave in writing of the need for repair. At Shockwave\u2019s option, upon reasonable notice, Shockwave may replace the IVL Generators and Connector Cables with upgraded or otherwise modified versions with at least equal functionality.<\/p>\n<p class=\"p2\"><b>12. Disclaimer of Warranties<\/b>. EXCEPT FOR THE LIMITED WARRANTIES STATED IN SECTIONS 10 AND 11, THE PRODUCTS AND SERVICES ARE PROVIDED WITHOUT ANY OTHER WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. SHOCKWAVE SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.<\/p>\n<p class=\"p2\"><b>13. Intellectual Property Indemnification<\/b>. Shockwave shall defend and\/or settle all suits against Customer if and to the extent based on any claim that the Products infringe any U.S. patent or copyright. Shockwave will pay damages finally awarded against Customer in such suits, provided, that Customer: (a) promptly notifies Shockwave of such suits; (b) gives Shockwave sole control over the defense and\/or settlement of the same; and (c) reasonably assists Shockwave in such suits. Notwithstanding the above, Shockwave shall not be obligated to defend, indemnify or be liable for costs and damages if the infringement arises out of: (i) Customer\u2019s contributory infringement; (ii) the combination of Product(s) with any other products, or (ii) any use for a purpose or application for which the Product is not indicated. If Customer\u2019s use of the Products is or may be enjoined, Shockwave may, at its option and expense, either: (x) secure for Customer the right to continue using the Products by procuring appropriate license rights; (y) replace the Products with non-infringing products of at least equivalent functionality and performance; or (z) remove the enjoined Products and refund Customer the Purchase Price paid by Customer. THE FOREGOING STATES SHOCKWAVE\u2019S ENTIRE LIABILITY AND OBLIGATION (EXPRESS, STATUTORY, IMPLIED OR OTHERWISE) WITH RESPECT TO INTELLECTUAL PROPERTY INFRINGEMENT OR CLAIMS.<\/p>\n<p class=\"p2\"><b>14. Compliance with Laws<\/b>. Customer agrees to comply with all applicable provisions of any federal, state, provincial or local law or ordinance and all lawful orders, rules, and regulations issued thereunder, including without limitation, those dealing with the environment, health, data privacy, and records retention, including environmental laws, rules, and regulations relating to the proper use and disposal of the Products.<\/p>\n<p class=\"p2\"><b>15. Customer Indemnification<\/b>. Customer shall defend, indemnify, and hold harmless Shockwave, its officers, directors, employees and agents from and against any liability, damage, loss, or expense (including reasonable attorneys\u2019 fees and expenses of litigation) in connection with any third-party claims arising out of or relating toCustomer\u2019s use of theProducts, or its gross negligence, willful misconduct, breach of these terms or breach of applicable laws, except to the extent proximately caused by Shockwave\u2019s gross negligence or willful misconduct.<\/p>\n<p class=\"p2\"><b>16. Insurance<\/b>. Customer shall procure and maintain in force commercial general liability insurance including property damage, bodily injury, products liability and contractual liability, in the minimum amount of $1,000,000 per occurrence and $3,000,000 in the aggregate to cover Customer and Shockwave for any liability related to the use of Shockwave\u2019s Products.<\/p>\n<p class=\"p2\"><b>17. Limitation of Liability.\u00a0<\/b>IN NO EVENT SHALL SHOCKWAVE BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, OR IN CONNECTION WITH THE PRODUCTS OR SERVICES, REGARDLESS OF: (A) WHETHER SUCH DAMAGES WERE FORESEEABLE; (B) WHETHER CUSTOMER WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH CUSTOMER\u2019S CLAIM IS BASED. THIS LIMITATION OF LIABILITY SHALL APPLY EVEN IF CUSTOMER\u2019S REMEDIES FAIL OF THEIR ESSENTIAL PURPOSE. Each party acknowledges and agrees that the limitations of liability set forth herein reflect an allocation of risk and form an essential basis of the bargain between the parties. In no event will Shockwave\u2019s liability arising out of or related to the sale of the Products or the performance of the Services exceed the purchase price of the Products.<\/p>\n<p class=\"p2\"><b>18. Miscellaneous<\/b>. These terms and conditions contain the entire agreement and understanding between the parties on the subject of the sale of the Products. No representations or statements, other than those expressly set forth herein, were relied upon by the parties. No modification or waiver of, addition to, or deletion from, these terms and conditions shall be effective unless reduced to writing and signed by duly authorized representatives of the parties hereto. These terms and conditions shall be governed by and interpreted in accordance with the laws of the State of California, U.S.A. without reference to conflicts of law principles. Any dispute arising out of these terms and conditions shall be brought in the state or federal courts within Santa Clara County, California. Failure or delay by either party in exercising any right hereunder shall not operate as, or be deemed a waiver of such right or of any other right hereunder, except for violations which, after discussion and mutual agreement by the parties, are waived in writing. Except for payment obligations, neither party shall be liable for damages for any delay arising out of causes beyond their reasonable control, including without limitation acts of God, labor disputes, riots, wars, or component shortages. If any provision of these terms and conditions is held to be invalid or unenforceable, the remainder<\/p>\n\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\n\t\t\t\t\n\t\t\t\t\t<div class=\"accordion\" data-layout=\"default_item\">\n\t\t\t\t\t\t<h3 class=\"accordion__trigger toggle__wrapper\">\n\t\t\t\t\t\t<button class=\" btn\" aria-expanded=\"false\" aria-controls=\"accordion-item-block_884449bae75ede799817693b5e5b715e-1\">\n\t\t\t\t\t\t\tPurchase Order Terms & Conditions\t\t\t\t\t\t\t<div class=\"accordion-toggle\">\n\t\t\t\t\t\t\t\t<i class=\"fa-sharp fa-regular fa-chevron-down shockwave\" aria-hidden=\"true\"><\/i>\n\t\t\t\t\t\t\t\t<i class=\"fa-sharp fa-regular fa-plus jj\" aria-hidden=\"true\"><\/i>\n\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t\t<\/button>\n\t\t\t\t\t<\/h3>\n\t\t\t\t\t\t<div id=\"accordion-item-block_884449bae75ede799817693b5e5b715e-1\" class=\"accordion__content\">\n\t\t\t\t\t\t\t<div class=\"grid grid--column grid-md--row-reverse\">\n\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t\t<div class=\"grid__col u-wysiwyg wysiwyg_styles\">\n\n\t\t\t\t\t\t\t\t\t<p><strong>Agreement.\u00a0<\/strong>These terms, together with the purchase order that references these terms (collectively, \u201cPurchase Order\u201d), contain the entire agreement between Shockwave Medical, Inc. (\u201cShockwave\u201d) and the supplier indicated on the face of the Purchase Order (\u201cSupplier\u201d) with respect to the products (\u201cGoods\u201d) and services (\u201cServices\u201d) specified thereon, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral.<\/p>\n<p><strong>Prices and Taxes; Payment.\u00a0<\/strong>The price of the Goods and Services is the price stated in the Purchase Order (\u201cPrice\u201d). If no price is included in the Purchase Order, the Price shall be the price set out in Supplier\u2019s published price list in force as of the date of the Purchase Order. Unless otherwise specified in the Purchase Order, the Price includes all packaging, transportation costs to the Delivery Point, insurance, customs duties and fees and applicable taxes. Prices are firm and fixed and may not be increased unless Shockwave agrees in writing. Supplier shall issue an invoice to Shockwave on or any time after the completion of delivery. Unless otherwise specified in the Purchase Order, Shockwave shall pay all properly invoiced amounts due to Supplier within thirty (30) days after Shockwave\u2019s receipt of such invoice, except for any amounts disputed by Buyer in good faith, and payment shall be made in U.S. Dollars.<\/p>\n<p><strong>Product Changes.\u00a0<\/strong>Supplier agrees to notify Shockwave in writing prior to any proposed change to any Goods or Services. Supplier will not ship any Goods or start to provide any Services incorporating such change until Shockwave has approved the change.<\/p>\n<p><strong>Delivery.\u00a0<\/strong>Supplier shall deliver the Goods and\/or commence performing the Services at Shockwave\u2019s address shown on the Order or to the address specified in the Purchase Order or as otherwise instructed by Shockwave (\u201cDelivery Location\u201d). Supplier shall deliver the Goods and\/or commence performing the Services by the indicated delivery date or, if no date is specified, within a reasonable time (\u201cDelivery Date\u201d). Unless otherwise specified in the Purchase Order, Delivery of Goods shall be DDP Delivery Location (Incoterms\u00ae 2010), and title and risk of loss or damage shall pass from Supplier to Shockwave upon Supplier\u2019s delivery of the Goods to the Delivery Location. Supplier shall give written notice of shipment to Shockwave when the Goods are delivered to a carrier for transportation. Supplier shall provide Shockwave all shipping documents, including the commercial invoice, packing list, air waybill\/bill of lading and any other documents necessary to release the Goods to Shockwave within five (5) business days after Supplier delivers the Goods to the transportation carrier. If, due to Supplier\u2019s failure to ship the Goods in a timely manner, the identified method of transportation will not permit Supplier to meet the Delivery Date, Supplier shall ship the Goods by air transportation or other means acceptable to Shockwave and shall pay for any resulting increase in shipping cost. Time is of the essence in the delivery of the Goods and Services.<\/p>\n<p><strong>Packaging.\u00a0<\/strong>Supplier shall handle, pack and package the Goods so as to protect them from loss or damage, in conformance with good environmental and commercial practice, any Shockwave specifications, government regulations (including those applicable to chemicals and hazardous materials) and other applicable requirements. The complete Purchase Order number must appear on all shipping documents, shipping labels, invoices, correspondence and any other documents pertaining to the Order.<\/p>\n<p><strong>Inspection; Acceptance.\u00a0<\/strong>Shockwave shall inspect the Goods within a reasonable time after delivery and determine whether to accept the Goods. Neither receipt of delivery nor payment by Shockwave shall constitute acceptance. Shockwave will return any Goods that do not conform to the terms of this Purchase Order at Supplier\u2019s expense, and Supplier shall, at Shockwave\u2019s option, promptly (i) replace the nonconforming Goods, or (ii) refund any amounts paid by Shockwave for such nonconforming Goods.<\/p>\n<p><strong>Change or Cancellation.\u00a0<\/strong>Shockwave shall have the right to change or cancel this Purchase Order without any obligation to pay Supplier: (i) at any time before Supplier\u2019s shipment of the Goods or the commencement of the Services; or (ii) if the Goods are not delivered by the Delivery Date.<\/p>\n<p><strong>Warranties and Shockwave\u2019s Remedies.\u00a0<\/strong>Supplier warrants that: (i) it has title to the Goods free and clear of any liens, encumbrances or other claims against title; (ii) the Goods are new, of good and merchantable quality, conform with industry standards and applicable law, are fit and safe for their intended purpose, and are free from defects in design, materials and workmanship; (iii) the Goods conform strictly to the terms of the Purchase Order, any specifications or drawings provided by Shockwave and\/or any samples provided by Supplier and Supplier\u2019s published specifications for the Goods; (iv) the Goods do not and will not infringe on any patent, copyright, trademark, service mark, trade secret or other proprietary right of any third party (\u201cNon-Infringement Warranty\u201d). Supplier further warrants that any Services shall conform strictly to the terms of the Purchase Order and shall be performed in a professional and workmanlike manner and in accordance with applicable law. Supplier\u2019s warranties shall be in effect for the longer of either: (i) Supplier\u2019s normal warranty period, or (ii) one year following the date of Shockwave\u2019s acceptance of the Product or Services; provided, however, that Supplier\u2019s Noninfringement Warranty shall be in effect perpetually.<\/p>\n<p><strong>Indemnification.\u00a0<\/strong>Supplier shall defend, indemnify, and hold harmless Shockwave, its directors, officers, employees, agents, successors and assigns (\u201cShockwave Indemnitee(s)\u201d) from and against all loss, expense, liability, or damage (including judgments, fines, penalties, consultants\u2019 fees, and attorney\u2019s fees and costs of defense) (collectively, \u201cLosses\u201d) resulting from any third-party claim, complaint, suit, proceeding, or cause of action brought against any Shockwave Indemnitee arising out of or occurring in connection with the Goods and Services purchased from Seller or Seller\u2019s negligence, willful misconduct or breach of the warranties or Terms of this Purchase Order Without limiting the foregoing remedy, Seller shall, at its expense, defend, indemnify and hold harmless Shockwave Indemnitees against any and all Losses arising out of or in connection with any actual or alleged breach of the Non-Infringement Warranty.<\/p>\n<p><strong>Limitation of Liability.\u00a0<\/strong>TO THE FULLEST EXTENT PERMITTED BY LAW, UNLESS EXPRESSLY PROVIDED OTHERWISE, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL OR PUNITIVE DAMAGES BASED ON CONTRACT, TORT OR OTHER LEGAL THEORY. NOTWITHSTANDING THE FOREGOING, SUPPLIER SHALL BE RESPONSIBLE FOR DAMAGES OF ANY KIND AWARDED ON A CLAIM FOR WHICH SUPPLIER HAS AN INDEMNIFICATION OBLIGATION AND FOR DAMAGES FOR BODILY INJURY OR DEATH ARISING OUT OF USE OF A PRODUCT.<\/p>\n<p><strong>Insurance.<\/strong>\u00a0When providing Services to Shockwave, Supplier will secure and maintain insurance providing coverage for liabilities to third parties for bodily injury (personal injury) and damage to property in amounts sufficient to protect Shockwave in the event of such injury or damage and will be in compliance with any and all laws and regulations. Supplier further will maintain such additional types and limits of insurance as is customary for a company of similar size and similar operations to Supplier in the jurisdiction or jurisdictions in which Supplier\u2019s operations take place.<\/p>\n<p><strong>Confidential Information.<\/strong>\u00a0Except as required to supply Goods or Services pursuant to this Purchase Order, or as otherwise instructed by Shockwave, Supplier shall not use or disclose any confidential information of Shockwave. Confidential information includes, without limitation, all information designated by Shockwave as confidential, all information or data concerning Shockwave\u2019s products (including the discovery, invention, research, improvement, development, manufacture or sale thereof) or general business operations (including costs, forecasts, profits, pricing methods and processes), and any other information that is of such a nature that a reasonable person would believe it to be confidential.<\/p>\n<p><strong>Supplier Code of Conduct.\u00a0<\/strong>Shockwave operates with high ethical business standards and is committed to the highest standards of integrity, values and operating principles. Supplier agrees to comply with Shockwave\u2019s Supplier Code of Conduct available at https:\/\/ir.shockwavemedical.com\/static-files\/7bbe3a4e-bd6a-4e28-94a7-ff61a6163509, which is incorporated by reference and made part of this Purchase Order. In the event there is a conflict between the Supplier Code of Conduct and the terms and conditions of this Purchase Order, the terms and conditions of this Order shall govern. Shockwave may modify the Supplier Code of Conduct at any time by posting a revised version on Shockwave\u2019s website.<\/p>\n<p><strong>Compliance with Laws.<\/strong>\u00a0Supplier agrees to comply with all applicable provisions of any federal, state, provincial or local law or ordinance and all lawful orders, rules, and regulations issued thereunder, including without limitation, those dealing with the environment, health, safety, labor, human trafficking, slavery, bribery, data privacy, and records retention.<\/p>\n<p><strong>Equal Employment Laws<\/strong><strong>.\u00a0Supplier agrees to abide by the requirements of 41 CFR 60-1.4(a), 41 CFR 60-300.5(a) and 41 CFR 60-741.5(a). These regulations prohibit discrimination against qualified individuals based on their status as protected veterans or individuals with disabilities and prohibit discrimination against all individuals based on their race, color, religion, sex, sexual orientation, gender identity or national origin. Moreover, these regulations require that all subcontractors that sell Goods or Services to prime contractors (which are companies, such as Shockwave, that contract directly with the U.S. government) take affirmative action to employ and advance in employment individuals without regard to race, color, religion, sex, sexual orientation, gender identity, national origin, disability or veteran status.<\/strong><\/p>\n<p><strong>Notices.<\/strong>\u00a0Any notice required or permitted under this Purchase Order shall be in writing, sent and effective when sent by either registered or certified mail, return receipt requested, postage prepaid; or facsimile or email, receipt confirmed.<\/p>\n<p><strong>Assignment.\u00a0<\/strong>Supplier may not assign any of its rights or obligations under this Purchase Order by operation of law or otherwise.<\/p>\n<p><strong>Governing Law.\u00a0<\/strong>This Purchase Order and the rights and obligation of the parties shall be governed by, construed, and enforced in accordance with the laws of the State of California, excluding any choice of law rules which would refer the matter to the laws of another jurisdiction. The United Nations Convention on the International Sales of Goods shall not apply to sales made under this Purchase Order.<\/p>\n<p><strong>Waiver.\u00a0<\/strong>The waiver of any term or condition of this Purchase Order must be in writing. No such waiver shall be construed as a waiver of any other term or condition, nor as a waiver of any subsequent breach of the same term or condition.<\/p>\n<p><strong>Non-Restrictive Relationship.\u00a0<\/strong>Nothing in this Purchase Order shall be construed to preclude Shockwave from purchasing the same or similar goods or services as the Goods or Services provided under this Purchase Order from any third party.<\/p>\n<p><strong>Severability.\u00a0<\/strong>If a body of competent jurisdiction holds any term or provision of this Purchase Order to be invalid or unenforceable, such term or provision will be construed, limited or, if necessary, severed to the extent necessary to eliminate such invalidity or unenforceability, and the other provisions of this Purchase Order will remain in full force and effect.<\/p>\n<h4><strong>Other Potential Clauses:<\/strong><\/h4>\n<p><strong>License Grant.<\/strong>\u00a0If Goods include software, Supplier grants to Shockwave a non-exclusive, royalty-free, worldwide license to use, import, reproduce, and distribute the software in object code form for use directly or as integrated into Shockwave Goods. If Goods include documentation, Supplier grants to Shockwave a non-exclusive, royalty-free, worldwide license to use, reproduce, distribute and prepare derivative works in Shockwave\u2019s name all documentation furnished by Supplier. Shockwave may reproduce such documentation without Supplier\u2019s logo or other identification of source, subject to affixing copyright notices to all copies of documentation, and Supplier hereby waives and shall cause to be waived all applicable moral rights with respect to such documentation.<\/p>\n<p><strong>Insurance.<\/strong>\u00a0When providing Services to Shockwave, Supplier will secure and maintain insurance providing coverage for liabilities to third parties for bodily injury (personal injury) and damage to property in amounts sufficient to protect Shockwave in the event of such injury or damage, and will be in compliance with any and all laws, regulations or orders. Supplier further will maintain such additional types and limits of insurance as is customary for a company of similar size and similar operations to Supplier in the jurisdiction or jurisdictions in which Supplier\u2019s operations take place.<\/p>\n<p><strong>Audit.\u00a0<\/strong>Shockwave will have the right, upon reasonable request, to review Supplier\u2019s books and records with respect to any transactions related to this Order for a period of three (3) years after delivery of the applicable Product(s) and\/or Service(s). All records will be maintained in accordance with GAAP or like accounting rules in other jurisdictions and in such manner as may be readily audited. Supplier shall make its records available for audit by Shockwave or its designee during regular business hours at Supplier\u2019s principal place of business upon reasonable prior written notice from Shockwave. If such audit finds that Supplier has over-billed Shockwave, Supplier shall promptly repay to Shockwave any monies paid by Shockwave relating to such over-billing. If such inspection concludes that Supplier has over-billed Shockwave by more than five percent (5%) in any one calendar year, then Supplier shall reimburse Shockwave for the cost of such audit.<\/p>\n<p><strong>Debarment and Exclusion.\u00a0<\/strong>Supplier represents and warrants that Supplier has not been debarred under Article 306 of the FDCA, 21 U.S.C. \u00a7335a(a) or (b), or excluded under 42 U.S.C. Section 1320a\u20137, or any similar federal, state, local, or foreign law, rule or regulation. In the event that Supplier becomes debarred (or debarment proceedings are initiated), Supplier shall notify Shockwave immediately, and Shockwave shall have the right to immediately terminate this Order. Supplier further represents and warrants that it has not and shall not use or employ in any capacity related to the manufacture of Goods or the performance of Services any individual, corporation, partnership, or association which has been debarred under Article 306 of the FDCA, 21 U.S.C. \u00a7335a(a) or (b) or excluded under 42 U.S.C. Section 1320a\u20137 or any similar foreign or local law, rule or regulation.
