1. Scope of application, priority<\/strong><\/h5>\n<\/td>\n<\/tr>\n
1.1 Estes Termos e Condi\u00e7\u00f5es Gerais (\u201cTCG\u201d) regem a venda de produtos da Shockwave Medical Portugal, Lda. (\u201cShockwave<\/strong>\u201c) especificados no respetivo or\u00e7amento (\u201cProdutos<\/strong>\u201c) a qualquer pessoa que os adquira (o \u201cComprador<\/strong>\u201c), incluindo ao enviar uma nota de encomenda referindo o or\u00e7amento desta empresa (\u201cEncomend<\/strong>a\u201d). Os presentes TCG constituem um contrato entre a Shockwave e o Comprador para a compra dos Produtos (\u201cContrato<\/strong>\u201c).<\/td>\n1.1 These General Terms and Conditions (these \u201cGTC\u201d) govern the sale of products of Shockwave Medical Portugal, Lda (\u201cShockwave<\/strong>\u201c) specified in Shockwave\u2019s quote (the \u201cProducts<\/strong>\u201c) to any person who purchases the Products from Shockwave (the \u201cBuyer<\/strong>\u201c), including by submitting a purchase order referencing Shockwave\u2019s quote (\u201cOrder<\/strong>\u201c). Theses GTC form a contract between Shockwave and the Buyer for the purchase of the Products (\u201cContract<\/strong>\u201c).<\/td>\n<\/tr>\n
1.2. Estes TCG aplicam-se ao Contrato, com exclus\u00e3o de quaisquer outros termos que o Comprador procure impor ou incorporar, ou que estejam impl\u00edcitos na lei, costume comercial, pr\u00e1tica ou curso de negocia\u00e7\u00e3o. Os termos e condi\u00e7\u00f5es divergentes, contradit\u00f3rios ou suplementares do Comprador apenas se tornar\u00e3o parte do Contrato, na medida em que a Shockwave tenha expressamente concordado com a sua validade. Este requisito de consentimento aplica-se em todos os casos, incluindo, por exemplo, se a Shockwave realizar a entrega ao Comprador, com conhecimento de quaisquer termos e condi\u00e7\u00f5es do mesmo.<\/td>\n1.2. These GTC apply to the Contract to the exclusion of any other terms that the Buyer seeks to impose or incorporate, or which are implied by law, trade custom, practice, or course of dealing. Deviating, conflicting, or supplementary terms and conditions of the Buyer shall only become part of the Contract insofar as Shockwave has expressly agreed to their validity. This requirement for consent applies in all cases, including, for example, if Shockwave performs the delivery to the Buyer in the knowledge of any terms and conditions of the Buyer.<\/td>\n<\/tr>\n
1.3. O Comprador renuncia a qualquer direito que, de outra forma, tivesse baseado em qualquer termo aprovado, entregue ou contido num seu documento, que seja inconsistente com estes TCG.<\/td>\n1.3. The Buyer waives any right it might otherwise have to rely on any term endorsed upon, delivered with, or contained in, any document of the Buyer that is inconsistent with these GTC.<\/td>\n<\/tr>\n
1.4 Em caso de conflito entre os termos estabelecidos na Encomenda e estes TCG, prevalecer\u00e3o os primeiros.<\/td>\n1.4 In the event of conflict between the terms set out in the Order and these GTC, the terms set out in the Order shall prevail.<\/td>\n<\/tr>\n

2. Celebra\u00e7\u00e3o de Contrato<\/strong><\/h5>\n<\/td>\n

2. Conclusion of Contract\u00a0<\/strong><\/h5>\n<\/td>\n<\/tr>\n
2.1. O or\u00e7amento da Shockwave para os Produtos, quaisquer amostras ou publicidade produzida ou disponibilizada pela mesma e quaisquer descri\u00e7\u00f5es ou ilustra\u00e7\u00f5es contidas nas suas brochuras ou cat\u00e1logos s\u00e3o produzidos com o \u00fanico objetivo de dar ao Comprador uma ideia aproximada dos Produtos referidos nos mesmos. N\u00e3o devem constituir uma proposta, fazer parte do Contrato, nem ter qualquer for\u00e7a contratual, a menos que explicitamente designados pela Shockwave como uma garantia do produto. O or\u00e7amento da Shockwave s\u00f3 ser\u00e1 v\u00e1lido durante o per\u00edodo indicado no mesmo.<\/td>\n2.1. Shockwave\u2019s quote for the Products, any samples or advertising produced or given by Shockwave, and any descriptions or illustrations contained in Shockwave\u2019s catalogues or brochures, are produced for the sole purpose of giving the Buyer an approximate idea of the Products referred to in them. They shall not constitute an offer, form part of the Contract, nor have any contractual force, unless explicitly designated by Shockwave as a product warranty or guarantee. Shockwave\u2019s quote shall only be valid for the period stated therein.<\/td>\n<\/tr>\n
2.2. A Encomenda constitui uma proposta do Comprador de compra dos Produtos especificados no or\u00e7amento, de acordo com estes TCG. O Comprador \u00e9 respons\u00e1vel por garantir que a Encomenda est\u00e1 completa e \u00e9 precisa.<\/td>\n2.2. The Order constitutes an offer by the Buyer to purchase the Products specified in the quote in accordance with these GTC. The Buyer is responsible for ensuring that the Order is complete and accurate.<\/td>\n<\/tr>\n

3. Entrega<\/strong><\/h5>\n<\/td>\n
\n
3. Delivery<\/strong><\/h5>\n<\/td>\n<\/tr>\n
3.1. Os Produtos ser\u00e3o entregues em recipientes adequados para transporte e armazenamento pelo Comprador, no endere\u00e7o por este especificado na Encomenda, Incoterm 2020 DDP.<\/td>\n3.1. The Products shall be delivered in containers suitable for transport and storage by the Buyer to the address of the Buyer specified in the Order, Incoterm 2020 DDP.<\/td>\n<\/tr>\n
3.2. A Shockwave entregar\u00e1 os Produtos no local definido na Encomenda ou noutro local acordado pelas partes (\u201cLocal de Entrega<\/strong>\u201c), em qualquer altura, ap\u00f3s notificar o Comprador de que os mesmos est\u00e3o prontos para expedi\u00e7\u00e3o.<\/td>\n3.2. Shockwave shall deliver the Products to the location set out in the Order or such other location as the parties may agree (\u201cDelivery Location<\/strong>\u201c) at any time after Shockwave notifies the Buyer that the Products are ready for dispatch.<\/td>\n<\/tr>\n
3.3. O Comprador deve fornecer o seu n\u00famero de identifica\u00e7\u00e3o para efeitos de IVA na Encomenda e quaisquer informa\u00e7\u00f5es e documentos razoavelmente necess\u00e1rios para a expedi\u00e7\u00e3o ou entrega dos Produtos.<\/td>\n3.3. The Buyer must provide its VAT identification number in the Order and must provide Shockwave with all other information and documents reasonably necessary for shipment or delivery of the Products.<\/td>\n<\/tr>\n
3.4. Ao encomendar, o Comprador deve considerar o tempo de processamento da entrega exigido pela Shockwave. Salvo especifica\u00e7\u00e3o ou acordo em contr\u00e1rio pela Shockwave, todas as informa\u00e7\u00f5es relativas \u00e0s datas e prazos de entrega facultados por esta s\u00e3o meramente provis\u00f3rios e n\u00e3o vinculativos, n\u00e3o sendo o prazo de entrega fundamental.<\/td>\n3.4. When ordering, the Buyer must consider Shockwave\u2019s required delivery lead times. Unless otherwise specified or agreed by Shockwave, all information regarding delivery times and delivery dates provided by Shockwave is merely provisional and non-binding, and the time of delivery is not of the essence.<\/td>\n<\/tr>\n
3.5. A Shockwave pode entregar os Produtos em fra\u00e7\u00f5es, devendo disso notificar o Comprador, se for esse o caso. Qualquer atraso na entrega de uma fra\u00e7\u00e3o ou a qualidade ou conte\u00fado de uma fra\u00e7\u00e3o n\u00e3o dar\u00e1 direito ao Comprador de cancelar qualquer outra fra\u00e7\u00e3o.<\/td>\n3.5. Shockwave may deliver the Products in instalments and will notify the Buyer if that is the case. Any delay in delivery of an instalment, or the quality or contents of an instalment shall not entitle the Buyer to cancel any other instalment.<\/td>\n<\/tr>\n
3.6. A Shockwave n\u00e3o ser\u00e1 respons\u00e1vel por qualquer atraso na entrega dos Produtos, que seja causado por um Evento de For\u00e7a Maior (conforme definido na Cl\u00e1usula 12) ou pela falta de instru\u00e7\u00f5es de entrega adequadas ou qualquer outra informa\u00e7\u00e3o relevante para o fornecimento dos Produtos, por parte do Comprador \u00e0 Shockwave.<\/td>\n3.6. Shockwave shall not be liable for any delay in delivery of the Products that is caused by a Force Majeure Event (as defined in Clause 12) or the Buyer\u2019s failure to provide Shockwave with adequate delivery instructions or any other information that is relevant to the supply of the Products.<\/td>\n<\/tr>\n
3.7. Se a Shockwave n\u00e3o conseguir entregar os Produtos (ou qualquer parte dos Produtos), a sua responsabilidade ser\u00e1 limitada aos custos e despesas razo\u00e1veis incorridos pelo Comprador na obten\u00e7\u00e3o de bens de substitui\u00e7\u00e3o, de descri\u00e7\u00e3o e qualidade semelhantes, menos o pre\u00e7o dos Produtos, exceto na medida em que tal falha seja causada por circunst\u00e2ncias descritas na Cl\u00e1usula 3.6. O Comprador dever\u00e1 mitigar tais custos e despesas.<\/td>\n3.7. If Shockwave is unable to deliver the Products (or any part of the Products), its liability shall be limited to the reasonable costs and expenses incurred by the Buyer in obtaining replacement goods of similar description and quality, less the price of the Products, except to the extent such failure is caused by circumstances described in Clause 3.6. The Buyer shall mitigate such costs and expenses.<\/td>\n<\/tr>\n

4. Risco e titularidade<\/strong><\/h5>\n<\/td>\n

4. Risk and title<\/strong><\/h5>\n<\/td>\n<\/tr>\n
4.1. O (a) risco de perda e (b) a titularidade dos Produtos passar\u00e1 para o Comprador, ap\u00f3s a conclus\u00e3o da entrega.<\/td>\n4.1. The (a) risk of loss of, and (b) title to, the Products shall pass to the Buyer on completion of delivery.<\/td>\n<\/tr>\n

5. Pre\u00e7os e condi\u00e7\u00f5es de pagamento<\/strong><\/h5>\n<\/td>\n
\n
5. Prices and payment terms<\/strong><\/h5>\n<\/td>\n<\/tr>\n
5.1. Sujeito ao disposto na Cl\u00e1usula 5.3, o pre\u00e7o dos Produtos ser\u00e1 o pre\u00e7o estabelecido na Encomenda. Todos os pre\u00e7os indicados no or\u00e7amento da Shockwave n\u00e3o incluem IVA nem outros impostos aplic\u00e1veis, os quais o Comprador pagar\u00e1 adicionalmente \u00e0 mesma \u00e0 taxa em vigor, sujeitos \u00e0 rece\u00e7\u00e3o do IVA ou fatura v\u00e1lidos.<\/td>\n5.1. Subject to Clause 5.3, the price of the Products shall be the price set out in the Order. All prices stated in Shockwave\u2019s quote are exclusive of VAT and other applicable taxes which the Buyer shall additionally pay to Shockwave at the prevailing rate subject to receipt of valid VAT or tax invoice.<\/td>\n<\/tr>\n
5.2. A Shockwave notificar\u00e1 o Comprador, por escrito e com anteced\u00eancia, de eventuais altera\u00e7\u00f5es de pre\u00e7os.<\/td>\n5.2. Shockwave shall notify the Buyer in writing in advance of price changes.<\/td>\n<\/tr>\n
5.3. A Shockwave pode, mediante notifica\u00e7\u00e3o por escrito enviada ao Comprador, em qualquer momento at\u00e9 sete (7) dias antes da entrega, aumentar o pre\u00e7o dos Produtos para refletir qualquer aumento no respetivo custo.<\/td>\n5.3. Shockwave may, by giving written notice to the Buyer at any time up to seven (7) days before delivery, increase the price of the Products to reflect any increase in the cost of the Products.<\/td>\n<\/tr>\n
5.4. A Shockwave pode faturar ao Comprador os Produtos, com o envio da Encomenda, ou em momento posterior, utilizando o endere\u00e7o especificado na Encomenda.<\/td>\n5.4. Shockwave may invoice the Buyer for the Products upon, or any time after, sending the Order at the address specified in the Order.<\/td>\n<\/tr>\n
5.5. O Comprador deve pagar, em Euros (EUR), cada fatura enviada pela Shockwave, no prazo de noventa (90) dias a contar da respetiva data na totalidade e em fundos dispon\u00edveis, e sem compensa\u00e7\u00e3o, dedu\u00e7\u00e3o ou reten\u00e7\u00e3o (exceto qualquer dedu\u00e7\u00e3o ou reten\u00e7\u00e3o de impostos, conforme exigido por lei), para a conta especificada pela mesma na Encomenda. O prazo de pagamento ser\u00e1 fundamental para o Contrato.<\/td>\n5.5. The Buyer shall pay each invoice submitted by Shockwave within ninety (90) days from the invoice date in Euros (EUR), in full and in cleared funds, and without set-off, deduction, or withholding (other than any deduction or withholding of tax as required by law), to the account specified by Shockwave in the Order. Time for payment shall be of the essence of the Contract.<\/td>\n<\/tr>\n
5.6. Se o Comprador n\u00e3o efetuar um pagamento devido \u00e0 Shockwave, ao abrigo do Contrato, at\u00e9 \u00e0 data de vencimento, sem limitar as vias de recurso desta, nos termos do disposto na Cl\u00e1usula 11, o mesmo pagar\u00e1 juros sobre o montante vencido desde a data de vencimento at\u00e9 ao respetivo pagamento efetivo, antes ou ap\u00f3s a senten\u00e7a. Os juros previstos nesta Cl\u00e1usula acumular\u00e3o diariamente a uma taxa de 4 % ao ano acima da taxa de base da Dire\u00e7\u00e3o-Geral do Tesouro e Finan\u00e7as, sendo que se esta estiver abaixo de 0 % ser\u00e1 a taxa de 4 %.<\/td>\n5.6. If the Buyer fails to make a payment due to Shockwave under the Contract by the due date, then, without limiting Shockwave\u2019s remedies under Clause 11, the Buyer shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest under this Clause will accrue each day at 4% a year above the Dire\u00e7\u00e3o-Geral do Tesouro e Finan\u00e7as\u2019s base rate from time to time, but at 4% a year for any period when that base rate is below 0%.<\/td>\n<\/tr>\n

6. Propriedade intelectual, sem licen\u00e7a<\/strong><\/h5>\n<\/td>\n

6. Intellectual property, no licence<\/strong><\/h5>\n<\/td>\n<\/tr>\n
6.1. A Shockwave reserva-se todos os direitos sobre todos e quaisquer direitos de propriedade intelectual, relacionados com os Produtos, incluindo conce\u00e7\u00f5es, detalhes de fabrico, toda a tecnologia subjacente e informa\u00e7\u00f5es sobre os produtos. Os direitos da Shockwave incluem, sem limita\u00e7\u00e3o: (i) o direito absoluto a qualquer registo, concedido nos termos de quaisquer pedidos de qualquer patente, design, marca comercial ou outro direito de propriedade intelectual regist\u00e1vel; (ii) o\u00a0goodwill<\/em>\u00a0associado a quaisquer marcas comerciais; e (iii) o direito de intentar, efetuar, opor-se, defender, processos de recurso, pedidos de indemniza\u00e7\u00e3o ou a\u00e7\u00f5es judiciais e obter compensa\u00e7\u00e3o (e reter quaisquer danos recuperados), em rela\u00e7\u00e3o a qualquer viola\u00e7\u00e3o, ou em qualquer outra causa de a\u00e7\u00e3o relacionada com a propriedade de qualquer um dos direitos de propriedade intelectual atribu\u00eddos, quer tenha ocorrido antes, na ou ap\u00f3s a data deste Contrato.<\/td>\n6.1. Shockwave reserves all rights to any and all intellectual property rights related to the Products, including designs, manufacturing details, all underlying technology, and product information. Shockwave\u2019s rights include without limitation: (i) the absolute entitlement to any registration granted pursuant to any applications for any patent, design, trademark or other registrable intellectual property right; (ii) all goodwill attaching to any trademarks; and (iii) the right to bring, make, oppose, defend, appeal proceedings, claims or actions and obtain relief (and to retain any damages recovered) in respect of any infringement, or in any other cause of action relating from ownership of any of the assigned intellectual property rights whether occurring before, on or after the date of this Contract.<\/td>\n<\/tr>\n
6.2 A venda de Produtos inclui uma licen\u00e7a n\u00e3o exclusiva e intransmiss\u00edvel apenas (a) em benef\u00edcio do Comprador e (b) desses direitos de propriedade intelectual, na medida do necess\u00e1rio para que o Comprador utilize os Produtos para o fim a que se destinam.<\/td>\n6.2 The sale of Products includes a non-exclusive and non-assignable license solely (a) for the benefit of the Buyer, and (b) of those intellectual property rights to the extent necessary for the Buyer to use the Products for their intended purpose.<\/td>\n<\/tr>\n
7.1. \u201cInforma\u00e7\u00e3o confidencial<\/strong>\u201d refere-se a toda a informa\u00e7\u00e3o confidencial relativa \u00e0 atividade, assuntos, clientes ou fornecedores de uma parte, incluindo, em particular, os pre\u00e7os, clientes, estrat\u00e9gias de vendas da Shockwave e toda a informa\u00e7\u00e3o que esta ou os seus intermedi\u00e1rios designem como confidencial, em rela\u00e7\u00e3o ao Comprador. No entanto, a Informa\u00e7\u00e3o Confidencial n\u00e3o inclui informa\u00e7\u00e3o que seja publicamente acess\u00edvel, na medida em que n\u00e3o tenha sido ou n\u00e3o seja disponibilizada ao p\u00fablico em viola\u00e7\u00e3o desta obriga\u00e7\u00e3o de confidencialidade pelo Comprador ou pelos seus funcion\u00e1rios ou agentes.<\/td>\n7.1. \u201cConfidential information<\/strong>\u201d means all confidential information concerning the business, affairs, customers, clients, or suppliers of a party including, in particular, Shockwave\u2019s pricing, customers, sales strategies, and all information that Shockwave or its intermediaries designate as confidential vis-\u00e0-vis the Buyer. However, Confidential Information does not include information that is publicly accessible, insofar as it has not been or will not be made accessible to the public through a breach of this confidentiality obligation by the Buyer or its employees or agents.<\/td>\n<\/tr>\n
7.2. O Comprador deve manter as informa\u00e7\u00f5es Confidenciais da Shockwave seguras e protegidas e estritamente confidenciais, pelo per\u00edodo de 5 (cinco) anos, ap\u00f3s a den\u00fancia ou cessa\u00e7\u00e3o de qualquer acordo, com o qual estes TCG estejam relacionados, n\u00e3o as divulgar\u00e1 a qualquer pessoa (direta ou indiretamente), nem as utilizar\u00e1 de outra forma que n\u00e3o para exercer os seus direitos e cumprir as suas obriga\u00e7\u00f5es, ao abrigo ou relacionados com o Contrato, exceto na medida exigida pela lei aplic\u00e1vel, decis\u00e3o judicial ou por uma decis\u00e3o de uma autoridade reguladora.<\/td>\n7.2. The Buyer shall keep Shockwave\u2019s Confidential information safe and secure and strictly confidential and for the period of five (5) years after termination or expiry of any agreement to which these GTC relate shall not disclose it to any person (directly or indirectly), nor use it, otherwise than to exercise its rights and perform its obligations under or in connection with the Contract, except to the extent required by applicable law, court order or a decision of a regulatory authority.<\/td>\n<\/tr>\n

8. Caracter\u00edsticas e utiliza\u00e7\u00e3o do produto<\/strong><\/h5>\n<\/td>\n

8. Product characteristics and product use<\/strong><\/h5>\n<\/td>\n<\/tr>\n
8.1 A adequa\u00e7\u00e3o dos Produtos para utiliza\u00e7\u00e3o e a sua conformidade com as especifica\u00e7\u00f5es da Shockwave, em rela\u00e7\u00e3o \u00e0s suas caracter\u00edsticas, requer o cumprimento de todas as instru\u00e7\u00f5es da mesma, no que diz respeito ao armazenamento e utiliza\u00e7\u00e3o corretos, bem como ao objetivo previsto. Qualquer utiliza\u00e7\u00e3o diferente da especificada na legisla\u00e7\u00e3o aplic\u00e1vel e nas respetivas instru\u00e7\u00f5es fornecidas pela Shockwave, para o produto relevante, pode levar a les\u00f5es para a sa\u00fade e corpo dos doentes, sendo proibida. O Comprador n\u00e3o deve utilizar os Produtos, exceto de acordo com a respetiva rotulagem e instru\u00e7\u00f5es de utiliza\u00e7\u00e3o.<\/td>\n8.1 The suitability of the Products for use and their conformity with specifications of Shockwave regarding their characteristics requires the observance of all instructions from Shockwave regarding correct storage and use as well as intended purpose. Any use deviating from that specified in the applicable law and in the instructions for use provided by Shockwave for the relevant product can lead to injury to the health and bodies of patients and is prohibited. The Buyer shall not use Products except according to their labelling and instructions for use.<\/td>\n<\/tr>\n
8.2 O Comprador n\u00e3o deve efetuar quaisquer altera\u00e7\u00f5es a quaisquer Produtos, incluindo na respetiva rotulagem e embalagem.<\/td>\n8.2 The Buyer shall not make any changes to any Products, including Products labelling and packaging.<\/td>\n<\/tr>\n
8.3 A Shockwave pode ocasionalmente realizar substitui\u00e7\u00f5es e altera\u00e7\u00f5es \u00e0s especifica\u00e7\u00f5es, composi\u00e7\u00e3o do produto ou documenta\u00e7\u00e3o do produto (instru\u00e7\u00f5es operacionais, manuais de instru\u00e7\u00f5es), de acordo com a legisla\u00e7\u00e3o aplic\u00e1vel.<\/td>\n8.3 Shockwave may perform replacements and changes to the specifications, product composition or product documentation (operating instructions, operating manuals), from time to time, in accordance with applicable law.<\/td>\n<\/tr>\n
8.4 Se o Comprador considerar ou tiver motivos para acreditar que os Produtos apresentam qualquer risco (de seguran\u00e7a ou outro), deve notificar imediatamente a Shockwave. Esta Cl\u00e1usula n\u00e3o afeta qualquer outra obriga\u00e7\u00e3o legal de comunica\u00e7\u00e3o, que o Comprador possa ter.<\/td>\n8.4 If the Buyer considers or has reason to believe the Products present any (safety or other) risk, the Buyer shall notify Shockwave immediately. This Clause does not affect any other legal reporting obligation the Buyer may have.<\/td>\n<\/tr>\n
8.5 Se o Comprador receber reclama\u00e7\u00f5es ou tomar conhecimento de qualquer suspeita de incidente, defeito ou n\u00e3o-conformidade dos Produtos, deve notificar imediatamente a Shockwave por e-mail, para o endere\u00e7o\u00a0complaint@shockwavemedical.com<\/a>. In doing so, the Buyer shall at all times comply with applicable laws, and in particular, the Buyer shall not disclose any personal data to Shockwave without having an appropriate legal basis for such disclosure (e.g. explicit consent) and without complying with relevant legal requirements (e.g. regarding transparency).<\/td>\n<\/tr>\n

Shockwave will reimburse Buyer for any reasonable, directly incurred out-of-pocket costs payable to any third party in connection with providing such cooperation.<\/td>\n<\/tr>\n

9.1 Sujeito \u00e0 legisla\u00e7\u00e3o aplic\u00e1vel, a Shockwave garante que, ap\u00f3s a entrega e (a) para geradores, por um per\u00edodo de cinco (5) anos e (b) para cateteres e outros consum\u00edveis, por um per\u00edodo de (i) doze (12) meses a partir da data de entrega ou (ii) se esse per\u00edodo for mais curto, a partir da data de validade indicada na embalagem desses produtos (conforme aplic\u00e1vel, o \u201cPer\u00edodo de Garantia<\/strong>\u201c), os Produtos devem: (a) estar em conformidade, em todos os aspetos materialmente relevantes, com a sua descri\u00e7\u00e3o; (b) estar livres de defeitos materiais na conce\u00e7\u00e3o, materiais e processo de fabrico; (c) ser de qualidade satisfat\u00f3ria (na ace\u00e7\u00e3o do C\u00f3digo Civil portugu\u00eas e do Decreto-Lei n\u00famero 383\/89, de 6 de novembro); e (d) estar aptos para qualquer finalidade inclu\u00edda pela Shockwave nas suas instru\u00e7\u00f5es de utiliza\u00e7\u00e3o.<\/td>\n9.1 Subject to applicable law, Shockwave warrants that upon delivery and (a) for generators, for a period of five (5) years and (b) for catheters and other consumables, for a period of (i) twelve (12) months from the date of delivery or (ii) if such period is shorter, from the expiration date indicated on the packaging of such products (as applicable, the \u201cWarranty Period<\/strong>\u201c), the Products shall: (a) conform in all material respects with their description; (b) be free from material defects in design, material and workmanship; (c) be of satisfactory quality (within the meaning of the Portuguese Civil Code and Decree-Law number 383\/89, 06.11); and (d) be fit for any purpose held out by Shockwave in their instructions for use.<\/td>\n<\/tr>\n
9.2 O Comprador deve inspecionar os Produtos imediatamente ap\u00f3s a entrega. Os defeitos evidentes devem ser comunicados \u00e0 Shockwave, por escrito, sem demora e, em qualquer caso, no prazo de 3 (tr\u00eas) dias ap\u00f3s a entrega. Os defeitos ocultos tamb\u00e9m devem ser comunicados \u00e0 Shockwave, por escrito, sem demora e, em qualquer caso, no prazo de 7 (sete) dias ap\u00f3s a descoberta dos mesmos e antes da data de validade do produto em quest\u00e3o. Na aus\u00eancia desta comunica\u00e7\u00e3o, os Produtos ser\u00e3o considerados livres de defeitos e aceites pelo Comprador.<\/td>\n9.2 The Buyer must inspect the Products immediately after delivery. Obvious defects must be reported to Shockwave in writing without delay, and in any event within three (3) days after delivery. Hidden defects must also be reported to Shockwave in writing without delay, and in any event within seven (7) days after discovery of the defect and before the expiry date of the relevant product. If this report is omitted, the Products shall be deemed to be defect-free and accepted by the Buyer.<\/td>\n<\/tr>\n
9.3 Sujeito ao disposto na Cl\u00e1usula 9.4, se: (a) o Comprador notificar por escrito a Shockwave, durante o Per\u00edodo de Garantia, seguindo o procedimento e os prazos previstos na Cl\u00e1usula 9.2, que alguns ou todos os Produtos n\u00e3o cumprem a garantia estabelecida na Cl\u00e1usula 9.1; (b) for dada \u00e0 Shockwave uma oportunidade razo\u00e1vel de inspecionar esses Produtos; e (c) o Comprador (se solicitado pela Shockwave) devolver esses Produtos ao estabelecimento principal desta, a expensas da mesma, a Shockwave deve, a seu crit\u00e9rio, reparar ou substituir os Produtos defeituosos.<\/td>\n9.3 Subject to Clause 9.4, if: (a) the Buyer gives notice in writing to Shockwave during the Warranty Period following the procedure and timelines in Clause 9.2 that some or all of the Products do not comply with the warranty set out in Clause 9.1; (b) Shockwave is given a reasonable opportunity of examining such Products; and (c) the Buyer (if asked to do so by Shockwave) returns such Products to Shockwave\u2019s place of business at Shockwave\u2019s cost, Shockwave shall, at Shockwave\u2019s discretion, repair or replace the defective Products.<\/td>\n<\/tr>\n
9.4 A Shockwave n\u00e3o ser\u00e1 respons\u00e1vel pelo n\u00e3o cumprimento, por parte dos Produtos, da garantia estabelecida na Cl\u00e1usula 9.1, se: (a) o Comprador utilizar os Produtos depois de efetuar uma notifica\u00e7\u00e3o, de acordo com o disposto na Cl\u00e1usula 9.2; (b) o defeito surgir porque o Comprador n\u00e3o seguiu as instru\u00e7\u00f5es verbais ou escritas da Shockwave, relativamente ao armazenamento, coloca\u00e7\u00e3o em funcionamento, instala\u00e7\u00e3o, utiliza\u00e7\u00e3o e manuten\u00e7\u00e3o dos Produtos ou (se n\u00e3o houver) boas pr\u00e1ticas comerciais relativamente aos mesmos; (c) o Comprador alterar ou reparar tais Produtos, sem o consentimento por escrito da Shockwave; (d) o defeito surgir em resultado do desgaste, danos intencionais, neglig\u00eancia ou condi\u00e7\u00f5es anormais de armazenamento ou de funcionamento; ou (e) os Produtos diferirem da sua descri\u00e7\u00e3o, em resultado de altera\u00e7\u00f5es feitas para garantir que cumprem os requisitos legais ou regulamentares aplic\u00e1veis; ou (f) o Comprador n\u00e3o cumprir os requisitos previstos na Cl\u00e1usula 9.3.<\/td>\n9.4 Shockwave shall not be liable for the Products\u2019 failure to comply with the warranty set out in Clause 9.1 if: (a) the Buyer makes any further use of such Products after giving notice in accordance with Clause9.2; (b) the defect arises because the Buyer failed to follow Shockwave\u2019s oral or written instructions as to the storage, commissioning, installation, use and maintenance of the Products or (if there are none) good trade practice regarding the same; (c) the Buyer alters or repairs such Products without the written consent of Shockwave; (d) the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal storage or working conditions; or (e) the Products differ from their description as a result of changes made to ensure they comply with applicable statutory or regulatory requirements; or (f) the Buyer fails to comply with the requirements of Clause 9.3.<\/td>\n<\/tr>\n
9.5 Com exce\u00e7\u00e3o do previsto nesta Cl\u00e1usula 9, a Shockwave n\u00e3o ter\u00e1 qualquer responsabilidade perante o Comprador, pelo n\u00e3o cumprimento, por parte dos Produtos, da garantia estabelecida na Cl\u00e1usula 9.1.<\/td>\n9.5 Except as provided in this Clause 9, Shockwave shall have no liability to the Buyer in respect of the Products\u2019 failure to comply with the warranty set out in Clause 9.1.<\/td>\n<\/tr>\n
9.6 Os termos impl\u00edcitos no C\u00f3digo Civil portugu\u00eas e no Decreto-Lei n.\u00ba 383\/89, de 6 de novembro, est\u00e3o, no limite m\u00e1ximo permitido por lei, exclu\u00eddos do Contrato.<\/td>\n9.6 The terms implied by the Portuguese Civil Code and Portuguese Decree-Law number 383\/89, 06.11 are, to the fullest extent permitted by law, excluded from the Contract.<\/td>\n<\/tr>\n
9.7 Estes TCG aplicam-se a quaisquer Produtos reparados ou de substitui\u00e7\u00e3o, fornecidos pela Shockwave.<\/td>\n9.7 These GTC shall apply to any repaired or replacement Products supplied by Shockwave.<\/td>\n<\/tr>\n

10. Responsabilidade<\/strong><\/h5>\n<\/td>\n

10. Liability<\/strong><\/h5>\n<\/td>\n<\/tr>\n
10.1 As restri\u00e7\u00f5es de responsabilidade previstas nesta Cl\u00e1usula 10 aplicam-se a todas as responsabilidades decorrentes ou relacionadas com o Contrato, incluindo a responsabilidade contratual, por ato il\u00edcito (incluindo neglig\u00eancia), falsas declara\u00e7\u00f5es, restitui\u00e7\u00e3o ou por outros motivos.<\/td>\n10.1 The restrictions on liability in this Clause 10 apply to every liability arising under or in connection with the Contract including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise.<\/td>\n<\/tr>\n
10.2 Nada no Contrato limita qualquer responsabilidade que n\u00e3o possa ser legalmente limitada, incluindo por: (a) morte ou danos corporais causados por neglig\u00eancia; (b) fraude ou declara\u00e7\u00f5es fraudulentas; (c) viola\u00e7\u00e3o dos termos impl\u00edcitos no C\u00f3digo Civil portugu\u00eas; ou (d) produtos defeituosos, ao abrigo do C\u00f3digo Civil portugu\u00eas e do Decreto-Lei n\u00famero 383\/89, de 6 de novembro.<\/td>\n10.2 Nothing in the Contract limits any liability which cannot legally be limited, including liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) breach of the terms implied by the Portuguese Civil Code; or (d) defective products under the Portuguese Civil Code and the Decree-Law number 383\/89, 06.11.<\/td>\n<\/tr>\n
10.3 Sujeito ao disposto na Cl\u00e1usula 10.2, a responsabilidade total da Shockwave perante o Comprador n\u00e3o exceder\u00e1 os 25.000 \u20ac.<\/td>\n10.3 Subject to Clause 10.2, Shockwave\u2019s total liability to the Buyer shall not exceed \u20ac25,000.<\/td>\n<\/tr>\n
10.4 Sujeito ao disposto na Cl\u00e1usula 10.2, os seguintes tipos de perdas s\u00e3o totalmente exclu\u00eddos: (a) perda de lucros; (b) perda de vendas ou neg\u00f3cios; (c) perda de acordos ou contratos; (d) perda de poupan\u00e7as antecipadas; (e) perda de utiliza\u00e7\u00e3o ou corrup\u00e7\u00e3o de software, dados ou informa\u00e7\u00f5es; (f) perda ou danos no goodwill; e (g) perda indireta ou consequente.<\/td>\n10.4 Subject to Clause 10.2, the following types of loss are wholly excluded: (a) loss of profits; (b) loss of sales or business; (c) loss of agreements or contracts; (d) loss of anticipated savings; (e) loss of use or corruption of software, data or information; (f) loss of or damage to goodwill; and (g) indirect or consequential loss.<\/td>\n<\/tr>\n

11.1 O Contrato continuar\u00e1 em pleno vigor e efeito, at\u00e9 ao momento em que ocorrer o primeiro evento dos seguintes: (a) os Produtos sejam aceites (ou considerados aceites) pelo Comprador, momento em que o Contrato terminar\u00e1 automaticamente; ou (b) rescis\u00e3o do mesmo, de acordo com o disposto nesta Cl\u00e1usula ou na Cl\u00e1usula 13.1.<\/td>\n11.1 The Contract shall continue in full force and effect until the earlier of: (a) the Products are accepted (or deemed accepted) by the Buyer, at which point the Contract shall automatically expire; or (b) its termination in accordance with this Clause or Clause 13.1.<\/td>\n<\/tr>\n
11.2 Sem limitar os seus outros direitos ou vias de recurso, a Shockwave pode rescindir este Contrato, com efeito imediato, mediante notifica\u00e7\u00e3o por escrito enviada ao Comprador, se: (a) este cometer uma viola\u00e7\u00e3o material de qualquer termo do Contrato e (se tal viola\u00e7\u00e3o for san\u00e1vel) n\u00e3o a sanar, no prazo de 30 (trinta) dias ap\u00f3s ser notificado por escrito para faz\u00ea-lo; ou (b) o mesmo n\u00e3o pagar qualquer montante devido, ao abrigo do Contrato, na respetiva data de vencimento.<\/td>\n11.2 Without limiting its other rights or remedies, Shockwave may terminate this Contract with immediate effect by giving written notice to the Buyer if: (a) the Buyer commits a material breach of any term of the Contract and (if such a breach is remediable) fails to remedy that breach within thirty (30) days of the Buyer being notified in writing to do so; or (b) the Buyer fails to pay any amount due under the Contract on the due date for payment.<\/td>\n<\/tr>\n
11.3 Sem limitar os seus outros direitos ou vias de recurso, a Shockwave pode rescindir o Contrato com efeito imediato ou suspender o fornecimento dos Produtos, ao abrigo daquele ou de qualquer outro contrato entre ambas as partes, se: (a) o Comprador tomar qualquer medida relacionada com a sua administra\u00e7\u00e3o judicial, liquida\u00e7\u00e3o provis\u00f3ria ou fal\u00eancia ou acordo com os seus credores (que n\u00e3o em rela\u00e7\u00e3o a uma reestrutura\u00e7\u00e3o solvente), obter uma morat\u00f3ria, for liquidado (voluntariamente ou por despacho do tribunal, a menos que para fins de reestrutura\u00e7\u00e3o solvente), for nomeado um liquidat\u00e1rio para qualquer um dos seus ativos ou deixar de exercer a atividade; (b) o Comprador suspender, amea\u00e7ar suspender, cessar ou amea\u00e7ar cessar a sua atividade, no todo ou em parte substancial; ou (c) a posi\u00e7\u00e3o financeira do Comprador se deteriorar de modo a justificar razoavelmente a opini\u00e3o de que a sua capacidade de aplicar os termos do Contrato est\u00e1 em risco; ou (d) acreditar razoavelmente que o Comprador est\u00e1 prestes a ficar sujeito a qualquer uma das situa\u00e7\u00f5es atr\u00e1s referidas ou se este n\u00e3o pagar qualquer montante devido, ao abrigo deste Contrato, na respetiva data de vencimento.<\/td>\n11.3 Without limiting its other rights or remedies, Shockwave may either terminate the Contract with immediate effect or suspend provision of the Products under the Contract or any other contract between the Buyer and Shockwave if: (a) the Buyer takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), obtaining a moratorium, being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of its assets or ceasing to carry on business; (b) the Buyer suspends, threatens to suspend, ceases or threatens to cease to carry on all or a substantial part of its business; or (c) the Buyer\u2019s financial position deteriorates so far as to reasonably justify the opinion that its ability to give effect to the terms of the Contract is in jeopardy; or (d) Shockwave reasonably believes that the Buyer is about to become subject to any of them, or if the Buyer fails to pay any amount due under this Contract on the due date for payment.<\/td>\n<\/tr>\n
11.4 Ap\u00f3s a rescis\u00e3o do Contrato por qualquer motivo, o Comprador deve pagar imediatamente \u00e0 Shockwave todas as faturas n\u00e3o pagas pendentes e juros, devendo esta, em rela\u00e7\u00e3o aos Produtos fornecidos, mas ainda n\u00e3o faturados, enviar uma fatura, que ser\u00e1 paga pelo Comprador imediatamente ap\u00f3s a rece\u00e7\u00e3o.<\/td>\n11.4 On termination of the Contract for any reason the Buyer shall immediately pay to Shockwave all of Shockwave\u2019s outstanding unpaid invoices and interest and, in respect of Products supplied but for which no invoice has been submitted, Shockwave shall submit an invoice, which shall be payable by the Buyer immediately on receipt.<\/td>\n<\/tr>\n

12.1 As partes reconhecem que cada parte \u00e9 uma respons\u00e1vel separada e independente pelo tratamento de dados pessoais divulgados por cada parte \u00e0 outra, nos termos do presente Contrato.<\/td>\n12.1 The parties acknowledge that each party is a separate and independent controller of personal data disclosed by each party to the other party pursuant to this Agreement.<\/td>\n<\/tr>\n
12.2 Cada parte ser\u00e1 individual e separadamente respons\u00e1vel pelo cumprimento das obriga\u00e7\u00f5es que lhe s\u00e3o aplic\u00e1veis como respons\u00e1vel pelo tratamento de dados, ao abrigo das leis de prote\u00e7\u00e3o de dados aplic\u00e1veis, em particular (e sem limita\u00e7\u00e3o) todos os requisitos de transpar\u00eancia e legalidade necess\u00e1rios.<\/td>\n12.2 Each party shall be individually and separately responsible for complying with the obligations that apply to it as a controller under applicable data protection laws, in particular (and without limitation) all necessary transparency and lawfulness requirements.<\/td>\n<\/tr>\n
12.3 A Shockwave trata informa\u00e7\u00e3o relacionada com uma pessoa singular identificada ou identific\u00e1vel (\u201cDados Pessoais<\/strong>\u201c) dos representantes e funcion\u00e1rios do Comprador, para gerir a sua rela\u00e7\u00e3o contratual com este \u00faltimo e com a \u00fanica finalidade de executar os TCG, conservando os dados enquanto estes estiverem em vigor e, em caso de rescis\u00e3o, devidamente bloqueados, pelos per\u00edodos de limita\u00e7\u00e3o legal relevantes. A Shockwave tratar\u00e1 os Dados Pessoais acima mencionados com base no seu interesse leg\u00edtimo de manter, cumprir, desenvolver, monitorizar e aplicar as disposi\u00e7\u00f5es dos TCG. Para os fins adequados, a Shockwave informa os representantes e funcion\u00e1rios do Comprador de que os seus Dados Pessoais podem ser transferidos para as suas filiais localizadas fora do Espa\u00e7o Econ\u00f3mico Europeu, conforme permitido pelas leis aplic\u00e1veis, tendo a mesma estabelecido acordos contratuais e garantias de seguran\u00e7a a n\u00edvel interno e com terceiros, para garantir um n\u00edvel adequado de prote\u00e7\u00e3o de dados, pelo menos, conforme exigido pelas leis aplic\u00e1veis. A Shockwave informa tamb\u00e9m os representantes e funcion\u00e1rios do Comprador de que apenas os seus prestadores de servi\u00e7os, nos sectores de sistemas e tecnologia e gest\u00e3o administrativa, ter\u00e3o acesso aos seus Dados Pessoais.<\/td>\n12.3 Shockwave is processing information relating to an identified or identifiable natural person (the \u201cPersonal Data<\/strong>\u201c) of the Buyer\u2019s representatives and employees in order to manage its contractual relationship with the Buyer and for the sole purpose of the performance of the GTC and shall retain the data for the duration of the GTC and upon termination, duly blocked, for the relevant statutory limitation periods. Shockwave shall process the aforementioned Personal Data on the basis of Shockwave\u2019s legitimate interest in maintaining, complying with, developing, monitoring and enforcing the provisions of the GTC. For the appropriate purposes, Shockwave informs the Buyer\u2019s representatives and employees that their Personal Data may be transferred to Shockwave\u2019s affiliates located outside of the European Economic Area as permitted by applicable laws, and Shockwave has established contractual arrangements and security safeguards within Shockwave and with third parties to ensure an adequate level of data protection at least as required by applicable laws. Shockwave also informs the Buyer\u2019s representatives and employees that only Shockwave\u2019s service providers in the systems and technology and administrative management sectors shall have access to their Personal Data.<\/td>\n<\/tr>\n

13. Force majeure<\/strong><\/h5>\n<\/td>\n<\/tr>\n
13.1 Nenhuma das partes estar\u00e1 em viola\u00e7\u00e3o do Contrato nem ser\u00e1 respons\u00e1vel pelo atraso no cumprimento ou incumprimento de qualquer uma das suas obriga\u00e7\u00f5es, ao abrigo do Contrato, se tal atraso ou incumprimento resultar de um evento, circunst\u00e2ncia ou causa fora do controlo razo\u00e1vel de uma parte (\u201cEvento de For\u00e7a Maior<\/strong>\u201c). Nessas circunst\u00e2ncias, o prazo para o cumprimento ser\u00e1 prorrogado por um per\u00edodo equivalente ao per\u00edodo do atraso no cumprimento ou do n\u00e3o cumprimento da obriga\u00e7\u00e3o. Se o per\u00edodo de atraso ou incumprimento continuar por 3 (tr\u00eas) meses, a parte n\u00e3o afetada pode rescindir o Contrato, notificando por escrito a parte afetada com 30 (trinta) dias de anteced\u00eancia.<\/td>\n13.1 Neither party shall be in breach of the Contract nor liable for delay in performing, or failure to perform, any of its obligations under the Contract if such delay or failure result from an event, circumstance or cause beyond a party\u2019s reasonable control (\u201cForce Majeure Event<\/strong>\u201c). In such circumstances the time for performance shall be extended by a period equivalent to the period during which performance of the obligation has been delayed or failed to be performed. If the period of delay or non-performance continues for three (3) months, the party not affected may terminate the Contract by giving thirty (30) days\u2019 written notice to the affected party.<\/td>\n<\/tr>\n

14.1 O Contrato e qualquer lit\u00edgio ou reclama\u00e7\u00e3o (incluindo lit\u00edgios ou reivindica\u00e7\u00f5es extracontratuais), decorrentes ou relacionados com o mesmo ou com o seu objeto ou forma\u00e7\u00e3o, ser\u00e3o regidos e interpretados de acordo com a lei portuguesa.<\/td>\n14.1 The Contract, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation, shall be governed by and construed in accordance with the Portuguese law.<\/td>\n<\/tr>\n

15.1 Neste TCG: (a) quaisquer palavras depois dos termos \u201cincluindo\u201d, \u201cincluir\u201d. \u201cem particular\u201d, \u201cpor exemplo\u201d ou qualquer express\u00e3o semelhante devem ser interpretadas como ilustrativas e n\u00e3o devem limitar o seu sentido, descri\u00e7\u00e3o, defini\u00e7\u00e3o, frase ou termo que precede esses termos; e (b) uma refer\u00eancia a \u201cpor escrito\u201d ou \u201cescrito\u201d inclui\u00a0e-mail<\/em>.<\/td>\n15.1 In these GTC: (a) any words following the terms \u201cincluding,\u201d \u201cinclude.\u201d \u201cin particular,\u201d \u201cfor example\u201d or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms; and (b) a reference to \u201cin writing\u201d or \u201cwritten\u201d includes email.<\/td>\n<\/tr>\n

O Comprador n\u00e3o pode ceder, transferir, hipotecar, onerar, subcontratar, delegar, declarar um fideicomisso ou negociar, de qualquer outra forma, todos ou qualquer um dos seus direitos ou obriga\u00e7\u00f5es, ao abrigo do Contrato, sem o consentimento pr\u00e9vio por escrito da Shockwave.<\/td>\n15.3 Shockwave may at any time assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with all or any of its rights or obligations under the Contract. The Buyer may not assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of its rights or obligations under the Contract without the prior written consent of Shockwave.<\/td>\n<\/tr>\n
15.4 O n\u00e3o exerc\u00edcio ou atraso por uma das partes em exercer qualquer via de recurso ou direito previsto no Contrato ou por lei n\u00e3o constituir\u00e1 uma ren\u00fancia a esse ou a qualquer outro direito ou via de recurso, nem impedir\u00e1 ou restringir\u00e1 o exerc\u00edcio posterior desse ou de qualquer outro direito ou via de recurso. Nenhum exerc\u00edcio parcial ou isolado desse direito ou via de recurso deve impedir ou restringir o exerc\u00edcio adicional desse ou de qualquer outro direito ou via de recurso.<\/td>\n15.4 No failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of such right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.<\/td>\n<\/tr>\n
15.5 Se qualquer disposi\u00e7\u00e3o ou parte do Contrato for ou se tornar inv\u00e1lida, ilegal ou inaplic\u00e1vel, ser\u00e1 considerada eliminada, mas isso n\u00e3o afetar\u00e1 a validade e exequibilidade do restante Contrato. Se qualquer disposi\u00e7\u00e3o do Contrato for considerada eliminada, ao abrigo do disposto nesta Cl\u00e1usula 15.5, as partes negociar\u00e3o de boa-f\u00e9 para acordar uma disposi\u00e7\u00e3o de substitui\u00e7\u00e3o que, na m\u00e1xima medida do poss\u00edvel, atinja o resultado comercial pretendido da disposi\u00e7\u00e3o original.<\/td>\n15.5 If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed deleted, but that shall not affect the validity and enforceability of the rest of the Contract. If any provision of the Contract is deemed deleted under this Clause 15.5, the parties shall negotiate in good faith to agree a replacement provision that, to the greatest extent possible, achieves the intended commercial result of the original provision.<\/td>\n<\/tr>\n
15.6 Salvo disposi\u00e7\u00e3o expressa em contr\u00e1rio, o Contrato n\u00e3o d\u00e1 origem a qualquer direito de terceiros de invocar qualquer termo do mesmo, nos termos do C\u00f3digo Civil portugu\u00eas.<\/td>\n15.6 Unless it expressly states otherwise, the Contract does not give rise to any third party\u2019s right to enforce any term of the Contract, in the terms of the Portuguese Civil Code.<\/td>\n<\/tr>\n
15.7 Qualquer notifica\u00e7\u00e3o enviada a uma parte, ao abrigo de ou relacionada com o Contrato, ser\u00e1 efetuada por escrito e enviada por servi\u00e7os de entregas postais respeit\u00e1veis ou por\u00a0e-mail<\/em>, para o endere\u00e7o dessa parte especificado na Encomenda, sendo considerada recebida, se enviada por servi\u00e7os de entregas postais, na hora e data da assinatura (ou meio eletr\u00f3nico equivalente) destes servi\u00e7os ou do destinat\u00e1rio, confirmando a entrega ou rece\u00e7\u00e3o e, se enviada por\u00a0e-mail<\/em>, atrav\u00e9s de uma \u00fanica confirma\u00e7\u00e3o de rece\u00e7\u00e3o por um dos destinat\u00e1rios. Esta Cl\u00e1usula n\u00e3o se aplica \u00e0 notifica\u00e7\u00e3o de quaisquer procedimentos ou outros documentos, em qualquer a\u00e7\u00e3o judicial ou, quando aplic\u00e1vel, qualquer arbitragem ou outro m\u00e9todo de resolu\u00e7\u00e3o de lit\u00edgios.<\/td>\n15.7 Any notice given to a party under or in connection with the Contract shall be in writing and shall be sent by reputable courier or email to that party\u2019s address specified in the Order and shall be deemed as received if sent by courier, at the time and date of the signature (or electronic equivalent) of the courier or recipient confirming delivery or receipt, and, if sent by email, a single acknowledgement of receipt from one of the recipients. This Clause does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute resolution.<\/td>\n<\/tr>\n
15.8 O Contrato constitui o acordo integral entre as partes e substitui e extingue todos os acordos, promessas, garantias, declara\u00e7\u00f5es e entendimentos anteriores entre elas, escritos ou verbais, relacionados com o respetivo objeto. Cada parte confirma n\u00e3o ter quaisquer vias de recurso, em rela\u00e7\u00e3o a qualquer afirma\u00e7\u00e3o, declara\u00e7\u00e3o ou garantia (efetuada ou prestada de forma inocente ou negligente), que n\u00e3o esteja estabelecida no Contrato. Cada parte confirma n\u00e3o ter qualquer reivindica\u00e7\u00e3o a efetuar, no presente ou no futuro, por falsas declara\u00e7\u00f5es ou distor\u00e7\u00f5es negligentes ou inocentes, com base em qualquer afirma\u00e7\u00e3o no Contrato.<\/td>\n15.8 The Contract constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and understandings between them, whether written or oral, relating to its subject matter. Each party agrees that it shall have no remedies in respect of any statement, representation, assurance, or warranty (whether made innocently or negligently) that is not set out in the Contract.
