| 1. Ámbito de aplicación, prioridad | 1. Scope of application, priority |
| 1.1 Estos Términos y condiciones generales (estos “TCG“) rigen la venta de productos de l Swav Medical Spain, S.L. (“Shockwave“) especificados en el presupuesto de Shockwave (los “Productos“) a cualquier persona que compre los Productos de Shockwave (el “Comprador“), incluido el envío de un pedido de compra que haga referencia al presupuesto de Shockwave (“Pedido“). Estos TCG forman un contrato entre Shockwave y el Comprador para la compra de los Productos (“Contrato“). | 1.1 These General Terms and Conditions (these “GTC“) govern the sale of products of SWAV Medical Spain, S.L. (“Shockwave”) specified in Shockwave’s quote (the “Products“) to any person who purchases the Products from Shockwave (the “Buyer“), including by submitting a purchase order referencing Shockwave’s quote (“Order“). Theses GTC form a contract between Shockwave and the Buyer for the purchase of the Products (“Contract“). |
| 1.2. Estos TCG se aplican al Contrato con exclusión de cualesquiera otras condiciones que el Comprador intente imponer o incorporar, o que estén implícitas por ley, costumbre comercial, práctica o curso de las negociaciones. Los términos y condiciones divergentes, contradictorios o complementarios del Comprador solo formarán parte del Contrato en la medida en que Shockwave haya aceptado expresamente su validez. Este requisito de consentimiento se aplica en todos los casos, incluyendo, por ejemplo, si Shockwave realiza la entrega al Comprador con conocimiento de cualesquiera términos y condiciones del Comprador. | 1.2. These GTC apply to the Contract to the exclusion of any other terms that the Buyer seeks to impose or incorporate, or which are implied by law, trade custom, practice, or course of dealing. Deviating, conflicting, or supplementary terms and conditions of the Buyer shall only become part of the Contract insofar as Shockwave has expressly agreed to their validity. This requirement for consent applies in all cases, including, for example, if Shockwave performs the delivery to the Buyer in the knowledge of any terms and conditions of the Buyer. |
| 1.3. El Comprador renuncia a cualquier derecho que de otro modo pudiera tener a basarse en cualquier término endosado, entregado con, o contenido en, cualquier documento del Comprador que sea inconsistente con estos TCG. | 1.3. The Buyer waives any right it might otherwise have to rely on any term endorsed upon, delivered with, or contained in, any document of the Buyer that is inconsistent with these GTC. |
| 1.4. En caso de conflicto entre los términos establecidos en el Pedido y estos TCG, prevalecerán los términos establecidos en el Pedido. | 1.4. In the event of conflict between the terms set out in the Order and these GTC, the terms set out in the Order shall prevail. |
| 2. Conclusión del Contrato | 2. Conclusion of Contract |
| 2.1. El presupuesto de Shockwave para los Productos, cualquier muestra o publicidad producida o dada por Shockwave, y cualquier descripción o ilustración contenida en los catálogos o folletos de Shockwave, se producen con el único propósito de dar al Comprador una idea aproximada de los Productos a los que se hace referencia en ellos. No constituirán una oferta, ni formarán parte del Contrato, ni tendrán fuerza contractual, a menos que Shockwave las designe explícitamente como garantía del producto. El presupuesto de Shockwave solo será válido durante el periodo establecido en el mismo. | 2.1. Shockwave’s quote for the Products, any samples or advertising produced or given by Shockwave, and any descriptions or illustrations contained in Shockwave’s catalogues or brochures, are produced for the sole purpose of giving the Buyer an approximate idea of the Products referred to in them. They shall not constitute an offer, form part of the Contract, nor have any contractual force, unless explicitly designated by Shockwave as a product warranty or guarantee. Shockwave’s quote shall only be valid for the period stated therein. |
| 2.2. El Pedido constituye una oferta por parte del Comprador para comprar los Productos especificados en el presupuesto de acuerdo con estos TCG. El Comprador es responsable de garantizar que el Pedido sea completo y preciso. | 2.2. The Order constitutes an offer by the Buyer to purchase the Products specified in the quote in accordance with these GTC. The Buyer is responsible for ensuring that the Order is complete and accurate. |
| 3. Entrega | 3. Delivery |
| 3.1. Los Productos se entregarán en contenedores adecuados para su transporte y almacenamiento por parte del Comprador a la dirección del Comprador especificada en el Pedido, Incoterm 2020 DDP. | 3.1. The Products shall be delivered in containers suitable for transport and storage by the Buyer to the address of the Buyer specified in the Order, Incoterm 2020 DDP. |
| 3.2. Shockwave entregará los Productos en la ubicación establecida en el Pedido o en cualquier otra ubicación que las partes acuerden (“Ubicación de entrega”) en cualquier momento después de que Shockwave notifique al Comprador que los Productos están listos para su envío. | 3.2. Shockwave shall deliver the Products to the location set out in the Order or such other location as the parties may agree (“Delivery Location”) at any time after Shockwave notifies the Buyer that the Products are ready for dispatch. |
| 3.3. El Comprador debe proporcionar su número de identificación del IVA en el Pedido y debe facilitar a Shockwave toda la información y documentos razonablemente necesarios para el envío o entrega de los Productos. | 3.3. The Buyer must provide its VAT identification number in the Order and must provide Shockwave with all other information and documents reasonably necessary for shipment or delivery of the Products. |
| 3.4. Al realizar el pedido, el Comprador debe tener en cuenta los plazos de entrega requeridos por Shockwave. Salvo que Shockwave especifique o acuerde lo contrario, toda la información relativa a plazos y fechas de entrega facilitada por Shockwave es meramente provisional y no vinculante, y el plazo de entrega no es esencial. No obstante, Shockwave hará todo lo comercialmente razonable para entregar los Productos en los plazos especificados por el Comprador en el Pedido. | 3.4. When ordering, the Buyer must consider Shockwave’s required delivery lead times. Unless otherwise specified or agreed by Shockwave, all information regarding delivery times and delivery dates provided by Shockwave is merely provisional and non-binding, and the time of delivery is not of the essence. However, Shockwave will use commercially reasonably endeavors to deliver the Products at the times specified by the Buyer in the Order. |
| 3.5. Shockwave podrá entregar los Productos en plazos y notificará al Comprador si ese es el caso. Cualquier demora en la entrega de un plazo, o la calidad o el contenido de un plazo no dará derecho al Comprador a cancelar cualquier otro plazo. | 3.5. Shockwave may deliver the Products in instalments and will notify the Buyer if that is the case. Any delay in delivery of an instalment, or the quality or contents of an instalment shall not entitle the Buyer to cancel any other instalment. |
| 3.6. Shockwave no será responsable de ningún retraso en la entrega de los Productos que sea causado por un Evento de fuerza mayor (tal y como se define en la cláusula 12) o por el hecho de que el Comprador no facilite a Shockwave las instrucciones de entrega adecuadas o cualquier otra información que sea relevante para el suministro de los Productos. | 3.6. Shockwave shall not be liable for any delay in delivery of the Products that is caused by a Force Majeure Event (as defined in Clause 12) or the Buyer’s failure to provide Shockwave with adequate delivery instructions or any other information that is relevant to the supply of the Products. |
| 3.7. Si Shockwave no puede entregar los Productos (o cualquier parte de los Productos), su responsabilidad se limitará a los costes y gastos razonables en que incurra el Comprador para obtener bienes de sustitución de descripción y calidad similares, menos el precio de los Productos, excepto en la medida en que dicho incumplimiento esté causado por las circunstancias descritas en la cláusula 3.6. El Comprador mitigará dichos costes y gastos. | 3.7. If Shockwave is unable to deliver the Products (or any part of the Products), its liability shall be limited to the reasonable costs and expenses incurred by the Buyer in obtaining replacement goods of similar description and quality, less the price of the Products, except to the extent such failure is caused by circumstances described in Clause 3.6. The Buyer shall mitigate such costs and expenses. |
| 4. Riesgo y titularidad | 4. Risk and title |
| 4.1. El (a) riesgo de pérdida y la (b) titularidad de los Productos pasarán al Comprador tras la finalización de la entrega. | 4.1. The (a) risk of loss of, and (b) title to, the Products shall pass to the Buyer on completion of delivery. |
| 5. Precios y condiciones de pago | 5. Prices and payment terms |
| 5.1. Todos los precios indicados en el presupuesto de Shockwave excluyen el IVA y otros impuestos aplicables que el Comprador deberá abonar adicionalmente a Shockwave al tipo vigente sujeto a la recepción de una factura válida de IVA o impuestos. | 5.1. All prices stated in Shockwave’s quote are exclusive of VAT and other applicable taxes which the Buyer shall additionally pay to Shockwave at the prevailing rate subject to receipt of valid VAT or tax invoice. |
| 5.2. Shockwave notificará al Comprador por escrito con antelación los cambios de precio. | 5.2. Shockwave shall notify the Buyer in writing in advance of price changes. |
| 5.3. Shockwave podrá, mediante notificación por escrito al Comprador en cualquier momento hasta siete (7) días antes de la entrega, aumentar el precio de los Productos para reflejar cualquier aumento en el coste de los mismos. | 5.3. Shockwave may, by giving written notice to the Buyer at any time up to seven (7) days before delivery, increase the price of the Products to reflect any increase in the cost of the Products. |
| 5.4. Shockwave podrá facturar al Comprador por los Productos en el momento de enviar el Pedido, o en cualquier momento posterior, a la dirección especificada en el Pedido. | 5.4. Shockwave may invoice the Buyer for the Products upon, or any time after, sending the Order at the address specified in the Order. |
| 5.5. El Comprador pagará cada factura presentada por Shockwave en un plazo de sesenta (60) días a partir de la fecha de la factura en euros (EUR), en su totalidad y en fondos compensados, y sin compensaciones, deducciones o retenciones (salvo cualquier deducción o retención de impuestos que exija la ley), a la cuenta especificada por Shockwave en el Pedido. El plazo de pago será el componente esencial del Contrato. | 5.5. The Buyer shall pay each invoice submitted by Shockwave within sixty (60) days from the invoice date in Euros (EUR), in full and in cleared funds, and without set-off, deduction, or withholding (other than any deduction or withholding of tax as required by law), to the account specified by Shockwave in the Order. Time for payment shall be of the essence of the Contract. |
| 5.6. Si el Comprador no realiza un pago debido a Shockwave en virtud del Contrato en la fecha de vencimiento, entonces, sin limitar los recursos de Shockwave en virtud de la cláusula 11, el Comprador deberá pagar intereses sobre la suma vencida desde la fecha de vencimiento hasta el pago de la suma vencida, ya sea antes o después de la sentencia. If the Buyer fails to make a payment due to Shockwave under the Contract by the due date, then, without limiting Shockwave’s remedies under Clause 11, the Buyer shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest under this Clause will accrue each day at 4% a year above the European Central Bank’s base rate from time to time, but at 4% a year for any period when that base rate is below 0%. |
| 6. Propiedad intelectual, sin licencia | 6. Intellectual property, no licence |
| 6.1. Shockwave se reserva todos los derechos de propiedad intelectual relacionados con los Productos, incluidos los diseños, los detalles de fabricación, toda la tecnología subyacente y la información sobre los productos. Los derechos de Shockwave incluirán, sin limitación: (i) el derecho absoluto a cualquier registro concedido en virtud de cualquier solicitud de patente, diseño, marca comercial u otro Derecho de propiedad intelectual inscribible; (ii) todo el fondo de comercio vinculado a cualquier marca comercial; y (iii) el derecho a iniciar, realizar, presentar objeciones, defender, o presentar apelaciones a procedimientos legales, demandas o acciones legales y obtener un desagravio (y retener cualquier indemnización por daños y perjuicios conseguida) con respecto a cualquier infracción, o en cualquier otra causa de acción relacionada con la titularidad de cualquiera de los Derechos de propiedad intelectual cedidos, ya sea que se produzca antes, durante o después de la fecha del presente Contrato. | 6.1. Shockwave reserves all rights to any and all intellectual property rights related to the Products, including designs, manufacturing details, all underlying technology, and product information. Shockwave’s rights include without limitation: (i) the absolute entitlement to any registration granted pursuant to any applications for any patent, design, trademark or other registrable intellectual property right; (ii) all goodwill attaching to any trademarks; and (iii) the right to bring, make, oppose, defend, appeal proceedings, claims or actions and obtain relief (and to retain any damages recovered) in respect of any infringement, or in any other cause of action relating from ownership of any of the assigned intellectual property rights whether occurring before, on or after the date of this Contract. |
| 6.2 La venta de Productos incluye una licencia no exclusiva y no cedible únicamente (a) en beneficio del Comprador, y (b) de los derechos de propiedad intelectual en la medida necesaria para que el Comprador utilice los Productos para su finalidad prevista. | 6.2 The sale of Products includes a non-exclusive and non-assignable license solely (a) for the benefit of the Buyer, and (b) of those intellectual property rights to the extent necessary for the Buyer to use the Products for their intended purpose. |
| 7. Confidencialidad | 7. Confidentiality |
| 7.1. “Información confidencial” se refiere a toda la información confidencial relativa al negocio, asuntos, clientes o proveedores de una parte, incluidos, en particular, los precios, clientes, estrategias de ventas de Shockwave y toda la información que Shockwave o sus intermediarios designen como confidencial frente al Comprador. Sin embargo, la Información confidencial no incluye la información que sea accesible públicamente, en la medida en que no haya sido o no vaya a ser accesible al público por incumplimiento de esta obligación de confidencialidad por parte del Comprador o de sus empleados o agentes. | 7.1. “Confidential information” means all confidential information concerning the business, affairs, customers, clients or suppliers of a party including, in particular, Shockwave’s pricing, customers, sales strategies, and all information that Shockwave or its intermediaries designate as confidential vis-à-vis the Buyer. However, Confidential Information does not include information that is publicly accessible, insofar as it has not been or will not be made accessible to the public through a breach of this confidentiality obligation by the Buyer or its employees or agents. |
| 7.2. El Comprador mantendrá la Información confidencial de Shockwave segura y estrictamente confidencial y, durante el periodo de cinco (5) años posteriores a la rescisión o expiración de cualquier acuerdo al que se refieran estos TCG, no la revelará a ninguna persona (directa o indirectamente), ni la utilizará, salvo para ejercer sus derechos y cumplir sus obligaciones en virtud del Contrato o en relación con el mismo, excepto en la medida en que lo exija la legislación aplicable, una orden judicial o una decisión de una autoridad reguladora. | 7.2. The Buyer shall keep Shockwave’s Confidential information safe and secure and strictly confidential and for the period of five (5) years after termination or expiry of any agreement to which these GTC relate shall not disclose it to any person (directly or indirectly), nor use it, otherwise than to exercise its rights and perform its obligations under or in connection with the Contract, except to the extent required by applicable law, court order or a decision of a regulatory authority. |
| 8. Confidencialidad | 8. Confidentiality |
| 8.1 La idoneidad de los Productos para su uso y su conformidad con las especificaciones de Shockwave en cuanto a sus características requiere la observancia de todas las instrucciones de Shockwave relativas al almacenamiento y uso correctos, así como a la finalidad prevista. Cualquier uso que se desvíe del especificado en la legislación aplicable y en las instrucciones de uso proporcionadas por Shockwave para el producto en cuestión puede provocar daños en la salud y el organismo de los pacientes y está prohibido. El Comprador no utilizará los Productos salvo de acuerdo con su etiquetado e instrucciones de uso. | 8.1 The suitability of the Products for use and their conformity with specifications of Shockwave regarding their characteristics requires the observance of all instructions from Shockwave regarding correct storage and use as well as intended purpose. Any use deviating from that specified in the applicable law and in the instructions for use provided by Shockwave for the relevant product can lead to injury to the health and bodies of patients and is prohibited. The Buyer shall not use Products except according to their labelling and instructions for use. |
| 8.2 El Comprador no realizará ningún cambio en los Productos, incluidos el etiquetado y el embalaje de los Productos. | 8.2 The Buyer shall not make any changes to any Products, including Products labelling and packaging. |
| 8.3 Shockwave podrá realizar sustituciones y cambios en las especificaciones, la composición del producto o la documentación del producto (instrucciones de funcionamiento, manuales de funcionamiento), de vez en cuando, de acuerdo con la legislación aplicable. | 8.3 Shockwave may perform replacements and changes to the specifications, product composition or product documentation (operating instructions, operating manuals), from time to time, in accordance with applicable law. |
| 8.4 Si el Comprador considera o tiene motivos para creer que los Productos presentan algún riesgo (de seguridad o de otro tipo), deberá notificarlo inmediatamente a Shockwave. Esta cláusula no afecta a ninguna otra obligación legal de notificación que el Comprador pueda tener. | 8.4 If the Buyer considers or has reason to believe the Products present any (safety or other) risk, the Buyer shall notify Shockwave immediately. This Clause does not affect any other legal reporting obligation the Buyer may have. |
| 8.5 Si el Comprador recibe alguna queja o tiene conocimiento de cualquier sospecha de incidente, defecto o no conformidad de los Productos, el Comprador deberá notificarlo inmediatamente a Shockwave en complaint@shockwavemedical.com. Al hacerlo, el Comprador cumplirá en todo momento con las leyes aplicables y, en particular, el Comprador no revelará ningún dato personal a Shockwave sin tener una base legal adecuada para dicha revelación (por ejemplo, consentimiento explícito) y sin cumplir con los requisitos legales pertinentes (por ejemplo, en materia de transparencia). | 8.5 If the Buyer receives any complaints or otherwise becomes aware of any suspected incident, defect or non-conformity of the Products, the Buyer shall notify Shockwave immediately at complaint@shockwavemedical.com. In doing so, the Buyer shall at all times comply with applicable laws, and in particular, the Buyer shall not disclose any personal data to Shockwave without having an appropriate legal basis for such disclosure (e.g. explicit consent) and without complying with relevant legal requirements (e.g. regarding transparency). |
| 8.6 En caso de retirada o acción correctiva, independientemente de que sea exigida por cualquier agencia reguladora o emprendida voluntariamente por Shockwave, el Comprador cooperará con las peticiones razonables de Shockwave con respecto a la notificación a los usuarios finales y la recogida, envío y almacenamiento de cualquier Producto devuelto. Shockwave reembolsará al Comprador todos los gastos de bolsillo razonables y directamente incurridos que deba pagar a cualquier tercero en relación con la prestación de dicha cooperación. | 8.6 In the event of a recall or corrective action, regardless of whether it is required by any regulatory agency or voluntarily undertaken by Shockwave, the Buyer shall cooperate with the reasonable requests of Shockwave with respect to the notification of end users and the collection, shipment, and storage of any returned Products. Shockwave will reimburse Buyer for any reasonable, directly incurred out-of-pocket costs payable to any third party in connection with providing such cooperation. |
| 8.7 Los Productos solo pueden ser utilizados por personas debidamente cualificadas, formadas y con experiencia, tal y como se explica detalladamente en la documentación del producto (instrucciones de uso, manuales de instrucciones). | 8.7 The Products may only be used by persons who are appropriately qualified, trained, and experienced, as explained in the product documentation (operating instructions, operating manuals) in detail. |
| 9. Garantía | 9. Warranty |
| 9.1 Con sujeción a la legislación aplicable, Shockwave garantiza que en el momento de la entrega y (a) en el caso de los generadores, durante un periodo de tres (3) años y (b) en el caso de los catéteres y otros consumibles, durante un periodo de (i) doce (12) meses a partir de la fecha de entrega o (ii) si dicho periodo es inferior, a partir de la fecha de caducidad indicada en el embalaje de dichos productos (según proceda, el “Periodo de garantía“), los Productos deberán: (a) ser conformes en todos los aspectos materiales con su descripción; (b) estar libres de defectos materiales de diseño, material y mano de obra; (c) ser de calidad satisfactoria (en el sentido del Real Decreto 1591/2009 por el que se regula los productos sanitarios (“RDPS”); y (d) ser aptos para cualquier fin indicado por Shockwave en sus instrucciones de uso. | 9.1 Subject to applicable law, Shockwave warrants that upon delivery and (a) for generators, for a period of three (3) years and (b) for catheters and other consumables, for a period of (i) twelve (12) months from the date of delivery or (ii) if such period is shorter, from the expiration date indicated on the packaging of such products (as applicable, the “Warranty Period“), the Products shall: (a) conform in all material respects with their description; (b) be free from material defects in design, material and workmanship; (c) be of satisfactory quality (within the meaning of the Spanish Royal Decree 1591/2009 regulating medical devices (“RDPS”); and (d) be fit for any purpose held out by Shockwave in their instructions for use. |
| 9.2 El Comprador debe inspeccionar los Productos inmediatamente después de la entrega. Los defectos evidentes deben comunicarse a Shockwave por escrito sin demora y, en cualquier caso, dentro de los tres (3) días siguientes a la entrega. Los defectos ocultos también deben comunicarse a Shockwave por escrito sin demora y, en cualquier caso, dentro de los siete (7) días siguientes al descubrimiento del defecto y antes de la fecha de caducidad del producto correspondiente. Si se omite este informe, los Productos se considerarán libres de defectos y aceptados por el Comprador. | 9.2 The Buyer must inspect the Products immediately after delivery. Obvious defects must be reported to Shockwave in writing without delay, and in any event within three (3) days after delivery. Hidden defects must also be reported to Shockwave in writing without delay, and in any event within seven (7) days after discovery of the defect and before the expiry date of the relevant product. If this report is omitted, the Products shall be deemed to be defect-free and accepted by the Buyer. |
| 9.3 De conformidad con la cláusula 9.4, si: (a) el Comprador notifica por escrito a Shockwave durante el Periodo de Garantía siguiendo el procedimiento y los plazos de la cláusula 9.2 que algunos o todos los Productos no cumplen con la garantía establecida en la cláusula 9.1; (b) Shockwave tiene una oportunidad razonable de examinar dichos Productos; y (c) el Comprador (si así se lo pide Shockwave) devuelve dichos Productos a la sede de Shockwave a costa de Shockwave, Shockwave reparará o sustituirá, a su discreción, los Productos defectuosos. | 9.3 Subject to Clause 9.4, if: (a) the Buyer gives notice in writing to Shockwave during the Warranty Period following the procedure and timelines in Clause 9.2 that some or all of the Products do not comply with the warranty set out in Clause 9.1; (b) Shockwave is given a reasonable opportunity of examining such Products; and (c) the Buyer (if asked to do so by Shockwave) returns such Products to Shockwave’s place of business at Shockwave’s cost, Shockwave shall, at Shockwave’s discretion, repair or replace the defective Products. |
| 9.4 Shockwave no será responsable del incumplimiento por parte de los Productos de la garantía establecida en la Cláusula 9.1 si: (a) el Comprador hace un uso posterior de dichos Productos después de haber dado aviso de conformidad con la cláusula 9.2; (b) el defecto se produce porque el Comprador no ha seguido las instrucciones orales o escritas de Shockwave en cuanto al almacenamiento, puesta en marcha, instalación, uso y mantenimiento de los Productos o (si no las hay) las buenas prácticas comerciales relativas a los mismos; (c) el Comprador altera o repara dichos Productos sin el consentimiento por escrito de Shockwave; (d) el defecto surge como resultado del desgaste normal, daño intencionado, negligencia o condiciones anormales de almacenamiento o trabajo; o (e) los Productos difieren de su descripción como resultado de cambios realizados para garantizar que cumplen con los requisitos legales o reglamentarios aplicables; o (f) el Comprador no cumple con los requisitos de la cláusula 9.3. | 9.4 Shockwave shall not be liable for the Products’ failure to comply with the warranty set out in Clause 9.1 if: (a) the Buyer makes any further use of such Products after giving notice in accordance with Clause9.2; (b) the defect arises because the Buyer failed to follow Shockwave’s oral or written instructions as to the storage, commissioning, installation, use and maintenance of the Products or (if there are none) good trade practice regarding the same; (c) the Buyer alters or repairs such Products without the written consent of Shockwave; (d) the defect arises as a result of fair wear and tear, wilful damage, negligence, or abnormal storage or working conditions; or (e) the Products differ from their description as a result of changes made to ensure they comply with applicable statutory or regulatory requirements; or (f) the Buyer fails to comply with the requirements of Clause 9.3. |

| 11.1 El Contrato continuará en pleno vigor y efecto hasta que ocurra lo primero de: (a) que los Productos sean aceptados (o se consideren aceptados) por el Comprador, momento en el que el Contrato expirará automáticamente; o (b) su rescisión de conformidad con la presente cláusula o con la cláusula 13.1. | 11.1 The Contract shall continue in full force and effect until the earlier of: (a) the Products are accepted (or deemed accepted) by the Buyer, at which point the Contract shall automatically expire; or (b) its termination in accordance with this Clause or Clause 13.1. |
| 11.2 Sin limitar sus demás derechos o recursos, Shockwave podrá rescindir el presente Contrato con efecto inmediato mediante notificación por escrito al Comprador si: (a) el Comprador comete un incumplimiento material de cualquiera de los términos del Contrato y (si dicho incumplimiento es subsanable) no subsana dicho incumplimiento en un plazo de treinta (30) días a partir de la notificación por escrito al Comprador para que lo haga; o (b) el Comprador no paga cualquier cantidad adeudada en virtud del Contrato en la fecha de vencimiento del pago. | 11.2 Without limiting its other rights or remedies, Shockwave may terminate this Contract with immediate effect by giving written notice to the Buyer if: (a) the Buyer commits a material breach of any term of the Contract and (if such a breach is remediable) fails to remedy that breach within thirty (30) days of the Buyer being notified in writing to do so; or (b) the Buyer fails to pay any amount due under the Contract on the due date for payment. |
| 11.3 Sin limitar sus otros derechos o recursos, Shockwave podrá resolver el Contrato con efecto inmediato o suspender el suministro de los Productos en virtud del Contrato o de cualquier otro contrato entre el Comprador y Shockwave si: (a) el Comprador adopta cualquier medida o acción en relación con su entrada en administración, liquidación provisional o cualquier convenio o acuerdo con sus acreedores (salvo en relación con una reestructuración solvente), la obtención de una moratoria, su liquidación (ya sea voluntaria o por orden judicial, salvo en relación con una reestructuración solvente), el nombramiento de un administrador judicial para cualquiera de sus activos o el cese de su actividad; (b) el Comprador suspende, amenaza con suspender, cesa o amenaza con cesar en la realización de la totalidad o de una parte sustancial de su negocio; o (c) la situación financiera del Comprador se deteriora hasta el punto de justificar razonablemente la opinión de que su capacidad para hacer efectivos los términos del Contrato está en peligro; o (d) Shockwave cree razonablemente que el Comprador está a punto de quedar sujeto a cualquiera de ellos, o si el Comprador no paga cualquier cantidad debida en virtud de este Contrato en la fecha de vencimiento del pago. | 11.3 Without limiting its other rights or remedies, Shockwave may either terminate the Contract with immediate effect or suspend provision of the Products under the Contract or any other contract between the Buyer and Shockwave if: (a) the Buyer takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), obtaining a moratorium, being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of its assets or ceasing to carry on business; (b) the Buyer suspends, threatens to suspend, ceases or threatens to cease to carry on all or a substantial part of its business; or (c) the Buyer’s financial position deteriorates so far as to reasonably justify the opinion that its ability to give effect to the terms of the Contract is in jeopardy; or (d) Shockwave reasonably believes that the Buyer is about to become subject to any of them, or if the Buyer fails to pay any amount due under this Contract on the due date for payment. |

| 12.3 Shockwave trata información relativa a una persona física identificada o identificable (los “Datos personales”) de los representantes y empleados del Comprador con el fin de gestionar su relación contractual con el Comprador y con el único propósito de la ejecución de los TCG y conservará los datos durante la vigencia de los TCG y a su finalización, debidamente bloqueados, durante los plazos de prescripción legales pertinentes. Shockwave tratará los Datos personales antes mencionados en base al interés legítimo de Shockwave en mantener, cumplir, desarrollar, supervisar y hacer cumplir las disposiciones de los TCG. Para los fines apropiados, Shockwave informa a los representantes y empleados del Comprador de que sus Datos personales pueden ser transferidos a las filiales de Shockwave situadas fuera del Espacio Económico Europeo según lo permitido por las leyes aplicables, y Shockwave ha establecido acuerdos contractuales y salvaguardas de seguridad dentro de Shockwave y con terceros para garantizar un nivel adecuado de protección de datos como mínimo según lo requerido por las leyes aplicables. Shockwave también informa a los representantes y empleados del Comprador de que solo los proveedores de servicios de Shockwave en los sectores de sistemas y tecnología y gestión administrativa tendrán acceso a sus Datos personales. | 12.3 Shockwave is processing information relating to an identified or identifiable natural person (the “Personal Data”) of the Buyer’s representatives and employees in order to manage its contractual relationship with the Buyer and for the sole purpose of the performance of the GTC and shall retain the data for the duration of the GTC and upon termination, duly blocked, for the relevant statutory limitation periods. Shockwave shall process the aforementioned Personal Data on the basis of Shockwave’s legitimate interest in maintaining, complying with, developing, monitoring and enforcing the provisions of the GTC. For the appropriate purposes, Shockwave informs the Buyer’s representatives and employees that their Personal Data may be transferred to Shockwave’s affiliates located outside of the European Economic Area as permitted by applicable laws, and Shockwave has established contractual arrangements and security safeguards within Shockwave and with third parties to ensure an adequate level of data protection at least as required by applicable laws. Shockwave also informs the Buyer’s representatives and employees that only Shockwave’s service providers in the systems and technology and administrative management sectors shall have access to their Personal Data. |

| 13. Fuerza mayor | 13. Force majeure |
| 13.1 Ninguna de las partes incumplirá el Contrato ni será responsable del retraso en el cumplimiento o del incumplimiento de cualquiera de sus obligaciones en virtud del Contrato si dicho retraso o incumplimiento se debe a un acontecimiento, circunstancia o causa que escape al control razonable de una de las partes (“Evento de fuerza mayor”). En tales circunstancias, el plazo de cumplimiento se prorrogará por un período equivalente al período durante el cual se haya retrasado o incumplido el cumplimiento de la obligación. Si el periodo de retraso o incumplimiento se prolonga durante tres (3) meses, la parte no afectada podrá rescindir el Contrato mediante notificación por escrito a la parte afectada con treinta (30) días de antelación. | 13.1 Neither party shall be in breach of the Contract nor liable for delay in performing, or failure to perform, any of its obligations under the Contract if such delay or failure result from an event, circumstance or cause beyond a party’s reasonable control (“Force Majeure Event”). In such circumstances the time for performance shall be extended by a period equivalent to the period during which performance of the obligation has been delayed or failed to be performed. If the period of delay or non-performance continues for three (3) months, the party not affected may terminate the Contract by giving thirty (30) days’ written notice to the affected party. |

| 15.1 En estos TCG: (a) cualquier palabra que siga a los términos “incluido“, “incluir“, “en particular“, “por ejemplo” o cualquier expresión similar se interpretará como ilustrativa y no limitará el sentido de las palabras, descripción, definición, frase o término que precede a esos términos; y (b) una referencia a “por escrito” o “escrito” incluye el correo electrónico. | 15.1 In these GTC: (a) any words following the terms “including,” “include,” “in particular,” “for example” or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms; and (b) a reference to “in writing” or “written” includes email. |

| 15.3 Shockwave podrá en cualquier momento ceder, transferir, hipotecar, gravar, subcontratar, delegar, declarar un fideicomiso sobre o tratar de cualquier otra forma con todos o cualquiera de sus derechos u obligaciones en virtud del Contrato. El Comprador no podrá ceder, transferir, hipotecar, gravar, subcontratar, delegar, declarar un fideicomiso sobre o tratar de cualquier otra manera con cualquiera o todos sus derechos u obligaciones en virtud del Contrato sin el consentimiento previo por escrito de Shockwave. | 15.3 Shockwave may at any time assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with all or any of its rights or obligations under the Contract. The Buyer may not assign, transfer, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of its rights or obligations under the Contract without the prior written consent of Shockwave. |

Esta cláusula no se aplica a la notificación de cualquier procedimiento u otros documentos en cualquier acción legal o, en su caso, cualquier arbitraje u otro método de resolución de conflictos. | 15.6 Any notice given to a party under or in connection with the Contract shall be in writing and shall be sent by reputable courier or email to that party’s address specified in the Order and shall be deemed as received if sent by courier, at the time and date of the signature (or electronic equivalent) of the courier or recipient confirming delivery or receipt, and, if sent by email, a single acknowledgement of receipt from one of the recipients. This Clause does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any arbitration or other method of dispute resolution. |

Each party agrees that it shall have no remedies in respect of any statement, representation, assurance, or warranty (whether made innocently or negligently) that is not set out in the Contract. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in the Contract. |
